Uraian Informasi atau Fakta Material | Description of Information or Material Facts PT Hydraxle Perkasa, Entitas Anak PT Selamat Sempurna Tbk - telah menandatangani Perjanjian Sewa dengan PT Adrindo Perkasa. Objek Perjanjian Sewa adalah bangunan untuk fasilitas produksi seluas 1.786 m2 dengan nilai sewa Rp.33.000,-/m2/bulan atau Rp.176.814.000/3 bulan dan belum termasuk PPN. Periode Perjanjian Sewa adalah 3 bulan (O1 Januari — 31 Maret 2025), yang dapat otomotis diperpanjang untuk periode 3 bulan berikutnya secara terus menerus kecuali ada perubahan atau pemberitahuan dari salah satu pihak. Pelaksanaan Perjanjian Sewa tersebut dilakukan dengan mempertimbangkan bahwa lokasi bangunan berdekatan dengan fasilitas produksi PT Hydraxle Perkasa saat ini dan sesuai dengan rencana — pengembangan/perluasan fasilitas operasional PT Hydraxle Perkasa. Transaksi sewa yang disampaikan dalam Keterbukaan Informasi ini merupakan Transaksi Afiliasi yang hanya wajib dilaporkan kepada Otoritas Jasa Keuangan (“OJK”) sebagaimana dimaksud dalam POJK No.42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan Kepentingan tanggal 1 Juli 2020 di pasal 6 angka 1 butir cc. Sifat hubungan afiliasi: PT Hydraxle Perkasa dimiliki oleh Perseroan dengan kepemilikan sebesar 51,0096. PT Hydraxle Perkasa dan PT Adrindo Perkasa memiliki hubungan Afiliasi dimana, keduanya dikendalikan secara tidak langsung oleh pihak yang sama. Sumber dana transaksi: Transaksi akan dibiayai dari sumber dana internal PT Hydraxle Perkasa. Perjanjian Sewa Menyewa bangunan untuk fasilitas produksi (selanjutnya disebut Perjanjian Sewa) | Lease Agreement of building for production facility (herein after referred as Lease Agreement). PT Hydraxle Perkasa, Subsidiary of PT Selamat Sempurna Tbk - has signed a Lease Agreement with PT Adrindo Perkasa. The object of Lease Agreement is building for production facility with area of 1,786 sgm with a lease value of Rp.33,000.-/sgm/month or Rp.176,814,000/3 months and excluding VAT. The Lease Agreement Period is 3 months (January O1" — March 318, 2025), which can be automatically extended for the next 3 months continuously unless there is a change or notification from either party. The Lease Agreement was carried out by considering that the location of the building is adjancent of the existing of current production facility of PT Hydraxle Perkasa's and aligns with plans for the development/expansion of PT Hydraxle Perkasa's operational facilities. The lease transaction described in this Disclosure of Information are Affiliated Tranactions which is must only be reported to the Financial Services Authority (“OJK”) as referred to OJK Regulation POJK No.42/POJK.04/2020 on Affiliated Transactions and Conflict of Interest Transactions dated July 1, 2020 in article 6 point 1c. The nature of affiliate relationship: PT Hydraxle Perkasa is owned by the Company with 51.0096 ownership. PT Hydraxle Perkasa dan PT Adrindo Perkasa have an Affiliated relationship where, both are indirectly controlled by the same party. Fund source of transaction: The transaction will be financed from PT Hydraxle Perkasa's internal cashflow.
