Uraian Informasi atau Fakta Material Penandatanganan Akta Jual Beli saham PT Samudra Harmoni
Perkasa (PT SHP), suatu perseroan terbatas yang didirikan
dan tunduk pada hukum negara Republik Indonesia,
berkedudukan di Jalan Pluit Raya Nomor 67B,
Desa/Kelurahan Penjaringan, Kecamatan Penjaringan, Kota
Jakarta Utara, sejumlah 56.000 (lima puluh enam ribu) saham
atau setara dengan 50% dari modal ditempatkan dan disetor
dalam PT SHP oleh PT Bahana Indonor selaku entitas anak
Perseroan (Jual Beli Saham).
Pihak-pihak yang melakukan kontrak:
1. PT Lintas Armada Indonesia (LAI) selaku penjual;
2. Hendy Williams selaku penjual; dan
3. PT Bahana Indonor (BI) selaku pembeli.
-Sifat hubungan para pihak yang melakukan kontrak:
LAI dan Hendy Williams selaku para pemegang saham dalam
PT SHP telah menjual saham PT SHP yang dimilikinya
kepada BI, sehingga BI memiliki 56.000 (lima puluh enam ribu)
saham atau setara dengan 50% (lima puluh persen) dari
modal ditempatkan dan disetor dalam PT SHP.
Tidak terdapat hubungan afiliasi antara LAI, Hendy Williams
dan BI.
BI merupakan perusahaan anak yang dikendalikan oleh
Perseroan.
-Jenis Kontrak:
Akta Jual Beli atas Saham PT SHP oleh LAI dan BI dan Akta
Jual Beli Saham PT SHP oleh Hendy Williams dan BI.
-Nilai kontrak: Nilai transaksi Jual Beli Saham adalah sebesar
Rp47.250.000.000 (empat puluh tujuh miliar dua ratus lima
puluh juta Rupiah).
-Alasan perolehan atau kehilangan kontrak penting: Transaksi
dilakukan dalam rangka kerja sama pengelolaan dan
pengoperasian Kapal MV. Harmoni 1 untuk pengangkutan
muatan clinker atau batu bara atau kargo lainnya.
Dampak kejadian, informasi atau fakta Informasi atas fakta material yang diungkapkan sehubungan
material tersebut terhadap kegiatan dengan Jual Beli Saham tidak memiliki dampak material
operasional, hukum, kondisi keuangan, secara negative terhadap kegiatan operasional, hukum,
atau kelangsungan usaha Emiten atau kondisi keuangan atau kelangsungan usaha Perseroan.

Jual Beli Saham ini bukan merupakan transaksi material bagi Perseroan sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegaitan Usaha dan bukan
merupakan transaksi afiliasi dan/atau benturan kepentingan sebagaimana dimaksud dalam Peraturan Otoritas Jasa
Keuangan No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan.

Description of Material Information or Signing of the Deed of Sale and Purchase of shares of PT
Facts Samudra Harmoni Perkasa (PT SHP), a limited liability
company established and subject to the laws of the Republic
of Indonesia, domiciled at Jalan Pluit Raya Number 67B,
Penjaringan Sub-district, Penjaringan District, North Jakarta
City, amounting to 56,000 (fifty six thousand) shares or
equivalent to 50% of the issued and paid-up capital in PT SHP
by PT Bahana Indonor as a subsidiary of the Company (Sale
and Purchase of Shares).
Contracting Parties:
1. PT Lintas Armada Indonesia (LAI) as the seller;
2. Hendy Williams as the seller; and
3. PT Bahana Indonor (BI) as the buyer.
The nature of the relationship between the contracting parties:
LAI and Hendy Williams as shareholders in PT SHP have sold
the PT SHP shares they own to BI, so that BI owns 56,000
(fifty six thousand) shares or the equivalent of 50% (fifty
percent) of the issued and paid-up capital in PT SHP.
There is no affiliation relationship between LAI, Hendy
Williams and BI.
BI is a subsidiary controlled by the Company.
-Contract Type:
Deed of Sale and Purchase of PT SHP Shares by LAI and BI,
and Deed of Sale and Purchase of PT SHP Shares by Hendy
Williams and BI.
-Contract value: The share sale and purchase transaction
value are Rp47,250,000,000 (forty-seven billion two hundred
and fifty million Rupiah).
-Reasons for gaining or losing significant contracts:
Transactions are carried out in order to cooperation in the
management and operation of the MV. Harmoni 1 Ship for the
transportation of clinker or coal or other cargo.
Impact of event, material information or Information on material facts disclosed in connection with the
facts towards Issuers or Public Sale and Purchase of Shares does not have a material
Company’s operational activities, legal, negative impact on the Company's operational activities, legal
financial condition, or going concern or financial condition, or business continuity.
Other Information
This Sale and Purchase of Shares is not a material transaction for the Company as referred to in Financial Services
Authority Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities
and is not an affiliated transaction and/or conflict of interest as referred to in Financial Services Authority Regulation
No. 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions.
