Untuk memenuhi ketentuan (i) Peraturan Otoritas Jasa Keuangan (“OJK”) No. 31/POJK.04/2015
tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik (“POJK
31”), (ii) Keputusan Direksi BEI No. Kep-00015/BEI/01-2021, Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, (iii) Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha (“POJK 17”) dan (iv) Peraturan OJK No. 42 Tahun 2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42”), dengan ini kami, PT Inti
Bangun Sejahtera, Tbk. (“Perseroan”), menyampaikan Keterbukaan Informasi atas Transaksi Material
sebagai berikut:

Facts by Issuers or Public Companies (“POJK 31”), (ii) the IDX Board of Directors Decree No. Kep-
00015/BEI/01-2021, Amendment to Regulation No. I-E on Obligation to Submit Information, (iii)
Financial Services Authority Rule No. 17/POJK.04/2020 Concerning Material Transactions And
Alteration Of Business Activities (“POJK 17”) and (iv) Financial Services Authority Rule
No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest (“POJK 42”), we, PT

uang USD atau Yen) tertanggal 23 Desember 2024 antara
Protelindo, Iforte, SUPR, dan IBST sebagai para peminjam
dengan MUFG sebagai pemberi pinjaman (“Perjanjian
Fasilitas”) sehubungan dengan perpanjangan jangka
waktu fasilitas sampai dengan 31 Desember 2025. / The
Signing of Amendment Letter of the
IDR2.500.000.000.000 (or equivalent to the USD or JPY)
Facility Agreement dated December 23, 2024, made
between Protelindo, Iforte, SUPR and IBST as the
borrowers, with MUFG as the lender (“Facility
Agreement”) regarding the extension of its maturity date
up to December 31, 2025.
4 Penjelasan, Pertimbangan dan Struktur Perjanjian Fasilitas sebagaimana diuraikan di atas

e. Bank, merupakan lembaga perbankan pemberi
pinjaman yang tidak mempunyai hubungan afiliasi

7. Keterangan lain-lain / 1. Penandatanganan Perjanjian Fasilitas merupakan

POJK 17 dengan mengingat bahwa nilai pembiayaan
yaitu mencapai lebih dari 50% dari ekuitas Perseroan
berdasarkan Laporan Keuangan Perseroan yang
diaudit per tanggal 30 Juni 2024. Akan tetapi,
Perjanjian Fasilitas ini merupakan transaksi material
yang dikecualikan sebagaimana dimaksud dalam
Pasal 11 huruf (b) POJK 17. / The execution of Facility
is a material transaction as referred to in POJK 17, i.e.,
the value of the facility exceeds 50% of the Company's
equity based on the Company's audited Financial
Statement as of June 30, 2024. However, this Facility
Agreement is a material transaction that is exempted
under Article 11 letter (b) of POJK 17.
2. Penandatanganan Perjanjian Fasilitas merupakan
transaksi afiliasi sebagaimana dimaksud dalam Pasal
6 ayat (1) huruf (d) POJK 42, yaitu transaksi pinjaman
yang diterima secara langsung dari bank. / The
execution of the Facility Agreement is an affiliated
transaction as referred to Clause 6 section (1) letter (d)
of OJK Rule 42, i.e. a loan received directly from
banks.
3. Perjanjian Fasilitas tersebut di atas bukan merupakan
transaksi benturan kepentingan bagi Perseroan
sebagaimana diatur dalam POJK 42. / The Facility

Agreement is not a conflict-of-interest transaction of
the Company as referred to OJK Rule 42.
Dewan Komisaris dan Direksi Perseroan dengan ini menyatakan bahwa / The Board of Commissioners
and Directors of the Company hereby declares that:
1. Perjanjian Fasilitas bukan merupakan transaksi benturan kepentingan bagi Perseroan
sebagaimana diatur dalam POJK 42. / The Facility Agreement is not a conflict-of-interest
transaction of the Company as referred to OJK Rule 42.
2. Keterbukaan Informasi ini telah memuat seluruh informasi material yang benar dan tidak
menyesatkan. / This Disclosure contains material information which is true and not misleading.
Sesuai dengan Pasal 8 pada POJK 31, keterbukaan informasi ini juga merupakan pemenuhan
ketentuan dalam POJK 31. / According to Article 8 of OJK Rule 31, this Disclosure is also made to
comply with provision under OJK Rule 31.
