Tanggal Kejadian: 24 Desember 2024 Jenis Informasi atau Fakta Material: Penandatanganan perjanjian fasilitas kredit dengan PT Bank Tabungan Negara (Persero) Tbk. (“BTN”). Uraian Informasi atau Fakta Material: A. Pada tanggal 24 Desember 2024, Perseroan dan BTN telah menandatangani: @ Akta Perjanjian Kredit Nomor 121 dibuat dihadapan Vidya Pradipta, S.H., M.Kn sebagai Notaris Pengganti yang sementara waktu menggantikan Wenda Taurusita Amidjaja, S.H., Notaris di Jakarta (“Perjanjian Kredit”). Berdasarkan Perjanjian Kredit, Perseroan mendapatkan fasilitas kredit modal kerja bersifat revolving terbatas dengan nilai maksimum sebesar Rp700.000.000.000 (tujuh ratus miliar Rupiah), yang terbagi atas: (a) Tranche A dengan nilai maksimum sebesar Rp350.000.000.000 (tiga ratus lima puluh miliar Rupiah): dan (b) Tranche B dengan nilai maksimum sebesar Rp350.000.000.000 (tiga ratus lima puluh miliar Rupiah). B. Seluruh dana yang diperoleh dari Perjanjian Kredit tersebut, akan dipergunakan untuk keperluan modal kerja Perseroan. www.barito-pacific.com Kadi Barito Pacific K3 Date of Event: December 24”, 2024 Type of Material Information or Facts: Signing of credit facility agreement with PT Bank Tabungan Negara (Persero) Tbk. (“BTN). Description of Material Information or Facts: A. On 24 December 2024, the Company and BTN have entered into: (i) Deed of Loan Facility Number 121 made before Vidya Pradipta, S.H, M.Kn as the Substitute Notary who temporarily replaces Wenda Taurusita Amidjaja, S.H., Notary in Jakarta (“Loan Agreement). Under the Loan Agreement, the Company obtains a limited revolving working capital credit facility in the maximum amount of Rp700,000,000,000 (seven hundred billion rupiah), which is divided into: la) Tranche A with a maximum value of Rp350,090,000,000 (three hundred fifty biliion Rupiah): and (6) Tranche B with a maximum value of Rp350,000,000,000 (three hundred fifty billion Rupiah). Transaksi ini bukan merupakan: a. Transaksi Afiliasi — dan/atau Transaksi yang mengandung Benturan Kepentingan sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan: dan b. Transaksi Materia! sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan Nomor 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan: Dengan diperolehnya pinjaman dari BTN tersebut, maka akan meningkatkan kemampuan finansial dan aspek pendanaan bagi Perseroan dalam menjalankan usaha kedepannya. Affiliate Transaction — and/or Conflict of Interest Transaction as stipulated in the Regulation of the Financial Services Authority Number 42/POJK.04/2020 on Affiliate Transactions and Conflict of Interest Transactions, and b. Material Transaction under the Regulation of the Financial Services Authority Number 17/POJK.04/2020 on Material Transactions and Change of the Main Business Activities. Impact of such material information or fact to the Company's operational, law, financial condition or business: By obtaining the loan from BTN, will enhance financial capability and funding aspect of the Company in conducting its business in the future.
