                                                mendirikan Anak Perusahaan dengan nama PT PT
                                                PARAMITA BAHARI ANDALAN (PTPBA). Pendirian PTPBA
                                                telah dituangkan dalam Akta Pendirian Nomor 133 Tanggal
                                                31 Oktober 2024 yang dibuat oleh Notaris ELIZABETH
                                                KARINA LEONITA S.H., M.KN., yang berkedudukan di Jakarta
                                                Selatan. dan telah mendapat pengesahan dari Menteri Hukum
                                                dan Hak Asasi Manusia pada tanggal 2 Desember 2024
                                                NOMOR AHU-0095688.AH.01.01.TAHUN 2024

                                                Maksud dan tujuan pendirian PTPBA adalah berusaha dalam
                                                bidang aktivitas angkutan laut dalam negeri untuk barang,
                                                angkutan sungai, danau dan penyeberangan untuk barang,
                                                serta aktivitas penyewaan dan sewa.

                                                Struktur Permodalan PTPBA :
                                                1.       Modal Dasar sejumlah 1.000 lembar saham dengan
                                                nilai nominal per saham sebesar Rp. 1.000.000.-
                                                2.       Modal Disetor dan Ditempatkan sejumlah 600 lembar
                                                saham dengan nilai nominal per saham sebesar Rp.
                                                1.000.000.-


                                                Susunan Pemegang Saham :
                                                1.       Perseroan, memiliki 60 saham atau setara dengan
                                                10% dari keseluruhan saham PTPBA.
                                                2.       PT Andalan Power Tekniktama, memiliki 540 saham
                                                atau setara dengan 90% dari keseluruhan saham PTPBA.

 Description of Material Information or       PT Astrindo Nusantara Infrastruktur Tbk (the Company)
 Facts                                        established a Subsidiary under the name PT PT PARAMITA
                                              BAHARI ANDALAN (PTPBA). The establishment of PTPBA
                                              has been stated in the Deed of Establishment Number 133
                                              dated October 31, 2024 made by Notary ELIZABETH KARINA
                                              LEONITA S.H., M.KN., domiciled in South Jakarta. and has
                                              received ratification from the Minister of Law and Human
                                              Rights on December 2, 2024 NUMBER AHU-0095688. AH.
                                              01.01.YEAR 2024

                                              The purpose of the establishment of PTPBA is to do business
                                              in the field of domestic sea transportation activities for goods,
                                              river, lake and crossing transportation for goods, as well as
                                              rental and leasing activities.

                                              Capital Structure of PTPBA:
                                              1.       Authorized capital of 1,000 shares with a nominal
                                              value per share of Rp. 1,000,000.-
                                              2.       Paid-up and Issued Capital of 600 shares with a
                                              nominal value per share of Rp. 1,000,000.-


                                              Composition of Shareholders :
                                              1.      The company owns 60 shares or equivalent to 10% of
                                              PTPBA's total shares.
                                              2.      PT Andalan Power Tekniktama, owns 540 shares or
                                              equivalent to 90% of PTPBA's total shares.
