Sehubungan dengan Peraturan Otoritas Jasa Keuangan No. 31/POJK.04/2015 Tentang Keterbukaan
Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik tanggal 16 Desember 2015 dan
Ketentuan Peraturan I-E Lampiran Keputusan Direksi PT Bursa Efek Indonesia No.: Kep00066/BE1/09-
2022 tanggal 30 September 2022 tentang Kewajiban Penyampaian Infromasi, dengan ini PT Pan
Brothers Tbk (“Perseroan”) menyampaikan informasi atau fakta material sebagai berikut:

Regarding to the Regulation of the Financial Services Authority No. 3#/POJK.04/201 5 concerning Disclosure of
Information or Material Facts by Issuers or Public Companies dated December 16, 2015 and the provisions of
Regulation I-E Attachment to the Decree of the Board of Directors of PT Bursa Efek Indonesia No.:

Ekabrothers (“Perkara 150”)

Notification of the Homologation Decision regarding PKPU with case number:

- 149/Pdt.Sus-PKPU/2024/PN.Niaga.Jkt.Pst. towards the Company, PT Eco
Smart Garment Indonesia and PT Prima Sejati Sejahtera (“Case 149"): and

- 150/Pdt. Sus-PKPU/2024/PN.Niaga.Jkt. Pst. towards PT Pancaprima
Ekabrothers (“Case 150”)

Bahwa: dalam Rapat Kreditor pada tanggal tanggal 18 Desember 2024,
Rencana Perjanjian Perdamaian yang diajukan oleh Perseroan telah
disetujui oleh mayoritas kreditor yang hadir dalam Rapat Kreditor tersebut
sebagaimana dimaksud Pasal 281 ayat (1) Undang-Undang No. 37 tahun
2004 tentang Kepailitan dan PKPU ("UUK")

Whereas, in the Creditors' Meeting on December 18, 2024, the Composition Plan
proposed by the Company was approved by the majority of creditors present at the
meeting, as referred to in Article 281 paragraph (1) of Law No. 37 of 2004
concerning Bankruptey and Suspension of Debt Payment Obligations ("UUK").

Pada tanggal 23 Desember 2024 dengan Agenda Sidang Permusyawaratan
Majelis Hakim di Pengadilan Niaga pada Pengadilan Negeri Jakarta Pusat,
Majelis Hakim membacakan putusan Penetapan Homologasi pada Perkara
149 dan Perkara 150, dengan amar sebagai berikut:

On December 23, 2024, during the Plenary Session of the Panel of Judges at the
Commercial Court of the Central Jakarta District Court, the Panel of Judges
delivered the Homologation Decision in Cases 149 and 150, with the verdict as
follows:

Perkara 149, mengadili:
Case 149, ruling:
1. Menyatakan sah dan mengikat Perjanjian Perdamaian tertanggal 18

Desember 2024 antara PT Pan Brothers Tbk (Dalam PKPU), PT
Eco Smart Garment Indonesia (Dalam PKPU), dan PT Prima Sejati
Sejahtera (Dalam PKPU) dan para kreditornya.
Declares valid and binding the Composition Plan dated December 18,
2024, between PT Pan Brothers Tbk (Under PKPU), PT Eco Smart
Garment Indonesia (Under PKPU), and PT Prima Sejati Sejahtera (Under
PKPU) and their creditors.

2. Menyatakan Penundaan Kewajiban Pembayaran Utang (PKPU)

Termohon PKPU PT Pan Brothers Tbk (Dalam PKPU), PT Eco
Smart Garment Indonesia (Dalam PKPU), dan PT Prima Sejati
Sejahtera (Dalam PKPU) demi hukum berakhir.
Declares that the Suspension of Debt Payment Obligations (PKPU) of the
Respondents under PKPU, namely PT Pan Brothers Tbk (Under PKPU),
PT Eco Smart Garment Indonesia (Under PKPU), and PT Prima Sejati
Sejahtera (Under PKPU), is legally concluded.

3. Menghukum Termohon PKPU PT Pan Brothers Tbk (Dalam PKPU),
PT Eco Smart Garment Indonesia (Dalam PKPU), dan PT Prima

3. Sejati Sejahtera (Dalam PKPU) untuk tunduk dan mematuhi serta

melaksanakan isi Perjanjian Perdamaian tersebut.

Orders the Respondents under PKPU, namely PT Pan Brothers Tbk (Under
PKPU), PT Eco Smart Garment Indonesia (Under PKPU), and PT Prima
Sejati Sejahtera (Under PKPU), to comply with and execute the contents of
the Composition Plan.

4. Menghukum Termohon PKPU PT Pan Brothers Tbk (Dalam PKPU),
PT Eco Smart Garment Indonesia (Dalam PKPU), dan PT Prima
Sejati Sejahtera (Dalam PKPU) untuk membayar biaya perkara
dalam proses PKPU sampai saat ini sejumlah Rp. 8.090.000,-
Orders the Respondents under PKPU, namely PT Pan Brothers Tbk (Under
PKPU), PT Eco Smart Garment Indonesia (Under PKPU), and PT Prima
Sejati Sejahtera (Under PKPU), to pay the legal costs incurred during the
PKPU process, amounting to IDR 8,090,000.

Perkara 150, mengadili:
Case 150, ruling:

1. Menyatakan sah dan mengikat Perjanjian Perdamaian tertanggal 18
Desember 2024 antara PT Pancaprima Ekabrothers (Dalam PKPU)
dan para kreditornya.

Declares valid and binding the Composition Plan dated December 18,
2024, between PT Pancaprima Ekabrothers (Under PKPU) and its
creditors.

2. Menyatakan Penundaan Kewajiban Pembayaran Utang (PKPU)
Termohon PKPU PT Pancaprima Ekabrothers (Dalam PKPU) demi
hukum berakhir.

Declares that the Suspension of Debt Payment Obligations (PKPU) of the
Respondent under PKPU, namely PT Pancaprima Ekabrothers (Under
PKPU), is legally concluded.

3. Menghukum Termohon PKPU PT Pancaprima Ekabrothers (Dalam
PKPU) untuk tunduk dan mematuhi serta melaksanakan isi
Perjanjian Perdamaian tersebut.

Orders the Respondent under PKPU, namely PT Pancaprima Ekabrothers

(Under PKPU), to comply with and execute the contents of the Composition
Plan,

4. Menghukum Termohon PKPU PT Pancaprima Ekabrothers (Dalam
PKPU) untuk membayar biaya perkara dalam proses PKPU sampai
saat ini sejumlah Rp. 5.860.000,-

Orders the Respondent under PKPU, namely PT Pancaprima Ekabrothers
(Under PKPU), to pay the legal cosis incurred during the PKPU process,
amounting to IDR 5, 860,000.

Perseroan belum menerima salinan putusan resmi terkait dengan Putusan
Homologasi sehubungan dengan PKPU Perkara 149 dan Perkara 150
tersebut.

The Company has not received a copy of Ihe Official decision on the Homologation
Decision for PKPU Case 149 and Case 150.

Perseroan akan mematuhi Putusan Homologasi atas Perkara 149 dan
Perkara 150.

The Company will fully compiy with the Homologation Decision pertaining to Case
149 and Case 150.

1. Perseroan, beserta PT Eco Smart Garment Indonesia, PT Prima Sejati
Sejahtera dan PT Pancaprima Ekabrothers, telah mencapai
kesepakatan dengan para kreditor. Kesepakatan ini telah dituangkan
dalam Perjanjian Perdamaian yang ditandatangani pada 18 Desember
2024.
The Company, along with PT Eco Smart Garment Indonesia, PT Prima Sejati
Sejahtera and PT Pancaprima Ekabrothers, has reached an agreement with the
creditors. This agreement has been formalized in the Composition Plan signed
on December 18, 2024.

2. Kegiatan usaha dan operasional Perseroan tetap berjalan normal

The Company's business activities and operalions continue to run as normal.
