II. Hubungan Afiliasi Para Pihak
i. Perseroan, dan
ii. PT Bank Pan Indonesia Tbk., suatu perseroan yang
didirikan dan tunduk berdasarkan hukum negara
Republik Indonesia.
Tidak terdapat hubungan afiliasi antara Perseroan
dengan Bank Panin.
On December 19, 2024, the Company signed a Credit
Facility Agreement ("Agreement") with PT Bank Pan
Indonesia Tbk. ("Bank Panin") with the following details:
IL. Transaction Object and Value
The credit facility provided by Bank Panin to the
Company based on the Agreement, is valued at
Rp 10,000,000,000 (ten billion Rupiah), which will be
used for the purchase of asset (office). The term of the
Agreement is 8 (eight) years.
II. Affiliation of the Parties
i. The Company: and
ii. PT Bank Pan Indonesia Tbk, a corporation
established and governed under the laws of the
Republic of Indonesia.
There is no affiliate relationship between the Company
and Bank Panin.

Penandatanganan Perjanjian ini dilakukan dalam rangka
pembelian sebuah asset kantor Perseroan.

activities, legal, financial conditions or business continuity
of the Company.
Informasi lain-lain
a. Transaksi antara Perseroan dan Bank Panin bukan
merupakan tranksasi material sebagaimana dimaksud
Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha, karena
transaksi pinjaman tersebut diterima langsung dari bank
dan nilai transaksi kurang dari 2096 ekuitas Perseroan,
b. Transaksi ini juga bukan termasuk dalam transaksi
afiliasi dan transaksi mengandung benturan kepentingan
sebagaimana dimaksud Peraturan OJK No. 42/POJK.04/

The transaction between the Company and Bank Panin is not a material transaction according to OJK Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities, since the loan was received directly from bank and the transaction value is less than 2046 of the Company's eguity, b. The transaction is also not an affiliate transaction and conflict of interest transaction according to OJK Regulation No. 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions.
