Agenda 1. Persetujuan pelunasan Pokok untuk Obligasi Berkelanjutan III Sinar Mas Multifinance
Tahap II Tahun 2023 Seri A yang dipercepat dengan tanggal pelunasan yang akan
disampaikan Emiten pada saat RUPO, dengan harga at par atau 100% (Seratus Persen)
dan pembayaran bunga berjalan terhutang sampai dengan tanggal dibayarkan pokok
obligasi; 2. - Perubahan Pasal 5 Perjanjian Perwaliamanatan dan pasal lain yang
terkait dengan Pelunasan Pokok untuk Obligasi Berkelanjutan III Sinar Mas Multifinance
Tahap II Tahun 2023 Seri A yang dipercepat; 3. - Mendelegasikan kewenangan dan
memberikan kuasa kepada Wali Amanat untuk melakukan perubahan Perjanjian
Perwaliamanatan dan melakukan segala Tindakan yang berkaitan dengannya termasuk
namun tidak terbatas pada membuat dan/atau menandatangani segala bentuk akta,
Perjanjian, addendum, amandemen dan/atau dokumen lainnya, serta untuk menghadap di
hadapan notaris, sehubungan dengan dilakukannya Pelunasan Pokok Obligasi
Berkelanjutan III Sinar Mas Multifinance Tahap II Tahun 2023 Seri A yang dipercepat dan
perubahan akta-akta lain yang terkait.
Pelaksanaan Rapat
RUPO dihadiri 100.000.000.000 yang mewakili 100% (Kuorum)
Hasil Rapat
Hasil rapat adalah sebagai berikut :
1. Memberikan persetujuan atas pelunasan Pokok untuk Obligasi Berkelanjutan III Sinar Mas Multifinance
Tahap II Tahun 2023 Seri A yang dipercepat dengan tanggal pelunasan yang sudah disampaikan Emiten, yaitu
tanggal 17 Desember 2024, dengan harga at par atau 100% (seratus persen) dan pembayaran bunga berjalan
terhutang sampai dengan tanggal dibayarkan pokok obligasi, yaitu pada tanggal 25 Januari 2025;
2. Menyetujui Perubahan Pasal 5 Perjanjian Perwaliamanatan dan pasal lain yang terkait dengan Pelunasan
Pokok untuk Obligasi Berkelanjutan III Sinar Mas Multifinance Tahap II Tahun 2023 Seri A yang dipercepat dengan
adanya penambahan consent fee sebesar 0,3% (nol koma tiga persen) dari total pokok Obligasi Berkelanjutan III
Sinar Mas Multifinance Tahap II Tahun 2023 Seri A bagi Pemegang Obligasi yang tidak terafiliasi atau dengan kata
lain penambahan consent fee diberikan bagi para pemegang Obligasi yang suaranya sah dan diperhitungkan di
dalam Rapat, sehingga jumlah nominal keseluruhan yang dibayarkan untuk pemegang Obligasi yang
diperhitungkan dalam RUPO Obligasi Berkelanjutan III Sinar Mas Multifinance Tahap II Tahun 2023 adalah
sebesar Rp. 102.113.888.889,- (seratus dua miliar seratus tiga belas juta delapan ratus delapan puluh delapan ribu
delapan ratus delapan puluh sembilan Rupiah);
3. Memberikan kuasa kepada Wali Amanat untuk melakukan perubahan Perjanjian Perwaliamanatan dan
melakukan segala Tindakan yang berkaitan dengannya termasuk namun tidak terbatas pada membuat dan/atau
menandatangani segala bentuk akta, Perjanjian, addendum, amandemen dan/atau dokumen lainnya, serta untuk
menghadap di hadapan notaris, sehubungan dengan dilakukannya Pelunasan Pokok Obligasi Berkelanjutan III Sinar
Mas Multifinance Tahap II Tahun 2023 Seri A yang dipercepat dan perubahan akta-akta lain yang terkait.

Agenda Approval of the accelerated principal repayment for the Continuous Bonds III Sinar Mas
Multifinance Phase II Year 2023 Series A, with the repayment date to be communicated by
the Issuer during the Bondholders Meeting, at par value or 100% (one hundred percent),
along with the payment of accrued interest up to the date the bond principal is paid.
Amendment of Article 5 of the Trustee Agreement and other related provisions concerning
the accelerated principal repayment for the Continuous Bonds III Sinar Mas Multifinance
Phase II Year 2023 Series A. Delegation of authority and granting of power to the Trustee
to amend the Trustee Agreement and undertake all actions related thereto, including but
not limited to drafting and/or signing any form of deed, agreement, addendum, amendment,
and/or other documents, as well as appearing before a notary in connection with the
accelerated principal repayment of the Continuous Bonds III Sinar Mas Multifinance Phase
II Year 2023 Series A and the amendment of other related deeds.
Execution of Meeting
Bond Holders General Meeting was attend by 100.000.000.000 that represented 100% (Quorum)
Result of Meeting
The result of the meeting is elaborated as follows :
1. To grant approval for the accelerated principal repayment of the Continuous Bonds III Sinar Mas Multifinance
Phase II Year 2023 Series A, with the repayment date as communicated by the Issuer, namely December 17, 2024,
at par value or 100% (one hundred percent), along with the payment of accrued interest up to the date the bond
principal is paid, which is set for January 25, 2025.
2. To approve the amendment of Article 5 of the Trustee Agreement and other related provisions concerning the
accelerated principal repayment of the Continuous Bonds III Sinar Mas Multifinance Phase II Year 2023 Series A,
including the addition of a consent fee of 0.3% (zero point three percent) of the total principal of the Continuous
Bonds III Sinar Mas Multifinance Phase II Year 2023 Series A for non-affiliated Bondholders. In other words, the
consent fee is granted to Bondholders whose votes are valid and counted in the Meeting. Consequently, the total
nominal amount paid to Bondholders accounted for in the Bondholders' Meeting for the Continuous Bonds III Sinar
Mas Multifinance Phase II Year 2023 is Rp. 102,113,888,889 (one hundred two billion one hundred thirteen million
eight hundred eighty-eight thousand eight hundred eighty-nine Rupiah).
3. To authorize the Trustee to amend the Trustee Agreement and undertake all actions related thereto, including but
not limited to drafting and/or signing any form of deed, agreement, addendum, amendment, and/or other documents,
as well as appearing before a notary in connection with the accelerated principal repayment of the Continuous Bonds
III Sinar Mas Multifinance Phase II Year 2023 Series A and the amendment of other related deeds.
