PENYESUAIAN SYARAT DAN KETENTUAN
WARAN TERSTRUKTUR
ADROZPCG5A DAN ADROZPCK5A
Kami mengacu pada pengumuman PT Alamtri Resources Indonesia Tbk (“ADRO”) pada
tanggal 17 Desember 2024 sehubungan dengan pembagian dividen tahun buku 2024 sebesar
USD200.000.000 (dua ratus juta Dolar Amerika Serikat) (“Dividen Tunai”).
Sesuai dengan syarat dan ketentuan yang tercantum dalam Bagian 3.8 Prospektus tertanggal
31 Januari 2023 dan Term Sheet ADROZPCG5A dan ADROZPCK5A, Harga Pelaksanaan
dan Rasio Konversi waran terstruktur tersebut akan disesuaikan berdasarkan rumus berikut:

E: Rasio Konversi yang lama sebelum Dividen Tunai.
K: Harga Pelaksanaan yang lama sebelum Dividen Tunai.
P: Harga perdagangan terakhir ADRO pada cum-date.
D: Dividen Tunai untuk setiap saham ADRO.
Mohon menjadi perhatian bahwa Penerbit atas kebijaksanaannya akan mempertimbangkan
keadaan aksi korporasi tersebut dan dampaknya terhadap nilai teoritis underlying waran
terstruktur, dan penyesuaian mungkin tidak dilakukan jika Penerbit menganggap tidak adanya
penyesuaian dianggap tepat.
Dimana penyesuaian dilakukan, penyesuaian terhadap waran terstruktur tersebut akan
berlaku pada tanggal-tanggal berikut:

ADJUSTMENT TO THE TERMS AND CONDITIONS
OF STRUCTURED WARRANT
ADROZPCG5A DAN ADROZPCK5A
We refer to the announcement of PT Alamtri Recources Indonesia Tbk (“ADRO”) dated 17
December 2024 in relation to the distribution of dividend for the fiscal year 2024 amounting to
US$200,000,000 (two hundred million United States dollars) (“Cash Dividend”).
In accordance to the terms and conditions stated in Section 3.8 of the Prospectus dated 31
January 2023 and the Term Sheet of ADROZPCG5A and ADROZPCK5A, the Exercise Price
and Exercise Ratio of the said structured warrants will be adjusted based on the following
formula:

Where,
E: Existing Exercise Ratio immediately prior to the Cash Dividend.
K: Existing Exercise Price immediately prior to the Cash Dividend.
P: The last trading price of ADRO on cum-date.
D: Cash Dividend for each ADRO Share.
Please note that Issuer at its sole discretion will consider the circumstances of the corporate
action and its effect to the theoretical value of the underlying structured warrants, and
adjustment may not be made where the Issuer deem no adjustment is required.
Where adjustment is made, the adjustment to the said structured warrants will take effect on
the following dates:
Regular Market and Negotiated Market 30 December 2024
Cash Market 3 January 2025
