Uraian Informasi atau Fakta Material a. Obyek dan Nilai Transaksi
Pada tanggal 16 Desember 2024, Perseroan telah
menandatangani Perjanjian Fasilitas Kredit dengan PT Bank
Shinhan Indonesia (Bank Shinhan) dengan nilai sebesar
Rp40.000.000.000 (Empat puluh miliar Rupiah) (Perjanjian
Kredit). Jatuh tempo atas Perjanjian Fasilitas Kredit adalah
sebesar 5 (lima) tahun.
Dokumen jaminan untuk perolehan fasilitas pinjaman ini
adalah Corporate Guarantee dari CJ CGV Co., Ltd selaku
pemegang saham pengendali Perseroan secara tidak
langsung.
Tujuan dari fasilitas pinjaman ini adalah untuk membiayai
kebutuhan modal kerja Perseroan.
b. Pihak-Pihak yang Melakukan Transaksi dalam
Perjanjian Kredit
i. Perseroan; dan
ii. PT Bank Shinhan Indonesia, suatu perseroan yang
didirikan dan tunduk berdasarkan hukum Negara Republik
Indonesia. Tidak ada hubungan afiliasi dengan Perseroan.

Facts On December 16, 2024 Company has executed Loan Facility
Agreement with PT Bank Shinhan Indonesia (Bank Shinhan)
with total amount of Rp. 40,000,000,000 (forty billion Rupiah)
(Loan Agreement). Date of the Loan Facility is for 5 year.
Guarantee document for obtaining the loan facility is a
Corporate Guarantee provided by CJ CGV Co., Ltd as the
controlling shareholders of the company indirectly.
The sole purpose of the loan facility is for financing the
Companys working capital needs.
b. Parties Involved on the Transaction to the Loan
Agreement
i. The Company; and
ii. PT Bank Shinan Indonesia, a company established
and subject to laws of the Republic of Indonesia. There is no
affiliation relation with the Company.
