As of 1 December 2023, the completion of the sale and purchase of shares of PT Anugerah Surya
Pacific Resources (“ASPR”) has occurred as all conditions precedent in a Conditional Shares Sale
and Purchase Agreement (“Agreement”) between PT Danusa Tambang Nusantara (“DTN”), a
controlled entity of the Company with (i) PT Kalira Pascama, (ii) PT Bintang Prima Investama, and (iii)
PT Anugerah Dayakaya Angkasa, (all referred to as “Sellers”) have been fulfilled by each party and
DTN has made the payment for the sale and purchase transaction of ASPR’s shares with the total
amount of IDR1,621,076,541,587 (one trillion six hundred twenty-one billion seventy-six million five
hundred forty-one thousand five hundred eighty-seven Rupiah) to the Sellers.

Berdasarkan ketentuan dalam Perjanjian, DTN dan Para Penjual sepakat pada tanggal yang
disepakati, DTN akan menyerahkan kepada Para Penjual perhitungan jumlah keseluruhan yang harus
dibayarkan untuk pembelian saham ASPR untuk memastikan apakah terdapat penyesuaian nilai
transaksi jual beli saham ASPR. Adapun setelah : (i) pemeriksaan yang telah dilakukan oleh DTN atas
laporan keuangan ASPR; dan (ii) dilaksanakannya pertemuan antara DTN dan Para Penjual,
disepakati bahwa terdapat penyesuaian harga total nilai keseluruhan pembayaran transaksi jual beli
saham, yang sebelumnya sebesar Rp1.621.076.541.587 (satu triliun enam ratus dua puluh satu miliar
tujuh puluh enam juta lima ratus empat puluh satu ribu lima ratus delapan puluh tujuh Rupiah) menjadi
Rp1.636.707.669.621 (satu triliun enam ratus tiga puluh enam miliar tujuh ratus tujuh juta enam ratus
enam puluh sembilan ribu enam ratus dua puluh satu Rupiah) (“Penyesuaian Harga Transaksi”)
dikarenakan adanya realisasi atas total penyesuaian dari item perhitungan harga transaksi pembelian
saham yang telah disepakati sebelumnya oleh DTN dan Para Penjual dalam Perjanjian.

Based on the provisions of the Agreement, DTN and the Sellers agreed that on the date agreed, DTN
will submit to the Sellers the calculation of the total amount that must be paid for the purchase of
ASPR’s shares to assure whether there is any adjustment over the amount of the share sale and
purchase transaction of ASPR’s shares. After (i) DTN's assessment of ASPR's financial statements;
and (ii) meeting among DTN and the Sellers, it was agreed that there would be an adjustment of the
total price adjustment of the total value of the payment for the sale and purchase of shares transaction,
which was previously Rp1,621,076,541,587 (one trillion six hundred twenty-one billion seventy million
six hundred forty-one thousand five hundred eighty-seven Rupiah) to Rp 1,636,707,669,621 (one
trillion six hundred thirty-six billion seven hundred seven million six hundred sixty-nine thousand six
hundred twenty-one Rupiah) (“Transaction Price Adjustment”) due to the realization of the total
adjustment for the transaction price calculation items for the share purchase that was previously
agreed upon by the DTN and the Sellers in the Agreement.

Sehubungan dengan informasi di atas, Perseroan dengan ini memberitahukan bahwa pada tanggal
16 Desember 2024, DTN telah melakukan pembayaran dana Penyesuaian Harga Transaksi kepada
Para Penjual sebesar Rp15.631.128.034 (lima belas miliar enam ratus tiga puluh satu juta seratus
dua puluh delapan ribu tiga puluh empat Rupiah).

In connection with the information above, the Company hereby notifies that on the date 16 December
2024, DTN has made a payment of Transaction Price Adjustment funds to the Sellers in the amount
of Rp 15,631,128,034 (fifteen billion six hundred thirty-one million one hundred twenty-eight thousand
thirty-four Rupiah).

Selain dari apa yang disebutkan di atas, informasi yang telah disampaikan dalam Keterbukaan
Informasi 5 Desember 2023 masih tetap sama dan tidak berubah.

Other than the above, the information that had been disclosed under the Disclosure Information 5
December 2023 remains valid, and nothing changed.
