1. Sehubungan dengan lebih dari 50% aset Perseroan terdapat eksposur kepada pihak
berelasi (piutang usaha, piutang lain-lain, pinjaman, obligasi konversi, saham afiliasi dan
investasi pada entitas asosiasi), bagaimana manajemen memastikan seluruh transaksi
dilaksanakan secara wajar (arm’s length) dan telah melalui prosedur transaksi
afiliasi/benturan kepentingan sesuai dengan Peraturan Otoritas Jasa Keuangan?
Tanggapan:
Per 30 Juni 2026, akumulasi eksposur aset kepada pihak berelasi tercatat sebesar
Rp389.123 juta atau 51,96% dari total aset konsolidasian sebesar Rp748.860 juta.
Mekanisme yang diterapkan manajemen untuk memastikan seluruh transaksi
dilaksanakan secara wajar (arm’s length) dan telah melalui prosedur transaksi afiliasi
adalah sebagai berikut:
a. Kebijakan penjualan. Perseroan menerapkan kebijakan penjualan yang ditentukan
berdasarkan mekanisme pasar dengan mempertimbangkan kredibiltas pelanggan,
harga pasar yang berlaku, kondisi persaingan usaha, dan volume penjualan. Hal ini
berlaku baik kepada pelanggan pihak ketiga maupun berelasi.
b. Pengenaan bunga. Perseroan mengenakan bunga atas piutang non usaha pada
pihak berelasi dengan tingkat bunga yang layak (mengikuti suku bunga kredit
perbankan) sehingga tidak merugikan Perseroan.
c. Kebijakan investasi. Tolak ukur utama dalam melakukan pemilihan investasi adalah
potensi sinergi dengan strategi utama Perseroan dalam memperkuat ekosistem digital
yang sedang dibangun sebagai perusahaan yang bergerak dibidang usaha jasa
teknologi informasi dan digital. Assessment ini dibahas dalam forum rapat direksi dan
komisaris untuk memastikan tolak ukur ini terpenuhi.
d. Materialitas transaksi. Tidak terdapat transaksi yang mencapai ambang 20% ekuitas
Perseroan sebagaimana diatur dalam POJK 17/POJK.04/2020.
e. Benturan kepentingan. Manajemen berupaya agar transaksi yang dilakukan dengan
pihak berelasi tidak menimbulkan perbedaan kepentingan ekonomis antara Perseroan
dengan anggota Direksi, Dewan Komisaris, atau pemegang saham utama serta tidak
merugikan Perseroan. Transaksi dengan pihak berelasi harus berlandaskan tujuan
untuk memperkuat fundamental usaha Perseroan. Penerapan bunga seperti yang
disampaikan pada poin (b) juga merupakan suatu bentuk konkret Perseroan agar

Perusahaan tetap mendapat manfaat ekonomis yang layak atas transaksi yang
dilakukan dengan pihak berelasi (tidak merugikan Perseroan).
2. Sehubungan dengan total liabilitas Perseroan per 30 Juni 2026 yang meningkat signifikan
sebesar Rp42,94 miliar atau 126,9% menjadi Rp76,79 miliar, terutama disebabkan oleh
peningkatan utang bank jangka pendek sebesar Rp38,12 miliar menjadi Rp40,59 miliar,
berdasarkan CALK nomor 18 – Utang Bank Jangka Pendek, agar dijelaskan:
a. Latar belakang dan tujuan peningkatan fasilitas utang bank jangka pendek Perseroan,
termasuk fasilitas kredit baru kepada PT Berkah Karunia Kreasi sebesar Rp23,02
miliar dan peningkatan fasilitas kepada PT Berkah Trijaya Indonesia menjadi Rp17,56
miliar.
b. Sumber pembayaran pokok dan bunga atas fasilitas tersebut serta kemampuan
Perseroan dalam memenuhi kewajiban pada saat jatuh tempo.
c. Apakah terdapat rencana penambahan fasilitas pinjaman atau pendanaan lainnya
dalam waktu dekat?
Tanggapan:
a. Latar belakang dan tujuan peningkatan fasilitas
Latar belakang peningkatan saldo utang bank jangka pendek Perseroan adalah
sebagai berikut:
(i) Saldo Rp2.470 juta pada 31 Desember 2025 merupakan posisi yang rendah
karena sebagian besar fasilitas, terutama yang berasal dari Bank Permata,
telah berakhir dan dilunasi pada akhir tahun. Sebagai ilustrasi, saldo hutang
bank jangka pendek pada 31 Desember 2024 adalah Rp72.299 juta, yang
mana angkanya masih lebih tinggi dibanding saldo per 30 Juni 2026 sebesar
Rp40.592 juta.
(ii) Perseroan berhasil melakukan penggantian struktur pendanaan dari fasilitas
berbiaya lebih tinggi, dari Bank Permata (bunga 9,75%, dilunasi pada
November 2025) kepada BCA (bunga 8,25%).
Dengan demikian, perbandingan kedua tanggal mencerminkan siklus
penarikan fasilitas revolving, bukan penambahan leverage struktural. Rasio
total liabilitas terhadap ekuitas pada 31 Desember 2025 dan 30 Juni 2026
masih sangat rendah, dibawah 0,2x.
Tujuan fasilitas adalah pembiayaan pembelian persediaan produk digital
telekomunikasi dari Telkomsel dan XLSmart, sesuai sifat kegiatan usaha
distribusi produk digital.
b. Sumber pembayaran pokok dan bunga serta kemampuan pemenuhan kewajiban
Sumber pembayaran pokok dan bunga adalah berasal dari kas internal Perseroan
serta didukung oleh aset lancar Perseroan yang mencukupi (mengingat utang bank
jangka pendek Perseroan merupakan fasilitas kredit modal kerja yang bersifat
revolving). Perseroan memiliki kemampuan pemenuhan kewajiban yang baik

terhadap utang bank jangka pendek ini. Hal ini tergambar dari rasio EBITDA-to-
interest sebesar 10,8x dan rasio lancar sebesar 8,4x per 30 Juni 2026.
c. Rencana penambahan fasilitas pinjaman atau pendanaan lainnya
Sampai dengan tanggal surat ini, Perseroan masih belum memiliki rencana
penambahan fasilitas pinjaman atau pendanaan lainnya. Sebagai gambaran saldo
utang bank jangka pendek Perseroan baru mencapai Rp 40,6 miliar atau 64% dari
total plafon sebesar Rp 63,3 miliar per 30 Juni 2026.
3. Berdasarkan CALK nomor 9 – Persediaan, persediaan Perseroan meningkat sebesar
Rp19,95 miliar atau 14,7% menjadi Rp154,08 miliar, terutama akibat kenaikan persediaan
produk digital menjadi Rp142,53 miliar, sementara nilai pembelian persediaan justru
menurun dari Rp2,77 triliun menjadi Rp1,32 triliun dan Inventory Turnover menurun
menjadi 13,51 kali. Agar dijelaskan:
a. Faktor utama yang menyebabkan peningkatan persediaan produk digital di tengah
penurunan aktivitas pembelian dan pendapatan Perseroan.
Tanggapan:
Perseroan menyampaikan bahwa nilai pembelian persediaan sebesar Rp1.321.053
juta merupakan angka enam bulan (1 Januari – 30 Juni 2026), sedangkan
Rp2.771.465 juta merupakan angka dua belas bulan tahun 2025. Atas dasar
disetahunkan, estimasi pembelian FY 2026 diperkirakan mencapai Rp2.642.106 juta,
atau hanya turun 4,7% dibandingkan tahun 2025 bukan 52,3%. Dengan demikian,
tidak terdapat kondisi peningkatan persediaan di tengah penurunan aktivitas
pembelian yang ekstrem; aktivitas pembelian relatif stabil. Fluktuasi atas persediaan
masih didalam rentang kebijakan Perseroan yaitu antara 2 minggu sampai 4 minggu.
b. Jenis dan karakteristik persediaan produk digital yang mengalami peningkatan
tersebut, termasuk tingkat perputaran dan potensi keusangan atau penurunan nilai.
Tanggapan:
Persediaan produk digital berupa alokasi voucher elektronik, pulsa, dan paket data
telekomunikasi. Persediaan ini umumnya berbentuk digital, sehingga tidak mudah
rusak atau hilang secara fisik.
c. Strategi Perseroan untuk mengoptimalkan persediaan dan mempercepat
perputarannya.
Tanggapan:
Memperluas kanal distribusi kepada ritel modern, gerai O2O, mitra layanan keuangan
digital untuk mempercepat penyerapan alokasi produk digital.

d. Apakah Perseroan telah melakukan evaluasi atas kecukupan penyisihan penurunan
nilai persediaan dan potensi dampaknya terhadap kinerja keuangan apabila
persediaan tersebut tidak dapat terserap sesuai rencana?
Tanggapan:
Mengingat hampir seluruh persediaan Perseroan merupakan produk digital yang
memiliki resiko kerusakan dan kehilangan relatif rendah maka Perseroan merasa
belum memerlukan pembentukkan pencadangan atas nilai persediaan. Selain itu,
produk digital bukan merupakan barang fashion sehingga memiliki resiko yang juga
sangat rendah terhadap dampak keuangan jika persediaan tersebut tidak terserap
sesuai rencana (dapat dialokasikan ke periode berikutnya).
4. Berdasarkan Catatan atas Laporan Keuangan (CALK) nomor 5 – Investasi Lainnya, nilai
investasi lainnya menurun sebesar Rp37,02 miliar menjadi Rp62,24 miliar akibat
pengakuan rugi investasi yang belum terealisasi atas investasi saham. Agar dijelaskan:
a. Latar belakang penetapan investasi pada TFAS, MCAS, NFCX dan DMMX sebagai
efek diperdagangkan (FVTPL)? Mengingat kepemilikan dilakukan berkelanjutan tanpa
realisasi.
Tanggapan:
Latar belakang manajemen dalam melakukan penetapan investasi pada TFAS,
MCAS, NFCX dan DMMX sebagai efek diperdagangkan (FVTPL) adalah jika
instrumen investasi tersebut diperdagangkan di Bursa Efek Indonesia (Public Listed
Companies).
b. Bagaimana kebijakan manajemen risiko atas portofolio pihak berelasi?
Tanggapan:
Pemantauan berkala atas harga pasar dan kinerja keuangan masing-masing
emiten afiliasi.
Pengukuran konsentrasi terhadap total aset: eksposur turun dari 13,45% (31
Desember 2025) menjadi 8,31% (30 Juni 2026).
Tidak terdapat pembelian secara leverage (pembiayaan margin) atas portofolio ini;
c. Faktor utama yang menyebabkan penurunan nilai investasi pada masing-masing
kelompok investasi tersebut.
Tanggapan:
Faktor utama yang menyebabkan penurunan nilai investasi pada masing-masing
kelompok investasi tersebut adalah penurunan harga pasar saham, mengingat
Perseroan membukukan nilai investasi tersebut menggunakan metode marked-to-
market.

d. Apakah terdapat rencana untuk melakukan divestasi, penambahan investasi, atau
perubahan komposisi portofolio investasi Perseroan?
Tanggapan:
Perseroan tidak menutup kemungkinan terhadap rencana untuk melakukan divestasi,
penambahan investasi, atau perubahan komposisi portofolio investasi Perseroan. Hal
ini bergantung pada kinerja harga saham, kondisi likuiditas pasar saham, fundamental
perusahaan serta kebutuhan keuangan dari Perseroan.
e. Dampak penurunan nilai investasi tersebut terhadap strategi investasi dan kinerja
keuangan Perseroan ke depan.
Tanggapan:
Penurunan nilai investasi tersebut bersifat non-kas sehingga tidak berdampak
terhadap cash profit Perseroan, dampaknya lebih ke accounting profit. Strategi
investasi Perseroan tetap berlandaskan tolak ukur utama, yaitu investasi yang dapat
memperkuat ekosistem digital yang sedang dibangun sebagai perusahaan yang
bergerak di bidang usaha jasa teknologi informasi dan digital.
5. Sehubungan dengan pendapatan Perseroan per 30 Juni 2026 yang menurun sebesar
Rp349,36 miliar atau 19,9% menjadi Rp1,41 triliun, terutama akibat penurunan penjualan
ritel digital dan lifestyle digital serta penurunan pendapatan dari pihak berelasi,
berdasarkan CALK nomor 29 – Penjualan Neto, agar dijelaskan:
a. Faktor utama yang menyebabkan penurunan penjualan, termasuk pengaruh
perubahan volume transaksi, harga, maupun permintaan pasar.
Tanggapan:
Faktor utama yang menyebabkan penurunan penjualan terutama dipengaruhi oleh
kondisi makro ekonomi Indonesia yang relatif belum stabil sehingga mempengaruhi
daya beli konsumen. Sektor UMKM Indonesia yang merupakan mitra usaha
Perseroan juga terdampak yang tergambar dari rasio kredit macet (gross NPL ratio)
yang cenderung mengalami peningkatan, dari 4,0% pada Januari 2025 menjadi 4,6%
pada Januari 2026.
b. Penyebab penurunan pendapatan dari pihak berelasi dari Rp341,64 miliar menjadi
Rp111,06 miliar serta apakah penurunan tersebut bersifat sementara atau berpotensi
berlanjut.
Tanggapan:
Perseroan tidak mengandalkan sumber pendapatan dari penjualan kepada pihak
berelasi. Hal ini dapat terlihat dari prosentase penjualan kepada pihak berelasi yang
hanya mencapai 19,5% pada 6M25 dan 7,9% pada 6M26. Faktor permintaan dari
pihak berelasi di luar kontrol Perusahaan dan merupakan kebijakan dari para pihak

berelasi tersebut, yang dipengaruhi oleh kombinasi dari faktor supply dan demand.
Jika melihat laporan keuangan yang telah dipublikasikan ke publik oleh PT M Cash
Integrasi Tbk (MCAS), PT NFC Indonesia Tbk (NFCX) dan PT Digital Mediatama
Maxima Tbk (DMMX), terdapat potensi penurunan pembelian kepada Perseroan
mengingat kinerja penjualan mereka yang mengalami penurunan.
c. Strategi Perseroan untuk meningkatkan kembali pendapatan dan mengurangi
ketergantungan terhadap pelanggan atau pihak berelasi tertentu.
Tanggapan
Strategi meningkatkan kembali pendapatan dan mengurangi ketergantungan
terhadap pelanggan atau pihak berelasi tertentu adalah sebagai berikut:
Memperluas basis pelanggan pihak ketiga melalui kanal ritel modern, gerai O2O,
dan mitra layanan keuangan digital
Menambah variasi produk dari operator telekomunikasi lain untuk mengurangi
ketergantungan pada satu pemasok maupun satu kanal.
Mengembangkan segmen lifestyle digital serta layanan solusi pembayaran yang
memiliki marjin lebih baik.
Memperkuat kerja sama dengan mitra strategis baru dan memperluas jaringan
distribusi UMKM.
Sebagai catatan, pada semester I 2026 tidak terdapat penjualan kepada satu
pelanggan yang melebihi 10% dari jumlah penjualan konsolidasian (CALK 29).
6. Perseroan berbalik membukukan rugi neto tahun berjalan sebesar Rp31,97 miliar per 30
Juni 2026, dibandingkan dengan laba neto tahun berjalan sebesar Rp22,38 miliar pada
periode yang sama tahun sebelumnya. Agar dijelaskan:
a. Evaluasi manajemen terhadap keberlanjutan model bisnis dan profitabilitas Perseroan
dalam kondisi penurunan pendapatan saat ini.
Tanggapan:
Evaluasi manajemen terhadap keberlanjutan model bisnis yang ada adalah Perseroan
harus mengembangkan produk dan layanan yang lebih inovatif dan bernilai tambah
tinggi, serta melakukan terobosan saluran distribusi agar dapat menciptakan daya
saing yang menghasilkan pricing power (menghindari red ocean). Efisiensi lewat
operational excellence juga harus terus ditingkatkan guna memperkuat keunggulan
kompetitif di pasar mengingat persaingan yang semakin meningkat.
b. Langkah konkret yang akan dilakukan untuk meningkatkan margin dan membukukan
laba.
Tanggapan:
Memperkuat pengembangan pasar melalui produk dan layanan inovatif berbasis
teknologi.

Melakukan pengawasan dan dukungan yang lebih intensif terhadap entitas anak,
entitas asosiasi, dan investasi Grup.
Melanjutkan efisiensi biaya dan peningkatan skala ekonomi.
Mengurangi segmen usaha bermarjin tipis dan mengalihkan kapasitas ke segmen
bermarjin lebih baik (lifestyle digital, solusi pembayaran, layanan O2O).
c. Target atau indikator kinerja yang ditetapkan manajemen untuk pemulihan
profitabilitas sampai dengan akhir tahun 2026.
Tanggapan:
Menjaga marjin laba kotor di atas 4,0%.
Mempertahankan laba usaha yang positif.
7. Berdasarkan CALK nomor 16 – Investasi Obligasi, Perseroan memiliki obligasi konversi
sebesar Rp68 miliar dengan PT Qerja Manfaat Bangsa, di mana berdasarkan addendum
II perjanjian obligasi konversi akan jatuh tempo pada 31 Desember 2026. Agar dijelaskan:
a. Apakah terdapat indikasi penurunan nilai atas investasi obligasi tersebut?
Tanggapan:
Manajemen berpendapat bahwa belum terdapat indikasi penurunan nilai atas nilai
obligasi tersebut mempertimbangkah hal-hal berikut:
PT Qerja Manfaat Bangsa (“QMB”) masih mengakui kewajiban pokok obligasi
sebesar Rp68.000.000.000 kepada Perseroan.
Kinerja keuangan QMB memperlihatkan tren peningkatan pendapatan sebesar
68,7% YoY, dari Rp81,7 miliar pada 2024 menjadi Rp137,8 miliar pada 2025.
b. Apakah terdapat rencana konversi menjadi saham saat jatuh tempo di 31 Desember
2026?
Tanggapan:
Sampai dengan saat ini, Perseroan belum berencana untuk melakukan konversi
menjadi saham atas obligasi konversi QMB saat jatuh tempo di 31 Desember 2026.
8. Berdasarkan CALK nomor 33 – Pendapatan dan Beban Bunga, beban bunga Perseroan
menurun menjadi Rp1,38 miliar, namun pada tahun 2026 terdapat peningkatan utang
bank jangka pendek secara signifikan dari Rp2,47 miliar pada 31 Desember 2025 menjadi
Rp40,59 miliar pada 30 Juni 2026. Agar dijelaskan:
a. Latar belakang peningkatan utang bank tidak diikuti dengan peningkatan beban bunga
secara proporsional.
Tanggapan:
Beban bunga diakui berdasarkan saldo terutang harian selama periode, bukan

berdasarkan saldo pada tanggal pelaporan yang mana saldo rata-rata utang jauh lebih
rendah daripada saldo akhir.
Faktor pendukung lainnya:
Fasilitas kredit PT Bank Permata Tbk baru dilunasi pada November 2025. Bunga
kredit Bank Permata sebesar 9,75% juga lebih tinggi dibanding BCA yang hanya
8,25%.
Total beban bunga Rp1.382 juta juga mencakup liabilitas sewa Rp108 juta, utang
pembiayaan Rp33 juta, dan utang pihak ketiga Rp456 juta, sehingga tidak
seluruhnya berkaitan dengan utang bank.
b. Dampak peningkatan utang berbunga tersebut terhadap beban keuangan dan arus
kas Perseroan ke depan.
Tanggapan:
Dampak peningkatan utang berbunga tersebut terhadap beban keuangan dan arus
kas Perseroan ke depan relatif terbatas mengingat rasio gearing perusahaan
sangatlah rendah, hanya mencapai -0,05x pada 31 Desember 2025 dan 0,01x pada
30 Juni 2026, dan rasio EBITDA-to-interest sangat tinggi, mencapai 20,1x pada 31
Desember 2025 dan 10,8x pada 30 Juni 2026.
9. Kondisi arus kas operasi Perseroan per 30 Juni 2026 membukukan pengeluaran neto
sebesar Rp11,88 miliar dibandingkan penerimaan neto sebesar Rp26,49 miliar pada
periode yang sama tahun sebelumnya, terutama akibat penurunan penerimaan dari

1. In relation to the fact that more than 50% of the Company’s assets are exposed to related
parties (trade receivables, other receivables, loans, convertible bonds, shares in affiliated
companies and investments in associates), how does management ensure that all
transactions are conducted fairly (on an arm’s-length basis) and have undergone the
procedures applicable to affiliated-party transactions/conflict-of-interest transactions in
accordance with the Financial Services Authority regulations?
Response:
As of 30 June 2026, the Company’s aggregate asset exposure to related parties amounted
to Rp389,123 million, representing 51.96% of total consolidated assets of Rp748,860
million.
The mechanisms implemented by management to ensure that all transactions are
conducted fairly (on an arm’s-length basis) and have undergone the applicable affiliated-
party transaction procedures are as follows:
a. Sales policy. The Company applies a sales policy determined based on market
mechanisms, taking into account customer credibility, prevailing market prices,
competitive conditions and sales volume. This applies to both third-party and related-
party customers.
b. Interest charges. The Company charges interest on non-trade receivables from
related parties at a reasonable rate (with reference to bank lending rates), so that such
transactions are not detrimental to the Company.
c. Investment policy. The primary criterion in selecting investments is their potential
synergy with the Company’s principal strategy of strengthening the digital ecosystem
it is developing as a company engaged in information technology and digital services.
This assessment is discussed at meetings of the Board of Directors and Board of
Commissioners to ensure that this criterion is met.
d. Transaction materiality. There are no transactions that reach the threshold of 20%
of the Company’s equity as stipulated under POJK No. 17/POJK.04/2020.
e. Conflict of interest. Management seeks to ensure that transactions with related
parties do not give rise to differences in economic interests between the Company and
members of the Board of Directors, Board of Commissioners or major shareholders,
and are not detrimental to the Company. Transactions with related parties must be
based on the objective of strengthening the Company’s business fundamentals. The
imposition of interest as described in point (b) is also a concrete measure to ensure

2. In relation to the Company’s total liabilities as of 30 June 2026, which increased
significantly by Rp42.94 billion or 126.9% to Rp76.79 billion, mainly due to an increase in
short-term bank loans of Rp38.12 billion to Rp40.59 billion, based on Note 18 to the
Financial Statements – Short-Term Bank Loans, please explain:
a. The background and purpose of the increase in the Company’s short-term bank loan
facilities, including the new credit facility to PT Berkah Karunia Kreasi amounting to
Rp23.02 billion and the increase in the facility to PT Berkah Trijaya Indonesia to
Rp17.56 billion.
b. The sources of repayment of principal and interest on such facilities and the
Company’s ability to meet its obligations when due.
c. Whether there are any plans to obtain additional loan facilities or other funding in the
near term.
Response:
a. Background and purpose of the increase in facilities
The background to the increase in the Company’s short-term bank loan balance is as
follows:
(i) The balance of Rp2,470 million as of 31 December 2025 represented a
relatively low position because most facilities, particularly those from Bank
Permata, had expired and been repaid toward the end of the year. For
illustration, the short-term bank loan balance as of 31 December 2024 was
Rp72,299 million, which was still higher than the balance of Rp40,592 million
as of 30 June 2026.
(ii) The Company successfully replaced higher-cost funding facilities from Bank
Permata (interest rate of 9.75%, repaid in November 2025) with BCA facilities
(interest rate of 8.25%).
Accordingly, the comparison between the two reporting dates reflects the
drawdown cycle of revolving facilities rather than an increase in structural
leverage. The Company’s total liabilities-to-equity ratio as of 31 December
2025 and 30 June 2026 remained very low, at below 0.2x.
The purpose of the facilities is to finance purchases of telecommunications
digital product inventories from Telkomsel and XLSmart, in line with the nature
of the Company’s digital product distribution business.
b. Sources of principal and interest repayment and ability to meet obligations
Principal and interest payments are sourced from the Company’s internal cash
resources and are supported by sufficient current assets, considering that the
Company’s short-term bank loans are revolving working capital credit facilities. The
Company has a sound capacity to meet its obligations under these short-term bank
loans, as reflected in an EBITDA-to-interest ratio of 10.8x and a current ratio of 8.4x
as of 30 June 2026.

As of the date of this letter, the Company does not currently have any plans to obtain
additional loan facilities or other funding. For illustration, the Company’s short-term
bank loan balance was only Rp40.6 billion, or 64% of the total facility limit of Rp63.3
billion, as of 30 June 2026.
3. Based on Note 9 to the Financial Statements – Inventories, the Company’s inventories
increased by Rp19.95 billion or 14.7% to Rp154.08 billion, mainly due to an increase in
digital product inventories to Rp142.53 billion, while inventory purchases decreased from
Rp2.77 trillion to Rp1.32 trillion and Inventory Turnover decreased to 13.51 times. Please
explain:
a. The main factors causing the increase in digital product inventories amid the decline
in the Company’s purchasing activities and revenue.
Response:
The Company notes that inventory purchases of Rp1,321,053 million represent a six-
month figure (1 January – 30 June 2026), whereas Rp2,771,465 million represents the
twelve-month figure for 2025. On an annualized basis, estimated FY2026 purchases
would amount to Rp2,642,106 million, representing a decrease of only 4.7% compared
with 2025, rather than 52.3%. Accordingly, there is no condition of inventory increasing
amid an extreme decline in purchasing activity; purchasing activity has remained
relatively stable. Inventory fluctuations remain within the Company’s policy range of
two to four weeks.
b. The types and characteristics of the digital product inventories that increased,
including their turnover rate and the potential for obsolescence or impairment.
Response:
Digital product inventories consist of allocations of electronic vouchers, prepaid airtime
and telecommunications data packages. These inventories are generally digital in
nature and therefore are not readily subject to physical damage or loss.
c. The Company’s strategy to optimize inventories and accelerate their turnover.
Response:
Expanding distribution channels to modern retail outlets, O2O outlets and digital
financial services partners to accelerate the utilization of digital product allocations.
d. Has the Company evaluated the adequacy of its allowance for inventory impairment
and the potential impact on financial performance if such inventories cannot be

Response:
Considering that substantially all of the Company’s inventories comprise digital
products with relatively low risk of damage and loss, the Company considers that an

if they are not utilized as planned, as they can be allocated to subsequent periods.
4. Based on Note 5 to the Financial Statements – Other Investments, the value of other
investments decreased by Rp37.02 billion to Rp62.24 billion due to the recognition of
unrealized investment losses on share investments. Please explain:
a. The basis for classifying the investments in TFAS, MCAS, NFCX and DMMX as trading
securities (FVTPL), considering that the holdings have been maintained on an ongoing
basis without realization.
Response:
Management’s basis for classifying investments in TFAS, MCAS, NFCX and DMMX
as trading securities (FVTPL) is that such investment instruments are traded on the
Indonesia Stock Exchange (public listed companies).
b. What is management’s risk management policy for the related-party portfolio?
Response:
Periodic monitoring of the market prices and financial performance of each
affiliated listed company.
Measurement of concentration relative to total assets: exposure decreased from
13.45% (31 December 2025) to 8.31% (30 June 2026).
There are no leveraged purchases (margin financing) in respect of this portfolio.

Response:
The main factor causing the decline in the value of each investment group was the
decrease in market share prices, considering that the Company records these
investments on a mark-to-market basis.

of the Company’s investment portfolio?
Response:
The Company does not rule out the possibility of divestment, additional investments,
or changes in the composition of its investment portfolio. This will depend on share
price performance, stock market liquidity conditions, the fundamentals of the relevant
companies, and the Company’s financial requirements.

The decline in investment values is non-cash and therefore does not affect the
Company’s cash profit; its impact is primarily on accounting profit. The Company’s
investment strategy remains based on its primary criterion, namely investments that
can strengthen the digital ecosystem being developed by the Company as an
information technology and digital services company.
5. In relation to the Company’s revenue as of 30 June 2026, which decreased by Rp349.36
billion or 19.9% to Rp1.41 trillion, mainly due to lower digital retail and digital lifestyle sales
as well as lower revenue from related parties, based on Note 29 to the Financial
Statements – Net Sales, please explain:
a. The main factors causing the decline in sales, including the impact of changes in
transaction volume, prices and market demand.
Response:
The main factor causing the decline in sales was primarily the relatively unstable
Indonesian macroeconomic environment, which affected consumer purchasing power.
Indonesia’s MSME sector, which comprises the Company’s business partners, was
also affected, as reflected in the gross NPL ratio, which tended to increase from 4.0%
in January 2025 to 4.6% in January 2026.
b. The reasons for the decline in revenue from related parties from Rp341.64 billion to
Rp111.06 billion and whether such decline is temporary or may continue.
Response:
The Company does not rely on sales to related parties as a source of revenue. This is
reflected in the percentage of sales to related parties, which accounted for only 19.5%
in 6M25 and 7.9% in 6M26. Demand from related parties is beyond the Company’s
control and is determined by the policies of those related parties, which are influenced
by a combination of supply and demand factors. Based on the financial statements
publicly disclosed by PT M Cash Integrasi Tbk (MCAS), PT NFC Indonesia Tbk
(NFCX) and PT Digital Mediatama Maxima Tbk (DMMX), there is potential for a decline
in their purchases from the Company given the decline in their sales performance.
c. The Company’s strategy to restore revenue growth and reduce dependence on
particular customers or related parties.
Response:
The Company’s strategies to restore revenue growth and reduce dependence on

6. The Company recorded a net loss for the period of Rp31.97 billion as of 30 June 2026,
compared with net profit for the period of Rp22.38 billion in the corresponding period of
the previous year. Please explain:
a. Management’s assessment of the sustainability of the Company’s business model and
profitability under the current declining revenue conditions.
Response:
Management’s assessment of the sustainability of the existing business model is that
the Company needs to develop more innovative and higher value-added products and
services, as well as pursue breakthroughs in distribution channels, in order to create
competitive advantages that generate pricing power (avoiding a red ocean). Efficiency
through operational excellence must also continue to be enhanced to strengthen the
Company’s competitive advantage in the market amid increasing competition.
b. Concrete measures to be taken to improve margins and generate profit.
Response:
Strengthen market development through innovative technology-based products
and services.
Conduct more intensive oversight of and provide greater support to the Group’s
subsidiaries, associates and investments.

Management is of the view that there are currently no indications of impairment of the
bond investment, taking into consideration the following:
PT Qerja Manfaat Bangsa (“QMB”) continues to recognize the Rp68,000,000,000
principal amount of the bond as an obligation to the Company.
QMB’s financial performance shows a 68.7% YoY increase in revenue, from
Rp81.7 billion in 2024 to Rp137.8 billion in 2025.
b. Whether there is any plan to convert the bonds into shares upon maturity on 31

Response:
As of the date hereof, the Company does not currently plan to convert the QMB
convertible bonds into shares upon their maturity on 31 December 2026.
8. Based on Note 33 to the Financial Statements – Interest Income and Expense, the
Company’s interest expense decreased to Rp1.38 billion, while in 2026 short-term bank
loans increased significantly from Rp2.47 billion as of 31 December 2025 to Rp40.59
billion as of 30 June 2026. Please explain:
a. The reasons why the increase in bank loans was not accompanied by a proportional
increase in interest expense.
Response:
Interest expense is recognized based on the daily outstanding balance during the
period, rather than the balance as of the reporting date, and the average outstanding
loan balance was significantly lower than the ending balance.
Other contributing factors include:
The PT Bank Permata Tbk credit facility was only repaid in November 2025. The
Bank Permata lending rate of 9.75% was also higher than BCA’s rate of 8.25%.
Total interest expense of Rp1,382 million also includes lease liabilities of Rp108
million, financing payables of Rp33 million and third-party payables of Rp456
million; accordingly, not all interest expense relates to bank loans.

The Company notes that the cash ratio of 0.56x is measured against all current
liabilities, which include self-liquidating short-term bank loans of Rp40,593 million, the
repayment of which is sourced from the turnover of the inventories financed by such
loans. If measured against non-bank current liabilities, the Company’s cash ratio is
1.35x.

the Company’s liquidity position to remain adequate to meet all short-term obligations.

The Company notes that the Cash Cycle figure of 80.81 days may have been
calculated by applying a 365-day multiplier to six-month flows. Using a 180-day
multiplier corresponding to the interim period, the Company’s cash conversion cycle

The main factor extending the cash cycle was the increase in trade receivable days
and inventory days as of 30 June 2026 compared with 31 December 2025. This
