                                             Seluruh proses pendirian PT MIB dilakukan sesuai dengan
                                             peraturan perundang-undangan yang berlaku, termasuk
                                             pengesahan oleh Kementerian Hukum dan Hak Asasi
                                             Manusia. Dengan kepemilikan saham mayoritas sebesar 51%,
                                             PT Remala Abadi Tbk tetap memiliki kendali strategis terhadap
                                             PT MIB, sehingga tidak menimbulkan risiko hukum signifikan
                                             terhadap kelangsungan usaha Perseroan.

                                             Dampak terhadap Kondisi Keuangan
                                             Dengan penyertaan modal sebesar Rp2.550.000.000 atau
                                             51% dari total modal disetor PT MIB, pendirian ini tidak
                                             memberikan dampak material negatif terhadap kondisi
                                             keuangan Perseroan karena bersumber dari alokasi internal
                                             yang telah direncanakan. Dalam jangka panjang, pendirian ini
                                             diharapkan memberikan kontribusi positif terhadap
                                             pendapatan Perseroan melalui potensi peningkatan layanan
                                             dan diversifikasi portofolio bisnis.

                                             Dampak terhadap Kelangsungan Usaha
                                             Pendirian PT MIB memperkuat posisi Perseroan di pasar ISP
                                             dengan mendukung pengembangan infrastruktur jaringan
                                             telekomunikasi yang menjadi dasar operasional layanan
                                             internet. Melalui diversifikasi usaha ke sektor konstruksi dan
                                             telekomunikasi, Perseroan dapat meningkatkan daya saing
                                             dan ketahanan usaha dalam menghadapi dinamika pasar
                                             teknologi informasi dan komunikasi.

 Description of Material Information or        PT Remala Abadi Tbk has established a joint venture with PT
 Facts                                         Maxindo Mitra Solusi, named PT Mitra Integrasi Bersama, on
                                               December 10, 2024, located in North Jakarta Administrative
                                               City. The Company holds 51% of the shares, equivalent to
                                               25,500 shares, while PT Maxindo Mitra Solusi holds 49% of
                                               the shares, or 24,500 shares. This joint venture aims to
                                               expand the business in the construction and information and
                                               communication sectors, including activities such as
                                               telecommunication infrastructure development (KBLI 42206)
                                               and the provision of communication services and data
                                               distribution (KBLI 61100). The authorized capital of PT Mitra
                                               Integrasi Bersama is IDR 20,000,000,000, with a paid-up
                                               capital of IDR 5,000,000,000. Currently, the deed of
                                               establishment of PT Mitra Integrasi Bersama and the approval
                                               from the Ministry of Law and Human Rights of the Republic of
                                               Indonesia are still in the process of legalization. The
                                               management structure consists of Director, Mr. Johnson, and
                                               Commissioner, Mrs. Verah Wahyudi S. Wong.
