Perseroan sebagai perusahaan terbuka, bersama ini kami
sampaikan bahwa Perseroan telah menerima Surat Keputusan
Menteri Hukum Republik Indonesia Nomor AHU-
0038456.AH.01.02.TAHUN 2026 tanggal 16 Juni 2026 (SK
Menkumham) tentang Persetujuan Perubahan Anggaran
Dasar Perseroan, termasuk perubahan/pengurangan atas
modal ditempatkan dan disetor Perseroan. SK Menkumham ini
merupakan persetujuan atas hasil Rapat Umum Pemegang
Saham Luar Biasa (RUPSLB) Perseroan yang telah
diselenggarakan pada tanggal 15 April 2026. Dalam RUPSLB
tersebut telah disetujui, di antaranya, perubahan modal
ditempatkan dan disetor Perseroan dari semula berjumlah
2.258.279.280 (dua miliar dua ratus lima puluh delapan juta
dua ratus tujuh puluh sembilan ribu dua ratus delapan puluh)
saham menjadi berjumlah 2.227.279.280 (dua miliar dua ratus
dua puluh tujuh juta dua ratus tujuh puluh sembilan ribu dua
ratus delapan puluh) saham.

Disclosure of Information Regarding the Decree of the Minister
Type of Material Information or Facts of Law of the Republic of Indonesia on the Reduction of the
Issued and Paid up Capital of PT MDS Retailing Tbk (formerly
PT Matahari Department Store Tbk) (the Company).
Description of Material Information or In compliance with the Company disclosure obligations as a
Facts public company, we hereby inform that the Company has
received the Decree of the Minister of Law of the Republic of
Indonesia No. AHU-0038456.AH.01.02.TAHUN 2026 dated 16
June 2026 (the Ministerial Decree), concerning the Approval of
Amendments to the Company Articles of Association, including
the amendment/reduction of the Company issued and paid-up
capital.
The Ministerial Decree constitutes the approval of the
resolutions adopted at the Extraordinary General Meeting of
Shareholders (EGMS) of the Company held on 15 April 2026.
At the EGMS, among other matters, the shareholders
approved the amendment to the Company issued and paid-up
capital from 2,258,279,280 (two billion two hundred fifty eight
million two hundred seventy-nine thousand two hundred
eighty) shares to 2,227,279,280 (two billion two hundred
twenty-seven million two hundred seventy-nine thousand two
hundred eighty) shares.
