Uraian Informasi atau Fakta Material Untuk tujuan peremajaan armada milik Perseroan, pada
tanggal 6 Desember 2024, Perseroan telah menandatangani
Akta Jual Beli Kapal untuk penjualan aset milik Perseroan
yaitu 1 (satu) unit kapal motor yang bernama Dharma I dan 1
(satu) unit kapal tongkang yang bernama MHKL 35.
Jenis Aset
Jenis aset Perseroan yang dijual adalah 1 (satu) unit kapal
motor yang bernama Dharma I dan 1 (satu) unit kapal
tongkang yang bernama MHKL 35.
Nilai Transaksi
Total harga jual kapal motor Dharma I dan kapal tongkang
MHKL 35 adalah Rp 24.000.000.000 (dua puluh empat miliar
Rupiah).
Pihak-pihak yang bertransaksi
Penjual adalah Perseroan, dan Pembeli adalah suatu
perseroan terbatas yang didirikan berdasarkan ketentuan
hukum yang berlaku di Negara Republik Indonesia yang
berkedudukan di kota Jakarta Pusat.
Penjelasan ada tidaknya hubungan afiliasi dengan Pelanggan
Transaksi ini bukan merupakan transaksi afiliasi karena tidak
ada hubungan afiliasi antara Perseroan dan Pembeli.

Dampak kejadian, informasi atau fakta Kegiatan Operasional
material tersebut terhadap kegiatan Penjualan Kapal-kapal ini bertujuan untuk peremajaan Kapal-
operasional, hukum, kondisi keuangan, kapal milik Perseroan. Kondisi Kapal ini sudah kurang
atau kelangsungan usaha Emiten atau komersial untuk dioperasikan oleh Perseroan. Dengan
Perusahaan Publik penjualan dan peremajaan armada milik Perseroan
diharapkan kegiatan operasional Perseroan akan menjadi
lebih baik kedepan.
Hukum
Penjualan unit Kapal-kapal tersebut akan mengakibatkan
beralihnya hak dan kepemilikan Kapal tersebut dari Perseroan
kepada Pembeli.
Kondisi Keuangan
Perseroan sebagai Penjual akan menerima harga jual Kapal-
kapal tersebut dari Pembeli. Penjualan Kapal tersebut tidak
berdampak signifikan terhadap kondisi keuangan Perseroan.
Kelangsungan Usaha
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.
Informasi Lain
Berdasarkan nilai transaksi sebagaimana tersebut di atas, maka penjualan kapal tersebut bukan merupakan Transaksi
Material sebagaimana didefinisikan dalam Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha.

Description of Material Information or For the purpose of rejuvenation of the Company fleet, on
Facts December 6 2024, the Company has signed Vessel Sale and
Purchase Deeds for the sale of assets for 1 (one) unit of
motorboat named Dharma I and 1 (one) unit of barge named
MHKL 35.
Type of Assets
The types of Company assets being sold are 1 (one) motor
boat named Dharma I and 1 (one) unit of barge named MHKL
35.
Transaction Value
The total selling price of the motorboat Dharma I and the barge
MHKL 35 are IDR 24,000,000,000 (twenty four billion Rupiah).
Transaction Parties
The Seller is a Company, and the Buyer is a limited liability
company under the law of the Republic of Indonesia which is
domiciled in Central Jakarta.
Explanation of whether or not there is an affiliate relationship
with the Customer
This transaction is not an affiliated transaction since there is no
affiliated relationship between the Company and Buyer.

Impact of event, material information or Operational Activities
facts towards Issuers or Public The sale of Vessels aims to rejuvenate the vessels owned by
Company’s operational activities, legal, the Company. The condition of the Vessels is no longer
financial condition, or going concern commercial enough for the Company to operate. By the sale
and rejuvenate the fleet owned by the Company, it is expected
that the Company operational actives will improve in the future.
Law
The sale of Vessels will create the transfer of rights and
ownership of the Vessel from the Company to the Buyer.
Financial Condition
The Company as the Seller will receive the selling price of
Vessels from the Buyer. The sale of Vessels, did not have a
significant impact on the Company financial condition.
Business Continuity
Business continuity is maintained and well guaranteed.
Other Information
Based on the transaction value as mentioned above, the sale of the vessel is not a Material Transaction as defined
in Financial Services Authority Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in
Business Activities.
