sebesar Rp8.700.000.000,00 (delapan miliar
tujuh ratus juta rupiah):

The acguisition value of I (one) unit of the Vessel
is Rp8.700.000.000,00 (eight billion seven
hundred million rupiah):

3. Sumber pendanaan untuk pembelian Kapal yaitu

sebesar 7096 (tujuh puluh persen) berasal dari
pembiayaan bank dan 3094 (tiga puluh persen)
berasal dari keuangan internal.
The source of funding for the purchase of the
Vessel is 7046 (seventy percent) from bank
Jinancing and 3046 (thirty percent) from internal
Jinancing.

4. Penjual dari Kapal tersebut adalah PT Menara

Bahtera Perkasa, sebuah perusahaan yang
didirikan berdasarkan hukum negara Republik
Indonesia dan berdomisili di Kota Balikpapan,
bukan merupakan afiliasi dari Perseroan:

of Republic of Indonesia and domiciled in
Balikpapan, which is not affiliated of the

5. Pembeli atas Kapal yaitu HTC merupakan entitas
anak dan perusahaan terkendali Perseroan dengan
kepemilikan langsung sebanyak 99,9”6 (sembilan

di dalam Peraturan Otoritas Jasa Keuangan No.
17/POJK.04/2020 tentang Transaksi Material
dan Perubahan Kegiatan Usaha (“POJK 42”),
karena nilai transaksi tidak lebih dari 206 nilai
Ekuitas Perseroan (berdasarkan nilai yang
tercantum dalam Laporan Keuangan Teraudit
Perseroan untuk tahun buku 2023),
