Pengikatan Jual Beli Saham oleh Entitas Anak
Uraian Informasi atau Fakta Material Pada tanggal 21 November 2024, Perseroan melalui PT Cipta
Krida Bahari (CKB), entitas anak yang sepenuhnya dimiliki
oleh Perseroan, telah melakukan penandatanganan perjanjian
pengikatan jual beli saham (PPJB) dengan PT Citra Tubindo
Tbk (PTCT), dengan rincian sebagai berikut:
a. PT Sarana Citranusa Kabil (SCN), sebuah perusahaan yang
menjalankan kegiatan usaha di aktivitas pelayanan
kepelabuhanan laut dan kegiatan terkait lainnya. Dengan
penandatanganan PPJB atas saham SCN, SCN akan
diakuisisi oleh CKB atau afiliasinya dengan total jumlah saham
sebesar 99,94% (sembilan puluh sembilan koma sembilan
empat persen) dari PTCT.
b. PT Citra Pembina Pengangkutan Industries (CPPI), sebuah
perusahaan yang menjalankan kegiatan usaha di jasa
kepelabuhanan dan kegiatan terkait lainnya. Dengan
penandatanganan PPJB atas saham CPPI, CPPI akan
diakuisisi oleh CKB atau afiliasinya dengan total jumlah saham
sebesar 99,9% (sembilan puluh sembilan koma sembilan
persen) dari PTCT.
Dampak kejadian, informasi atau fakta Penandatanganan PPJB atas saham SCN dan CPPI ini
material tersebut terhadap kegiatan merupakan upaya Perseroan dalam mengembangkan bisnis
operasional, hukum, kondisi keuangan, logistik Perseroan dengan fokus utama pengembangan
atau kelangsungan usaha Emiten atau kapabilitas lini usaha jasa kepelabuhanan. Penyelesaian
Perusahaan Publik transaksi akan dilakukan melalui penandatanganan Perjanjian
Jual Beli, yang direncanakan pada akhir tahun 2024.

Information Report on the Signing of Conditional Sale and
Type of Material Information or Facts Purchase Agreement of Shares by Subsidiary.
Description of Material Information or On November 21st 2024, the Company through its fully owned
Facts subsidiary, PT Cipta Krida Bahari (CKB) signed the Conditional
Sale and Purchase Agreement of Shares (CSPA) with PT Citra
Tubindo Tbk (PTCT), with the following details:
a. PT Sarana Citranusa Kabil (SCN), a company that engaged
in the seaport services business and other related activities.
By signing the CSPA on SCN shares, SCN shall be acquired
by CKB or its affiliates with total shares of 99,94% (ninety nine
point nine four percent) from PT CT.
b. PT Citra Pembina Pengangkutan Industries (CPPI), a
company engaged in freight forwarding services and related
activities. By signing the CSPA on CPPI shares, CPPI shall be
acquired by CKB or its affiliates with total shares of 99,9%
(ninety nine point nine nine percent) from PT CT.
Impact of event, material information or The signing of the CSPA for SCN and CPPI shares is part of
facts towards Issuers or Public the Companys attempt to develop the logistic business of the
Company’s operational activities, legal, Company with main focus to develop the capabilities in port
financial condition, or going concern services line of business. The finalization of the transaction
shall be done after the signing of Sale and Purchase
Agreement, which is planned to be signed by the end of 2024.
