3. Uraian Informasi atau Fakta Sehubungan dengan rencana Penawaran Tender Sukarela
Material. yang dilaksanakan oleh PT Metro Pacific Tollways Indonesia
Description of Information or Services (“MPTIS”), atas saham yang dimiliki oleh
Material Facts. PT Nusantara Infrastructure Tbk (“Perseroan”), telah
memperoleh persetujuan dari Otoritas Jasa Keuangan
(“OJK”) melalui surat No. S-988/PM.02/2024 tanggal
3 Desember 2024 perihal Perpanjangan Masa Penawaran
Tender Sukarela oleh MPTIS atas saham Perseroan serta
untuk memenuhi ketentuan Peraturan Otoritas Jasa
Keuangan No. 54/POJK.04/2015 tentang Penawaran Tender
Sukarela.
In connection with the planned Voluntary Tender Offer
conducted by PT Metro Pacific Tollways Indonesia Services
("MPTIS") for shares owned by PT Nusantara Infrastructure
Tbk (the "Company"), approval has been obtained from the
Financial Services Authority ("OJK") through letter No. S-
988/PM.02/2024 dated December 3, 2024, regarding the
Extension of the Voluntary Tender Offer Period by MPTIS for
the Company's shares, as well as to comply with the
provisions of Financial Services Authority Regulation No.
54/POJK.04/2015 concerning Voluntary Tender Offers.
Pengumuman terkait masa perpanjangan Penawaran Tender
Sukarela tersebut telah diumumkan dalam 2 (dua) surat
kabar harian yaitu Investor Daily dan Bisnis Indonesia pada
tanggal 4 Desember 2024.
The announcement regarding the extension of the Voluntary
Tender Offer period was published in 2 (two) daily
newspapers, Investor Daily and Bisnis Indonesia, on 4
December 2024.
Adapun, rencana masa perpanjangan Penawaran Tender
Sukarela, yaitu sebagai berikut:
The planned extension period for the Voluntary Tender Offer
is as follows:
1. Jangka Waktu Perpanjangan/ Term of Extension
Masa perpanjangan Penawaran Tender Sukarela akan
dimulai pada tanggal 6 Desember 2024 sampai dengan
5 Maret 2025.

The extension period for the Voluntary Tender Offer will
commence on December 6, 2024, and conclude on March
5, 2025.
2. Penerimaan dan Pembayaran Harga Penawaran
Tender Sukarela/ Acceptance and Payment of
Voluntary Tender Offer Price
Pembayaran kepada partisipan yang menawarkan
sahamnya dalam masa perpanjangan Penawarran
Tender Sukarela ini akan dilakukan pada tanggal
17 Maret 2025.
Payment to participants who offer their shares during the
extension period of the Voluntary Tender Offer will be
conducted on 17 March 2025.
Syarat, ketentuan, dan prosedur Penawaran Tender
Sukarela sebagaimana tercantum dalam Pernyataan
Penawaran Tender Sukarela yang diumumkan pada harian
Bisnis Indonesia dan Investor Daily tanggal 18 Maret 2024
masih berlaku dalam masa perpanjangan Penawaran Tender
Sukarela, kecuali mengenai Jangka Waktu Penawaran dan
Tanggal Pembayaran.
The terms, conditions, and procedures of the Voluntary
Tender Offer, as stated in the Voluntary Tender Offer
Statement published in Bisnis Indonesia and Investor Daily
on 18 March 2024, remain applicable during the Extention
Period of the Voluntary Tender Offer, except for the Offer
Period and Payment Date.
Hingga tanggal pengumuman ini, masih terdapat pemegang
saham publik yang belum dapat dihubungi atau tidak
memberikan tanggapan/konfirmasi dalam bentuk apa pun
terkait keputusan mereka apakah akan menjual sahamnya
melalui partisipasi dalam Penawaran Tender Sukarela atau
memilih untuk tidak menjual sahamnya kepada MPTIS.
As of the date of this announcement, some public
shareholders who cannot be contacted or have not provided
any response/confirmation in any form related to their
decision on whether to sell their shares through participation
in the Voluntary Tender Offer or to choose not to sell their
shares to MPTIS.
Sebagai informasi tambahan, dalam periode Penawaran
Tender Sukarela yang telah berlangsung selama 86 hari,
MPTIS telah berhasil membeli sebanyak 3.794.727.358

saham dari total 4.104.990.344 saham yang menjadi objek
dari Penawaran Tender Sukarela.
As additional information, during the 86-day period of the
Voluntary Tender Offer, MPTIS has successfully purchased
3,794,727,358 shares out of a total of 4,104,990,344 shares
subject to the Voluntary Tender Offer.
Bagi pemegang saham yang belum berpartisipasi
sebagaimana dimaksud di atas, diharapkan agar segera
menyatakan secara tegas sikapnya terkait kepemilikan
saham Perseroan yang terdaftar atas nama mereka.
Pemegang saham tersebut dapat memilih untuk: (i) Menjual
sahamnya kepada MPTIS selama masa Penawaran Tender
Sukarela, atau (ii) Menyatakan secara tegas bahwa mereka
tidak ingin menjual sahamnya dan memilih tetap menjadi
pemegang saham Perseroan. Untuk menyampaikan sikap
terkait kepemilikan saham tersebut, para pemegang saham
dapat memberikan pernyataan melalui e-mail. Informasi lebih
lanjut dapat diperoleh dengan menghubungi alamat berikut:
For shareholders who have not participated as mentioned
above, it is expected that they will promptly state their position
regarding the shares of the Company registered in their
name. These shareholders may choose to: (i) Sell their
shares to MPTIS during the Voluntary Tender Offer period, or
(ii) Clearly state that they do not wish to sell their shares and
choose to remain shareholders of the Company. To
communicate their position regarding the ownership of these
shares, shareholders may provide a statement via email.

Apabila hingga berakhirnya masa Penawaran Tender
Sukarela pemegang saham tersebut tidak menyatakan
sikapnya secara tegas dan tertulis, maka pemegang saham
tersebut akan dianggap menyetujui langkah penyelesaian
yang akan diambil oleh MPTIS dan Perseroan di kemudian
hari. Langkah tersebut berkaitan dengan rencana Perseroan
untuk mengubah status perusahaan dari perusahaan terbuka
menjadi perusahaan tertutup, dengan tetap mematuhi
peraturan perundang-undangan yang berlaku.
In the event, if by the end of the Voluntary Tender Offer
period, the shareholder has not clearly and formally stated
their position in writing, they will be deemed to have agreed
to the resolution that will be taken by MPTIS and the
Company in the future. This action relates to the Company's
plan to change its status from a public company to a private
company, while continuing to comply with the applicable laws
and regulations.
