Pendahuluan / : Dalam rangka memenuhi ketentuan POJK 17/2020, Direksi
Preliminary Perseroan bermaksud mengumumkan keterbukaan informasi
dalam rangka menyediakan informasi secara jelas dan lengkap
kepada Pemegang Saham Perseroan (“Keterbukaan
Informasi”). /
In order to comply with the provision of POJK 17/2020, the Board
of Directors of the Company intend to announce disclosure of
information in order to provide clear and complete information to
the Shareholders of the Company ("Disclosure of
Information").
Perseroan telah menerima pinjaman dari PT Bank Rakyat
Indonesia (Persero) Tbk (“Kreditur”) sebesar sebanyak-
banyaknya USD 90.500.000 (sembilan puluh juta lima ratus ribu
Dolar Amerika Serikat), berdasarkan Akta Perjanjian Kredit
Modal Kerja No. 7 tanggal 20 Mei 2020, yang dibuat di hadapan
Yualita Widyadhari, S.H., M.Kn., Notaris di Jakarta jo. Syarat-
Syarat Umum Perjanjian Pinjaman dan Kredit PT Bank Rakyat
Indonesia (Persero) Tbk (“Perjanjian Kredit”). /
The Company has received a loan from PT Bank Rakyat
Indonesia (Persero) Tbk (“Creditor”) with a maximum amount of
USD 90,500,000 (ninety million five hundred thousand United
States Dollars), based on the Deed of Working Capital Facility
Agreement No. 7 dated 20 May 2020, drawn up before Yualita
Widyadhari, S.H., M.Kn., Notary in Jakarta jo. General Terms
and Conditions of Loan and Facility Agreement of PT Bank
Rakyat Indonesia (Persero) Tbk (“Facility Agreement”).
Sehubungan dengan Perjanjian Kredit, Perseroan menerima
tambahan plafond atas fasilitas kredit modal kerja dari Kreditur
menjadi sebanyak-banyaknya USD144.358.833 (seratus empat
puluh empat juta tiga ratus lima puluh delapan ribu delapan ratus
tiga puluh tiga Dolar Amerika Serikat) atau setara dengan
Rp2.241.351.000.000 (dua triliun dua ratus empat puluh satu
miliar tiga ratus lima puluh satu juta Rupiah), yang terdiri dari:
a. fasilitas kredit modal kerja co menurun 1, sebesar
USD36.502.526 (tiga puluh enam juta lima ratus dua ribu
lima ratus dua puluh enam Dolar Amerika Serikat);
b. fasilitas kredit modal kerja co menurun 2, sebesar
USD47.168.901 (empat puluh tujuh juta seratus enam puluh
delapan ribu sembilan ratus satu Dolar Amerika Serikat);
dan

c. fasilitas kredit modal kerja co menurun 3, sebesar
USD60.687.406 (enam puluh juta enam ratus delapan puluh
tujuh ribu empat ratus enam Dollar Amerika Serikat),
berdasarkan Akta Addendum III Perjanjian Kredit No. 26 tanggal
29 Desember 2023, yang dibuat di hadapan Masjuki, S.H.,
Notaris pengganti dari Mochamad Nova Faisal, S.H., M.Kn.,
Notaris di Jakarta (“Addendum Perjanjian Kredit”)
(“Transaksi”). /
In connection with the Facility Agreement, the Company has
received an additional plafond on working capital credit facility
from the Creditor to the amount of maximum total facility of
USD144,358,833 (one hundred forty four million three hundred
fifty-eight thousand eight hundred thirty three United States
Dollars) or equivalent to IDR2,241,351,000,000 (two trillion two
hundred forty one billion three hundred fifty one million Rupiah),
which consists of:
a. working capital credit co decreased 1 facility, amounting to
USD36,502,526 (thirty six million five hundred and two
thousand five hundred and twenty six United States dollars);
b. working capital credit co decreased 2 facility, amounting to
USD47,168,901 (forty seven million one hundred sixty eight
thousand nine hundred and one United States Dollars); and
c. working capital credit co decreased 3 facility, amounting to
USD60,687,406 (sixty million six hundred eighty seven
thousand four hundred six United States Dollars),
based on Deed of Addendum III to Facility Agreement No. 26
dated 29 December 2023, drawn up before Masjuki, S.H.,
Substitute Notary of Mochamad Nova Faisal, S.H., M.Kn.,
Notary in Jakarta (“Facility Agreement Addendum”)
(“Transaction”).
Berdasarkan Laporan Keuangan Konsolidasian Perseroan
untuk periode yang berakhir pada tanggal 31 Desember 2022
yang telah diaudit oleh auditor independen, sebagaimana
Perseroan merupakan perusahaan terbuka yang mempunyai
ekuitas negatif, nilai Transaksi adalah lebih dari 10% (sepuluh
persen) dari total aset Perseroan sehingga Transaksi
merupakan suatu transaksi material sebagaimana dimaksud
dalam POJK 17/2020. /
In accordance with the Consolidated Company Financial
Statement for the period ending on 31 December 2022 which
has been audited by independent auditor, as the Company is a
publicly listed company that has negative equity, the Transaction
value is more than 10% (ten per cent) of the Company's total

assets, therefore the Transaction is a material transaction as
mentioned in POJK 17/2020.
Transaksi merupakan transaksi afiliasi sebagaimana dimaksud
Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan
(“POJK 42/2020”). Sebagaimana Transaksi merupakan
transaksi material sebagaimana dimaksud POJK 17/2020, maka
Perseroan hanya wajib memenuhi ketentuan sebagaimana
diatur dalam POJK 17/2020. /
The transaction is an affiliated transaction as referred to in
Financial Services Authority Regulation No. 42/POJK.04/2020
regarding Affiliated Transactions and Conflict of Interest
Transactions (“POJK 42/2020”). As the Transaction is a material
transaction as referred to in POJK 17/2020, the Company is only
required to comply with the provisions as stipulated in POJK
17/2020. as referred to POJK 42/2020
Lebih lanjut, berdasarkan POJK 17/2020, Transaksi ini
merupakan transaksi yang dikecualikan berdasarkan Pasal 11
huruf b POJK 17/2020, yang mana Transaksi merupakan
transaksi pinjaman yang diterima secara langsung oleh
Perseroan dari bank, dan oleh karenanya Perseroan tidak
diwajibkan untuk menggunakan penilai untuk menentukan nilai
wajar dari objek Transaksi dan/atau kewajaran Transaksi dan
memperoleh persetujuan RUPS terlebih dahulu. /
Furthermore, pursuant to POJK 17/2020, this Transaction is
waived in accordance with Article 11 letter b of POJK 17/2020,
in which the Transaction is a loan transaction directly received
by the Company from banks and therefore the Company is not
obliged to use an appraiser to determine the fair value of the
material transaction’s object and/or fairness of the Transaction
and obtaining prior approval from the GMS.
Uraian Transaksi / : Berdasarkan Perjanjian Kredit, Perseroan telah menerima
Transaction Description pinjaman dari Kreditur dalam bentuk (i) fasilitas kredit modal
kerja 1 sebesar sebanyak-banyaknya USD 39.500.000 (tiga
puluh sembilan juta lima ratus ribu Dolar Amerika Serikat) dan
(ii) fasilitas kredit modal kerja 2 sebesar sebanyak-banyaknya
USD 51.000.000 (lima puluh satu juta Dolar Amerika Serikat),
dengan jumlah seluruhnya sebesar sebanyak-banyaknya USD
90.500.000 (sembilan puluh juta lima ratus ribu Dolar Amerika
Serikat). /
Based on the Facility Agreement, the Company has received
loans from the Creditor in the form of (i) working capital credit
facility 1 amounting to USD 39,500,000 (thirty nine million five
hundred thousand United States Dollars) and (ii) working capital
credit facility 2 amounting to USD 51,000,000 (fifty one million
United States Dollars), with a total amount of USD 90,500,000
(ninety million five hundred thousand United States Dollars).

Pada tanggal 29 Desember 2023, Perseroan dan Kreditur telah
menandatangani Addendum Perjanjian Kredit dimana
Perseroan mendapatkan tambahan plafond pinjaman dari
Kreditur dalam bentuk perjanjian kredit modal kerja untuk tujuan
menampung fasilitas lain yang telah ada sebelumnya, sehingga
jumlah fasilitas kredit modal kerja Perseroan menjadi sebesar
sebanyak-banyaknya USD144.358.833 (seratus empat puluh
empat juta tiga ratus lima puluh delapan ribu delapan ratus tiga
puluh tiga Dolar Amerika Serikat) atau setara dengan
Rp2.241.351.000.000 (dua triliun dua ratus empat puluh satu
miliar tiga ratus lima puluh satu juta Rupiah) (“Nilai Transaksi”).

On 29 December 2023, the Company and the Creditor have
signed a Facility Agreement Addendum where the Company
obtained an additional loan plafond from the Creditor in the form
of a working capital facility agreement for the purpose of
accommodating other pre-existing facilities, so that the
Company's working capital credit facility amounted to a
maximum of USD144. 358,833 (one hundred forty four million
three hundred fifty eight thousand eight hundred thirty three
United States Dollars) or equivalent to Rp2,241,351,000,000
(two trillion two hundred forty one billion three hundred fifty one
million Rupiah) (“Transaction Value”).
Berdasarkan Laporan Keuangan Konsolidasian Perseroan
untuk periode yang berakhir pada tanggal 31 Desember 2022
yang telah diaudit oleh Kantor Akuntan Publik Tanudiredja,
Wibisana, Rintis & Rekan No. 00626/2.1025/AU.1/10/0225-
1/1/IV/2023 tanggal 12 April 2023, jumlah aset Perseroan adalah
USD 390.658.710 (tiga ratus sembilan puluh juta enam ratus
delapan ribu tujuh ratus sepuluh Dolar Amerika Serikat). Nilai
Transaksi tersebut mencapai 36,95% (tiga puluh enam koma
sembilan lima persen) dari total aset Perseroan, oleh karenanya,
Transaksi merupakan Transaksi Material sebagaimana diatur
dalam POJK 17/2020. /
Pursuant to the Consolidated Company Financial Statement for
the period ending on 31 December 2022 which has been audited
by Kantor Akuntan Publik Tanudiredja, Wibisana, Rintis & Rekan
No. 00626/2.1025/AU.1/10/0225-1/1/IV/2023 dated 12 April
2023, the amount of Company’s assets is USD390,658,710
(three hundred ninety million six hundred eight thousand seven
hundred and twenty). Transaction Value reaches 36.95% (thirty
six point nine five percent) of the total of the Company’s assets,
therefore, the Transaction is a material transaction as mentioned
in POJK 17/2020.

With the implementation of the Transaction, there is no material
impact towards operational activity, legal matter, financial
condition or the Company’s business continuity of the
aforementioned Transaction implementation.
Atas Perjanjian Kredit dan Addendum Perjanjian Kredit antara
Perseroan dan Kreditur, telah dibuat menggunakan syarat dan
ketentuan yang sama apabila dilakukan dengan pihak yang tidak
terafiliasi, sehingga syarat dan ketentuan atas Transaksi
tersebut dilakukan secara arm’s length. /
The Facility Agreement and Facility Agreement Addendum
between the Company and the Creditor have been made with
the same terms and conditions as if they were made with
unaffiliated parties, so that the terms and conditions of the
Transaction are carried out on an arm's length basis.

The facility is implemented in the form of a working capital
facility.
Tujuan Fasilitas / Facility Purposes
Fasilitas akan dipakai untuk menampung fasilitas lain yang telah
ada sebelumnya dari Perseroan. /
The facility will be used to accommodate other existing facilities
of the Company.
Suku Bunga / Interest Rate
Suku bunga minimal 3% (tiga persen) per annum atau sama
dengan suku bunga Himbara lainnya (mana yang lebih tinggi)
untuk masing-masing fasilitas dalam Perjanjian Kredit. /
The interest rate is at least 3% (three percent) per annum or
equal to the interest rate of other Himbara banks (whichever is
higher) for each facility under the Facility Agreement.
Tanggal Jatuh Tempo / Maturity Date
Pembayaran pinjaman akan jatuh tempo pada 31 Desember
2035. /
The loan repayment will be due on 31 December 2035.
Jaminan / Guarantee
Fidusia atas aset tetap yang terdiri dari (i) peralatan dan
perlengkapan bengkel; dan (ii) peralatan kantor dan komputer.
Agunan bersifat cross collateral dengan fasilitas kredit pada
kreditur lain yang memiliki hak pari passu. /
Fiduciary over fixed assets consisting of (i) workshop equipment
and supplies; and (ii) office and computer equipment. The
collateral is cross collateralized with credit facilities with other
creditors that have pari passu rights.
Hal yang Dilarang / Negative Covenants
Tanpa persetujuan tertulis terlebih dahulu, Perseroan tidak
diperkenankan untuk:
a. menjadi penjamin atau menjaminkan kekayaan Perusahaan
kepada pihak lain;
b. mengajukan permohonan pernyataan pailit;
c. melakukan tindakan merger, akuisisi, dan penjualan aset;
d. melakukan pengambilan/pengurangan modal;
e. memberikan pinjaman kepada pihak lain, termasuk kepada
pemegang saham;

f. melunasi/membayar utang kepada pemegang saham atau
subordinated loan sebelum utang kepada Kreditur dilunasi
terlebih dahulu;
g. mengalihkan/menyerahkan sebagian atau seluruhnya atas
hak dan kewajiban yang timbul berkaitan dengan fasilitas
kredit; dan
h. mengajukan moratorium, membubarkan perusahaan,
melikuidasi, atau permohonan penundaan kewajiban
pembayaran utang kepada instansi yang berwenang. /
Without prior written approval, the Company is not permitted to:
a. become a guarantor or pledge the Company's assets to
other parties;
b. apply for a declaration of bankruptcy;
c. conducting mergers, acquisitions, and asset sales;
d. conducting capital withdrawal/reduction;
e. providing loans to other parties, including to shareholders;
f. settle/repay loan to shareholders or subordinated loan prior
to the settlement of loan to the Creditor;
g. transferring/assigning part or all of the rights and obligations
arising in relation to the credit facility; and
h. submitting a moratorium, dissolving the company,
liquidating, or requesting a postponement of debt payment
obligations to the authorized agency.

sebagaimana Transaksi merupakan transaksi pinjaman yang
diterima secara langsung dari bank; dan (iv) semua Informasi
material telah diungkapkan dalam Keterbukaan Informasi ini dan
informasi tersebut tidak menyesatkan. /
The Board of Commissioners and Directors of the Company
state that all information in connection with the Transaction has
been disclosed, whereas (i) the Transaction is a material
transaction as referred to in POJK 17/2020 and is an affiliated
transaction; (ii) the Transaction does not contain a conflict of
interest as referred to in POJK 42/2020; (iii) the Transaction is
exempted from the obligation to use an appraiser and obtain
GMS approval based on POJK 17/2020, as the Transaction is a
loan transaction that is received directly from the bank; and (iv)
all material information has been disclosed in this Information
Disclosure and the information is not misleading.
