Uraian Informasi atau Fakta Material PT Carsurin Minerals Solutions (anak usaha Perseroan) telah
mendirikan perusahaan baru yang diberi nama PT Carsurin
Indo Mineral yang merupakan hasil joint venture antara PT
Carsurin Minerals Solutions dan PT Indo Mineral Research
yang ditujukan untuk menunjang strategi jangka panjang
Perseroan di bidang usaha mineral. Dalam hal ini tidak
terdapat hubungan afiliasi antara PT Indo Mineral Research
dengan PT Carsurin Tbk atau PT Carsurin Minerals Solutions.
Pendirian perusahaan baru tersebut telah dinyatakan di dalam
Akta Pendirian Perseroan Terbatas Nomor 2 tanggal 02
Desember 2024 yang dibuat di hadapan Notaris Rini Yulianti,
SH dan telah mendapatkan pengesahan pendirian Badan
Hukum Perseroan Terbatas dari Menteri Hukum Republik
Indonesia melalui Surat Keputusannya Nomor: AHU-0095763.
AH.01.01.TAHUN2024 tanggal 02 Desember 2024.
PT Carsurin Indo Mineral didirikan dengan modal dasar
Perseroan senilai Rp1.000.000.000,- (satu miliar rupiah)
terbagi atas 10.000.000 (sepuluh juta) lembar saham. Dari
modal dasar tersebut, telah ditempatkan dan disetor yaitu
sejumlah 2.500.000 (dua juta lima ratus) lembar saham
dengan nilai nominal seluruhnya sebesar Rp250.000.000,-
(dua ratus lima puluh juta rupiah) dengan perincian besaran
masing-masing pemegang saham sebagai berikut:
1. PT Carsurin Minerals Solutions, terbagi atas
1.275.000 lembar saham dengan nilai nominal seluruhnya
sebesar Rp127.500.000,00 (seratus dua puluh tujuh juta lima
ratus ribu rupiah); dan
2. PT Indo Mineral Research, terbagi atas 1.225.000
lembar saham dengan nilai nominal seluruhnya sebesar
Rp122.500.000,00 (seratus dua puluh dua juta lima ratus ribu
rupiah).
Berikut komposisi kepemilikan saham PT Carsurin Indo
Mineral :
PT Carsurin Minerals Solutions : 51%
PT Indo Mineral Research : 49%
Total : 100%
Bahwa berdasarkan laporan keuangan tahunan Perseroan
tahun buku 2023 yang telah diaudit, transaksi tersebut diatas
memiliki nilai transaksi dibawah 20% (dua puluh persen) dari
total nilai ekuitas Perseroan, sehingga berdasarkan POJK
17/POJK.04/2020 pasal 11, pendirian unit usaha baru tersebut
dapat dilakukan tanpa penilai.
Dampak kejadian, informasi atau fakta Pendirian PT Carsurin Indo Mineral akan memberikan dampak
material tersebut terhadap kegiatan yang positif bagi perseroan yang mana PT Carsurin Indo
operasional, hukum, kondisi keuangan, Mineral akan menunjang kegiatan usaha anak usaha
atau kelangsungan usaha Emiten atau perseroan dan memperluas jaringan usaha sebagai bagian
Perusahaan Publik dari rencana strategis pengembangan usaha perseroan.

Description of Material Information or PT Carsurin Minerals Solutions (a subsidiary of the Company)
Facts has established a new company named PT Carsurin Indo
Mineral which is the result of a joint venture between PT
Carsurin Minerals Solutions and PT Indo Mineral Research
which is intended to support the Company's long-term strategy
in the mineral business sector. In this case there is no affiliate
relationship between PT Indo Mineral Research and PT
Carsurin Tbk or PT Carsurin Minerals Solutions.
The establishment of the new company has been stated in the
Deed of Establishment of a Limited Liability Company Number
2 dated 02 December 2024 which was made before Notary
Rini Yulianti, SH and has received approval for the
establishment of a Limited Liability Company Legal Entity from
the Minister of Law of the Republic of Indonesia through his
Decree Number: AHU-0095763. AH.01.01.TAHUN2024 dated
02 December 2024.
PT Carsurin Indo Mineral was established with the Company's
authorized capital of IDR 1,000,000,000 (one billion rupiah)
divided into 10,000,000 (ten million) shares. From the
authorized capital, 2,500,000 (two million five hundred) shares
have been issued and paid up with a total nominal value of
IDR 250,000,000 (two hundred and fifty million rupiah) with
details of the size of each shareholder as follows. :
1. PT Carsurin Minerals Solutions, divided into 1,275,000
shares with a total nominal value of Rp. 127,500,000.00 (one
hundred twenty-seven million five hundred thousand rupiah);
And
2. PT Indo Mineral Research, divided into 1,225,000 shares
with a total nominal value of IDR 122,500,000.00 (one hundred
twenty-two million five hundred thousand rupiah).
The following is the share ownership composition of PT
Carsurin Indo Mineral:
PT Carsurin Minerals Solutions : 51%
PT Indo Mineral Research: 49%
Total : 100%
Whereas based on the Company's annual financial report for
the 2023 financial year which has been audited, the
transaction above has a transaction value below 20% (twenty
percent) of the Company's total equity value, so based on
POJK 17/POJK.04/2020 article 11, the establishment of a new
business unit can be done without an appraiser.
Impact of event, material information or The establishment of PT Carsurin Indo Mineral will have a
facts towards Issuers or Public positive impact on the company in that PT Carsurin Indo
Company’s operational activities, legal, Mineral will support the business activities of the company's
financial condition, or going concern subsidiaries and expand its business network as part of the
company's strategic business development plan.
