PENYESUAIAN SYARAT DAN KETENTUAN
WARAN TERSTRUKTUR ADROZPCG5A
Kami mengacu pada pengumuman PT Alamtri Resources Indonesia Tbk (sebelumnya PT
Adaro Energy Indonesia Tbk) (“ADRO”) pada tanggal 29 November 2024 dan 20 November
2024 sehubungan dengan penyampaian dividen tunai (“Dividen Tunai”).
Sesuai dengan syarat dan ketentuan yang tercantum dalam Bagian 3.8 Prospektus tertanggal
31 Januari 2023 dan Term Sheet ADROZPCG5A tertanggal 9 September 2024, Harga
Pelaksanaan dan Rasio Konversi ADROZPCG5A akan disesuaikan berdasarkan rumus
berikut:

K: Rp3.500, adalah Harga Pelaksanaan yang lama sebelum Dividen Tunai.
P: Rp3.670, adalah harga perdagangan terakhir ADRO pada cum-date.
D: Rp1.358,18, adalah Dividen Tunai untuk setiap saham ADRO.
Penyesuaian terhadap ADROZPCG5A akan berlaku pada 2 Desember 2024.

ADJUSTMENT TO THE TERMS AND CONDITIONS
OF STRUCTURED WARRANT ADROZPCG5A
We refer to the announcement of PT Alamtri Resources Indonesia Tbk (previously known as PT
Adaro Energy Indonesia Tbk) (“ADRO”) dated 29 November 2024 and 20 November 2024 in
relation to the cash dividend (“Cash Dividend”).
In accordance to the terms and conditions stated in Section 3.8 of the Prospectus dated 31
January 2023 and the Term Sheet of ADROZPCG5A dated 9 September 2024, the Exercise
Price and Exercise Ratio of ADROZPCG5A will be adjusted based on the following formula:

Warrants
Where,
E: 8, being the existing Exercise Ratio of 8 Call Warrants : 1 ADRO share immediately
prior to the Cash Dividend.
K: Rp3,500, being the existing Exercise Price immediately prior to the Cash Dividend.
P: Rp3,670, being the last trading price of ADRO on cum-date.
D: Rp1,358.18, being the Cash Dividend for each ADRO Share.
The adjustment to ADROZPCG5A will take effect on 2 December 2024.
