Uraian Informasi atau Fakta Material Pada tanggal 25 November 2024, PT Bukit Makmur
Internasional (BUMA International), sebagai entitas anak
terkendali Perseroan melalui PT Bukit Makmur Mandiri Utama
telah menandatangani perjanjian yang mengikat dengan
Peabody Energy Corporation melalui anak perusahaannya,
Peabody SMC Pty. Ltd. (Peabody), untuk mengakuisisi 51%
(lima puluh satu persen) kepemilikan saham di Dawson
Complex (Dawson Complex) dengan nilai sebesar
US$455.000.000 (empat ratus lima puluh lima juta dolar
Amerika Serikat) (Nilai Transaksi) (Rencana Transaksi).
Dawson Complex merupakan salah satu aset steelmaking coal
terbesar di Australia, dengan resource life lebih dari 50 (lima
puluh) tahun.
Untuk informasi lebih lanjut, mohon merujuk kepada

Dampak kejadian, informasi atau fakta Pada tanggal keterbukaan informasi ini, tidak terdapat dampak
material tersebut terhadap kegiatan khusus terhadap operasional, hukum, kondisi keuangan, atau
operasional, hukum, kondisi keuangan, kelangsungan usaha Perseroan. Namun demikian, setelah
atau kelangsungan usaha Emiten atau selesainya Rencana Transaksi ini, diharapkan akan

Description of Material Information or On 25 November 2024, PT Bukit Makmur Internasional (BUMA
Facts International), as a controlled subsidiary of the PT Delta Dunia
Makmur Tbk (the Company) through PT Bukit Makmur Mandiri
Utama has entered into a binding agreement with Peabody
Energy Corporation via its subsidiary, Peabody SMC Pty. Ltd.
(Peabody), to acquire a 51% (fifty one percent) interest in the
Dawson Complex (Dawson Complex) for the amount of
US$455,000,000 (four hundred and fifty five million United
States dollars) (the Transaction Value) (Proposed
Transaction). Dawson Complex is one of the largest
steelmaking coal assets in Australia, with a resource life of
more than 50 (fifty) years.
For further information, please refer to the attached Disclosure.
Impact of event, material information or As at the date of this information disclosure, there is no
facts towards Issuers or Public specific impact to the Company operational, legal, financial
Company’s operational activities, legal, condition or business continuity. However, upon completion of
financial condition, or going concern the Proposed Transaction, it is expected to strengthen the
Company group position in the global coal industry which is
expected to benefit the financial condition of the Company
group going forward.
