menandatangani Perjanjian Kredit dengan PT Bank
UOB Indonesia.

Perseroan merupakan salah satu Perusahaan
Tercatat di Bursa Efek Indonesia yang didirikan dan
tunduk berdasarkan hukum negara Republik
Indonesia.

RTM, suatu perseroan terbatas yang didirikan dan
berdomisili hukum di Batam, Kepulauan Riau,
Indonesia, yang merupakan anak perusahaan
Perseroan yang dikendalikan secara langsung oleh
Perseroan dengan kepemilikan saham sebesar
99,966.

PT Sunindo Pratama Tbk (“the Company”) and PT
Rainbow Tubulars Manufacture ("RTM") signed a
Credit Agreement with PT Bank UOB Indonesia.

The Company is one of the listed companies on the
Indonesia Stock Exchange established and subject to
the laws of the Republic of Indonesia.

RTM, a limited liability company established and
domiciled in Batam, Riau Islands, Indonesia, which is
a subsidiary ofthe Company and directly controlled by
the Company with 99.969 share ownership.

Pada tanggal 18 November 2024, Perseroan dan RTM
telah menandatangani Perjanjian Kredit PT Bank UOB
Indonesia (“Bank”), dimana Perseroan dan RTM
memperoleh kredit dari Bank dengan nilai fasilitas dan
rincian sebagai berikut:

Limit Fasilitas Omnibus LC/SKBDN (shared facility

Tanggal Jatuh Tempo

Tanggal jatuh tempo fasilitas adalah 1 (satu) tahun
sejak tanggal Perjanjian fasilitas kredit.

Fasilitas omnibus LC/SKBDN dalam mata uang
Rupiah, Chinese Yuan dan atau Dolar Amerika Serikat
dan dapat digunakan bersama-sama dengan RTM.

Agunan Pinjaman

a. Jaminan tunai berupa Margin Deposit (“MD”) atau
Current Account Savings Account (“CASA") Block
atas nama Perseroan,

b. Pari-Passu Mortage antara Perseroan dan RTM,
Hak Tanggungan atas tanah dan bangunan yang
berlokasi di Jl. Brigjen Katamso KM. 18, Batam:

c.Personal Guarantee atas nama Willy Johan
Chandra.

On November 18, 2024, the Company and RTM
signed a Credit Agreement with PT Bank UOB
Indonesia (“the Bank"), whereby The Company and
RTM obtained a credit from the Bank with following

Omnibus LC/SKBDN Facility

The limit of Omnibus LC/SKBDN Facility (shared
facility with RTM — joint and several) is IDR
25,000,000,000 (twenty-five billion Rupiah) with
following sublimit:

a. Trust Receipt (“TR”) Facility: IDR 25,000,000,000
(twenty-five billion Rupiah):

b. Clean Trust Receipt (“CTR”) Facility: IDR
25,000,000,000 (twenty-five billion Rupiah):

c. Invoice — Financing  (YF”) Facilty: — IDR
25,000,000,000 (twenty-five billion Rupiah):

d. Bank Guarantee (“BG”): IDR 25,000,000,000
(twenty-five billion Rupiah).

Maturity Date

The maturity date of this facility is 1 (one) year from
the date of the Credit Facility Agreement.

Omnibus LC/SKBDN facilities in Rupiah, Chinese
Yuan and/or US Dollar can be utilised by RTM.

Loan Collateral

a. Cash collateral in the form of Margin Deposit ('MD')

2. RTM

RTM telah memperoleh fasilitas Commercial Property
Loan (“CPL”) sebesar Rp 48.500.000.000 (empat
puluh delapan milyar lima ratus juta Rupiah)
berdasarkan akta Perjanjian Kredit No. 6 tanggal 5
April 2023 yang dibuat oleh Notaris Vivin SH di Batam.
Bank telah menyetujui untuk menambah fasilitas kredit
baru berupa Kredit Investasi Konstruksi ("KISI")
sebesar Rp 100.000.000.000 (seratus milyar Rupiah)
dengan menambahkan ketentuan cross default
dengan Perseroan.

terdaftar atas nama PT Rainbow Tubulars
Manufacture berkedudukan di Kawasan Perindustrian
Latrade Blok G No.5, Kota Batam.

RTM has obtained Commercial Property Facility Loan
(“CPL”) amounted to Rp 48,500,000,000 (forty eight
billion five hundred million rupiah) based on deed No.
6 dated 5 April 2023 by Notary Vivin SH in Batam.
Bank agreed to provide additional facility in the form of
Construction Investment Facility (“KISI”) amounted to
Rp 100,000,000,000 (one hundred billion rupiah) with
additional cross default clause with the Company. The
facility period is 84 (eighty four) months since the first
drawdown include Grace Period (GP) and Availability
Period (AP) for 12 (twelve) months.

The impact of these material events, information or
facts on the operational activities, law, financial
condition, or business continuity of the Issuer or
Public Company

Penandatanganan Perjanjian Kredit tersebut akan
meningkatkan fleksibilitas keuangan dari Perseroan.
Dengan mendapatkan fasilitas kredit untuk
pembiayaan pembangunan pabrik baru RTM,
diharapkan Perseroan dapat menyelesaikan
pembangunan pabrik tersebut sesuai dengan target
penyelesaian. Di samping itu, dengan tambahan
fasilitas untuk pembiayaan modal kerja juga akan
memberikan ruang bagi Perseroan untuk
meningkatkan aktivitas bisnisnya. Pembangunan
pabrik baru diharapkan dapat meningkatkan kapasitas
produksi OCTG sehingga diharapkan dapat
meningkatkan penjualan Perseroan ke depannya.

The signing of the Credit Agreement will increase the
financial flexibility of the Company. By obtaining credit
facility to finance the construction of the new RTM
plant, it is expected that the Company can complete
the construction of the plant in accordance with the
completion target. In addition, the additional facility for
working capital financing will also provide
opportunities forthe Company to increase its business
activities. The construction of the new plant is
expected to increase the production capacity of OCTG
and expected to increase the Company's sales in the
future.

Other information

Nilai keseluruhan Transaksi adalah lebih dari 2046
namun kurang dari 505 dari ekuitas Perseroan,
dengan total nilai transaksi sebesar Rp
125.000.000.000. Presentase nilai transaksi terhadap
ekuitas Perseroan berdasarkan Laporan Keuangan
Konsolidasian Perseroan yang berakhir pada 31
Desember 2023 yang telah diaudit oleh Kantor
Akuntan Publik Kanaka Puradiredja Suhartono adalah
sebesar 21,25”. Transaksi ini merupakan transaksi
material yang tidak wajib menggunakan Penilai
sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf
a dan memperoleh persetujuan RUPS sebagaimana
dimaksud dalam Pasal 6 ayat (1) huruf d berdasarkan
ketentuan pasal 11 ayat (1) POJK 17/2020.

The total value of the Transaction is more than 2096
but less than 5096 of the Company's eguity, with total
transaction value is IDR 125,000,000,000. The
percentage of transaction value to Company's eguity
based on the Consolidated Financial Statements of
the Company ended on December 31, 2023 audited
by the Public Accounting Firm Kanaka Puradiredja
Suhartono is 21,2596. This transaction is a material
transaction that is not reguired to use an Appraiser as
referred to in Article 6 paragraph (1) lettera and obtain
GMS approval as referred to in Article 6 paragraph (1)
letter d based on the provisions of article 11 paragraph
(1) POJK 17/2020.

Transaksi ini bukan merupakan transaksi afiliasi
sebagaimana diatur di dalam Peraturan Otoritas Jasa
Keuangan No. 42/POJK.04/2020 tentang Transaksi
Mfiliasi dan Transaksi Benturan Kepentingan.
Perseroan tidak wajib melakukan prosedur
sebagaimana dimaksud dalam Pasal 3 serta tidak
wajib memenuhi ketentuan sebagaimana diatur dalam
Pasal 4 ayat (1) POJK 42/2020.

This transaction is not an affiliated transaction as
regulated in the Financial Services Authority
Regulation No.  42/POJK.04/2020  conceming
Affiliated Transactions and Conflict of Interest
Transactions. The Company is not reguired to carry
out the procedures as referred to in Article 3 and is not
reguired to fulfill the provisions as stipulated in Article
4 paragraph (1) based on the provisions of article &
paragraph (1) POJK 42/2020.

Peraturan Otoritas Jasa Keuangan 42/2020 mengenai
transaksi afiliasi dan transaksi benturan kepentingan:
