perusahaan Perseroan.

Convention Hotel and (ii) other parcels of land by PT
Putra Adhi Prima ("PAP"), a subsidiary of the
Company.
3. Uraian Informasi atau Fakta Pada hari Kamis, 14 November 2024, PAP, anak
Material perusahaan Perseroan yang bertindak selaku penjual
melakukan penjualan atas aset berupa (i) tanah dan
bangunan berkaitan dengan Hotel Pullman Ciawi
Vimala Hills Resort Spa & Convention serta (ii) bidang-
bidang tanah lainnya kepada PT Bangun Loka Indah
(“BLI”) melalui penandatanganan dokumen-dokumen
transaksi terkait ("Transaksi").
Description of Material On Thursday, November 14, 2024, PAP, a subsidiary of
Information or Facts the Company acting as the seller, conducted the sale
of assets consisting of (i) land and buildings related to
the Pullman Ciawi Vimala Hills Resort Spa &
Convention Hotel and (ii) other parcels of land to PT
Bangun Loka Indah ("BLI") through the signing of the
relevant transaction documents ("Transaction").
4. Dampak kejadian, informasi atau Transaksi memiliki dampak positif terhadap kegiatan
fakta material tersebut operasional dan kondisi finansial Perseroan di mana
terhadap kegiatan operasional, secara keuangan akan menambah posisi kas Perseroan
hukum, kondisi keuangan, atau untuk mendukung operasional dan pengembangan
kelangsungan usaha Emiten atau usaha Perseroan serta akan mengurangi beban utang
Perusahaan Publik Perseroan.

sebagaimana dimaksud dalam Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha.
Transaksi ini bukan merupakan transaksi afiliasi
sebagaimana dimaksud dalam Peraturan OJK No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan.
Keterbukaan Informasi ini dilakukan terkait penjualan
aset yang sifatnya penting yang dilakukan oleh anak
perusahaan Perseroan sesuai ketentuan dalam
Peraturan OJK 31/POJK.04/2015 tentang Keterbukaan
atas Informasi atau Fakta Material oleh Emiten atau
Perusahaan Publik.
Other Information This Transaction does not constitute a material
transaction as defined in OJK Regulation No.
17/POJK.04/2020 on Material Transactions and
Changes in Business Activities.
This Transaction is not an affiliated transaction as
defined in OJK Regulation No. 42/POJK.04/2020 on
Affiliated Transactions and Conflicts of Interest
Transactions.
This Disclosure of Information is made in relation to
the sales of assets conducted by the Company's
subsidiary in accordance with the provisions of OJK
Regulation No. 31/POJK.04/2015 concerning the
Disclosure of Information or Material Facts by Issuers
or Public Companies.
