On 8 November 2024, SBT 2 and Sembcorp (as
described below) have signed a Share Purchase
Agreement (“SPA”), whereby SBT 2 will purchase
266,563,184 shares in Sembcorp Environment
Pte. Ltd., a company incorporated under the laws
Of the state of Singapore, with its address at 30 Hill
Street, #05-04, Singapore 179360 ("SEPL"),
representing 10046 of the shares owned by
Sembcorp in SEPL.

Sembcorp Industries Ltd., suatu perusahaan yang
didirikan berdasarkan hukum negara Singapura,

179360 (“Sembcorp”).

under the laws of Republic of Singapore, having its

(“Sembcorp”).

3. Penjamin / Guarantor

Perseroan akan bertindak sebagai penjamin dari
SBT 2 dengan memberikan jaminan perusahaan.
The Company will become the guarantor of SBT 2
by providing a corporate guarantee.

Hubungan Para Pihak / Relationship between
the Parties

SBT 2 merupakan anak perusahaan Perseroan
yang sahamnya dimiliki 10076 oleh Perseroan
melalui PT Solusi Bersih TBS dan SBT Investment
1 Pte. Ltd. Perseroan dan/atau SBT 2 tidak
memiliki hubungan afiliasi dengan Sembcorp.
SBT 2 is a wholly-owned subsidiary of the
Company through PT Solusi Bersih TBS and SBT
Investment 1 Pte. Ltd. There is no affiliation
between the Company and/or SBT 2 with
Sembcorp.

Nilai transaksi / Transaction Value

Nilai agregat untuk pembelian saham SEPL oleh
SBT 2 berdasarkan SPA adalah sejumlah uang
tunai setara kas sebesar S$405,000,000, yang
akan disesuaikan berdasarkan akun penyelesaian
pada tanggal penutupan transaksi.

The aggregate consideration for the purchase of
SEPL shares by SBT 2 under the SPA is an
amount eguivalent to cash of S$405,000,000
subject to adjustments based on completion
accounts as at the date of closing of the
transaction.

Tujuan Transaksi / Transaction Purpose
Transaksi ini merupakan salah satu strategi

penting Perseroan dalam membangun platform
pengelolaan sampah terintegrasi regional dengan
operasi di seluruh Asia Tenggara, yang mencakup
pengelolaan limbah medis, industri, dan domestik.
Hal ini merupakan bagian dari komitmen
Perseroan untuk bertransisi menuju bisnis hijau
dan berkelanjutan sejalan dengan target
TBS2030.

The Transaction represents a key strategy for the
Company in developing a regional integrated
waste management platform with operations
throughout Southeast Asia, encompassing the
management of medical, industrial, and domestic
waste. This is part of the Company transition into
green and sustainable business in alignment with
TBS2030 target.

Pelaksanaan transaksi tidak memiliki dampak
negatif terhadap kegiatan operasional, hukum,
kondisi keuangan atau kelangsungan usaha
Perseroan. Lebih lanjut, pelaksanaan transaksi ini
akan memperkuat posisi TBS di sektor
pengelolaan limbah regional dan solusi lingkungan
serta memperkuat posisi keuangan Perseroan.
TBS memiliki komitmen berkelanjutan untuk
bertransisi menuju bisnis hijau dan berkelanjutan
sejalan dengan target TBS2030.

The implementation of transaction will not have a
negative impact on the operational activities, legal
standing, financial condition, or business continuity
of the Company. Further, the implementation of
this transaction will reinforce TBS' position in the
regional waste management and environmental
solutions sector and strengthen the Company's
financial position. TBS has an ongoing
commitment to transition into green and
sustainable business in alignment with TBS2030
target.

Transaksi akan dilaksanakan dengan memenuhi
syarat dan ketentuan POJK 17/2020.

This transaction constitutes a Material Transaction
that reguires the approval from the Extraordinary
General Meeting of Shareholder in accordance with
the Financial Services Authority Regulation No.
17/POJK.04/2020 on Material Transactions and
Change of Business Activity (“POJK 17/2020”).

The transaction will be conducted in accordance
with the terms and condition of POJK 17/2020.
