pengangkatan Sdr. Kreisna Dewantara Gozali sebagaimana
yang tertuang dalam Salinan Keputusan Anggota Dewan
Komisioner Otoritas Jasa Keuangan tentang Hasil Penilaian
Kemampuan dan Kepatutan (fit and proper test) Sdr. Kreisna
Dewantara Gozali sebagai Komisaris Non Independen PT
Bank Neo Commerce Tbk.
3. Akta Pernyataan Pengukuhan Keputusan Rapat atas
pengangkatan Komisaris Non Independen, beserta Surat

Description of Material Information or In consideration of the following:
Facts 1. The Resolution of the Extraordinary General Meeting
of Shareholders (EGMS) of the Company dated April 30, 2024.
2. The Company has obtained approval for the
appointment of Mr. Kreisna Dewantara Gozali as stated in the
Board of Commissioners Decree from the Financial Services
Authority regarding the Results of the Fit and Proper Test of
Mr. Kreisna Dewantara Gozali as a Non-Independent
Commissioner of PT Bank Neo Commerce Tbk.
3. The Deed of Statement Confirming the Meetings
Decision regarding the appointment of the Non-Independent
Commissioner, along with the Receipt Letter from the Ministry
of Law and Human Rights of the Republic of Indonesia.
Based on the above, the composition of the Companys Board
of Commissioners and Board of Directors is as follows:
