langsung terhadap Emiten atau Perusahaan Publik.
Uraian Informasi atau Fakta Material Pada tanggal 9 Juni 2026, Perseroan telah diinformasikan oleh
pemegang saham utama Perseroan, yakni David Dwiputra
bahwa telah terjadi perubahan pengendalian pada Perseroan
yang disebabkan oleh dialihkannya 1.901.580.000 saham
Perseroan atau setara dengan 61,85% dari modal ditempatkan
dan disetor Perseroan oleh David Dwiputra ("Penjual") kepada
PT Harmoni Semesta Investama, sehingga PT Harmoni
Semesta Investama menjadi pengendali baru Perseroan
("Pengendali Baru").
Pengendali Baru merupakan perseroan terbatas yang didirikan
berdasarkan hukum Republik Indonesia yang berdomisili di
Provinsi Banten. Pengendali baru bergerak dalam bidang
aktivitas perusahaan induk. Pengendali Baru Perseroan tidak
memiliki hubungan afiliasi dengan Penjual selaku pengendali
lama.
Dampak kejadian, informasi atau fakta Sebagaimana disebutkan di atas, maka pengendali Perseroan
material tersebut terhadap kegiatan telah berubah yakni Pengendali Baru.

Description of Material Information or On June 9th 2026, the Company was informed by its principal
Facts shareholder, David Dwiputra, that a change of control of the
Company has occurred due to the transfer of 1,901,580,000
shares of the Company or equivalent to 61.85% of the issued
and paid-up capital of the Company by David Dwiputra (the
"Seller") to PT Harmoni Semesta Investama, making PT
Harmoni Semesta Investama the new controlling shareholder
of the Company (the "New Controller").
The New Controller is a limited liability company duly
established pursuant to the laws of the Republic of Indonesia,
domiciled in the Province of Banten. The New Controller
engages in holding activities. The New Controller of the
Company is not affiliated with the Seller as the previous
controller.
Impact of event, material information or As stated above, the new controller of the Company has
