Uraian Informasi atau Fakta Material Sehubungan dengan Surat OJK No. S-1636/PM.211/2024
tentang Keputusan RUPSLB PT Mandala Multifinance Tbk
terkait Rencana Melakukan Peningkatan Modal Ditempatkan
dan Disetor Melalui Pembagian Saham Bonus tertanggal 29
Oktober 2024 oleh Perseroan ("Surat OJK"), Perseroan akan
melakukan evaluasi ulang dan tidak melaksanakan pembagian
saham bonus yang sebelumnya telah diumumkan Perseroan
dalam situs web BEI, antara lain sebagai berikut ("Pembagian
Saham Bonus"):
(i) Surat Perseroan No. 068/MM-CORSEC/IX/24 tentang
Keterbukaan Informasi Kepada Pemegang Saham PT
Mandala Multifinance Tbk dalam rangka Rencana Perseroan
untuk Membagikan Saham Bonus yang Berasal dari
Kapitalisasi Saldo Laba tertanggal 5 September 2024;
(ii) Resume Rapat Umum Pemegang Saham Luar Biasa
PT MANDALA MULTIFINANCE Tbk No. 190/Srt/X/2024
tertanggal 14 Oktober 2024; dan
(iii) Surat Perseroan No. 092/MM-CORSEC/X/2024
tentang Jadwal dan Tata Cara Pembagian Saham Bonus
tertanggal 16 Oktober 2024.
Dengan demikian, pelaksanaan Pembagian Saham Bonus
tidak akan dilakukan sesuai dengan informasi yang telah
diumumkan sebelumnya sampai informasi lebih lanjut sesuai
dengan peraturan perundang-undangan yang berlaku.

Description of Material Information or In relation to OJK Letter No. S-1636/PM.211/2024 on the
Facts Decision of the EGMS of PT Mandala Multifinance Tbk
regarding the Plan to Increase Issued and Paid-up Capital
Through the Distribution of Bonus Shares dated 29 October
2024 ("OJK Letter"), the Company is re-evaluating and
decided not to proceed with implementing the distribution of
bonus shares as previously disclosed in the website of the IDX
("Bonus Shares Distribution"), among others:
(i) Letter of the Company No. 068/MM-CORSEC/IX/24
on Disclosure of Information to Shareholders of PT Mandala
Multifinance Tbk regarding the Company's Plan to Distribute
Bonus Shares Originating from Capitalization of Retained
Earnings dated 5 September 2024;
(ii) Summary of Extraordinary General Meeting of
Shareholders of PT MANDALA MULTIFINANCE Tbk No.
190/Srt/X/2024 dated 14 October 2024; and
(iii) Letter of the Company No. 092/MM-CORSEC/X/2024
on the Schedule and Procedures for Distribution of Bonus
Shares dated 16 October 2024.
As such, the Company will not implement the Bonus Shares
Distribution as per previously announced until further notice as
per the applicable laws and regulations.
