Facts of PT Net Visi Media Tbk. (“the
Company”)

Dear Sir,

We refer to Financial Services Authority Regulation
No. 31/POJK.04/2015 on the Disclosure of Material
Information or Facts by Issuers or Public Companies
and Regulation Number I-£ on the Obligation to
Submit Information, Attachment to the Decree of
Board of Directors of PT Bursa Efek Indonesia No. KEP-
00066/BE1/09-2022 dated 30 September 2022, we
hereby disclose the information or material fact, as
follows:

adalah sebanyak-banyaknya 29.633.929.102 (dua
puluh sembilan miliar enam ratus tiga puluh tiga
juta sembilan ratus dua puluh sembilan ribu
seratus dua) saham seri B, dengan nilai nominal
Rp50,- (lima puluh Rupiah) per saham atau
sebesar 71,654 (tujuh puluh satu koma enam

puluh lima persen) dari jumlah saham
ditempatkan dan disetor penuh Perseroan
setelah PMTHMETD dilaksanakan/The number of
shares issued in connection with the Non Pre-
emptive Rights (“NPR”) is 29,633,929,102 (twenty
nine billion six hundred thirty three million nine
hundred twenty nine thousand one hundred and
two) series B shares, with ad nominal value of Rp50
(fifty Rupiah) per share or around 71.655 (seventy
one point sixty five percent) of the total issued and
fully paid-up shares of the Company after the
implementation of the NPR.

Pihak-pihak yang melakukan penyetoran

adalah/The subscribing parties in the NPR are as

follows:

a. FILM sebanyak 25.220.946.827 saham seri
B/FILM for 25.220.946.827 class B shares.

b. NCL sebanyak 4.412.982.275 saham seri
B/NCL for 4.412.982.275 class B shares.

Adapun dana PMTHMETD akan digunakan
untuk/The use of proceeds of the NPR will be used
for:

a. Sebesar Rp220.649.113.788,- (dua ratus dua
puluh miliar enam ratus empat puluh
sembilan juta seratus tiga belas ribu tujuh
ratus delapan puluh delapan Rupiah)
dilakukan dalam rangka konversi tagihan yang
dimiliki NCL/Rp220,649,113,788 (two
hundred twenty billion six hundred forty nine
million one hundred thirteen thousand seven
hundred eighty eight Rupiah) was done in the
context of conversion of receivables owned by
NCL.

b. Sebesar Rp661.947.341.364,- (enam ratus
enam puluh satu miliar sembilan ratus empat
puluh tujuh juta tiga ratus empat puluh satu
ribu tiga ratus enam puluh empat Rupiah)
dilakukan dalam rangka konversi tagihan yang
dimiliki FILM/Rp661,947,341,364 (six hundred
sixty-one billion nine hundred forty-seven
million three hundred forty-one thousand
three hundred sixty-four Rupiah) was done in
the context of conversion of receivables
owned by FILM.

c. Sebesar Rp599.100.000.000,- (lima ratus
sembilan puluh sembilan miliar seratus juta
Rupiah) yang merupakan setoran tunai dari
FILM dalam PMTHMETD akan digunakan oleh
Perseroan untuk setoran modal di PT Net

Mediatama Televisi ("NMT"), perusahaan
terkendali Perseroan, termasuk untuk
mendanai kebutuhan modal kerja NMT dan
untuk pembayaran utang yang dimiliki oleh
NMT/Rp599.100.000.000 (five hundred ninety
nine billion one hundred million Rupiah) in the
form of cash injection from FILM to be used by
the Company for capital injection in PT Net
Mediatama Televisi ("NMT"), a controlled
company of the Company, including to fund
NMT's working capital needs and debt
repayment of NMT.

Dampak Kejadian/Impact of Event

Atas pelaksanaan PMTHMETD pada tanggal 25
Oktober 2024, pemegang saham Perseroan
mengalami penurunan persentase kepemilikan
saham secara proporsional dengan jumlah saham
baru yang diterbitkan yaitu sebesar 71,6596 (tujuh
puluh satu koma enam puluh lima persen)/As ad
result of the implementation of NPR on 25 October
2024, the  Company's  shareholders — are
experiencing a proportional decrease in their
shareholding percentage corresponding to the
number of new shares issued, amounting to
71.654 (seventy one point sixty five percent).

Oleh karena itu, FILM menjadi pemegang saham
mayoritas di Perseroan dengan kepemilikan
sebesar sekitar 60,984 (enam puluh koma
sembilan puluh delapan persen), sehingga
menjadi pengendali baru Perseroan/Therefore,
FILM became the majority shareholder in the
Company with an ownership of around 60.984
(sixty point ninety eight percent), thereby
becoming the new controller of the Company.
