Menyusul pengumuman yang telah dibuat oleh
Perseroan sebelumnya yaitu pada tanggal 1
Agustus 2024 mengenai Konfirmasi
Pengumuman Negosiasi sehubungan dengan
Rencana Pengambilalihan dan Keterbukaan
Informasi atas Informasi atau Fakta Material dan
penandatanganan Perjanjian Pembelian Saham
Bersyarat ("CSPA”), maka sebagai tindak lanjut
dari CSPA tersebut, pada hari Rabu, tanggal 23
Oktober 2024, sudah dilakukan transaksi
pengambilalihan sahamSMDM oleh BSDE sesuai
dengan yang diatur di dalam CSPA, melalui
crossing saham yang dilakukan di pasar
negosiasi Bursa Efek Indonesia, sebanyak
4-390.121.595 (empat miliar tiga ratus sembilan
puluh juta seratus dua puluh satu ribu lima ratus
sembilan puluh lima) saham atau setara dengan
91,999 (sembilan puluh satu koma sembilan
puluh sembilan persen) dari seluruh total modal
ditempatkan dan disetor penuh yang sebelumnya
dimiliki oleh TGL.
Dam ejadian, informasi atau fakt
material tersebut terhada jatan
operasional, hukum, kondisi keuangan
atau kelangsungan usaha Perseroan
Dengan dilakukannya pengambilalihan SMDM,
maka pemegang saham pengendali SMDM
berubah dari TGL menjadi BSDE. SMDM tetap
menjalankan kegiatan operasional Perseroan
seperti biasa. Diharapkan dengan pengendali
baru dapat berkontribusi positif dalam
pengembangan proyek Perseroan untuk jangka

Following the announcement made by the
Company previously on August 1, 2024 on the
Confirmation of Negotiation Announcement in
relation to the Proposed Acguisition and
Information Disclosure of Material Information
or Facts and the execution of Conditional Shares
Purchase Agreement ( ”CSPA”), accordingly, asa
Jollow-up to the CSPA, on Wednesday, October
23"4, 2024, has settled the share acguisition
transaction of SMDM by BSDE, in accordance
with the CSPA, through the crossing of shares
conducted in the negotiation market of the
Indonesia Stock Exchange, amounting to
4390,121,595 (four billion three hundred ninety
million one hundred twenty-one thousand five
hundred ninety-five) shares or eguivalent to
91-9996 (ninety-one point ninety-nine percent) of
the total issued and fully paid-up capital
previously owned by TGL.
The impact of the event, information or
material fact on the operational
ivities, legal, financial ition or
business continuity ofthe Company
By acguiring SMDM, thus the SMDM'
controlling shareholder changed Srom TGL to
BSDE. SMDM will continue to conduct the
Company's operational activities as usual. It is
expected that with the new controller will
contribute positively to the development of the
Company' projects in the long term.
