Menyusul pengumuman yang telah dibuat oleh
Perseroan sebelumnya yaitu pada tanggal 1
Agustus 2024 mengenai Pengumuman Negosiasi
sehubungan dengan Rencana Pengambilalihan
dan Keterbukaan Informasi atas Informasi atau
Fakta Material dan penandatanganan Perjanjian
Pembelian Saham Bersyarat ("CSPA”), maka
sebagai tindak lanjut dari CSPA tersebut, pada
hari Rabu, tanggal 23 Oktober 2024, Perseroan
telah menyelesaikan transaksi pengambilalihan
saham SMDM sesuai dengan yang diatur di dalam
CSPA, melalui crossing saham yang dilakukan di.
pasar negosiasi Bursa Efek Indonesia, sebanyak
4.390.121.595 (empat miliar tiga ratus sembilan
puluh juta seratus dua puluh satu ribu lima ratus
sembilan puluh lima) saham atau setara dengan
91,994 (sembilan puluh satu koma sembilan
puluh sembilan persen) dari seluruh total modal
ditempatkan dan disetor penuh yang sebelumnya
dimiliki oleh Top Global Limited.
Dampak kejadian, informasi atau fakta
material tersebut terhadap — kegiatan
operasional, hukum, kondisi keuangan atau
kelangsungan usaha Perseroan
Dengan dilakukannya pengambilalihan saham
SMDM, Perseroan akan menjadi pengendali baru
SMDM dan tidak akan berdampak pada kegiatan
operasional Perseroan. Diharapkan SMDM dapat
berkontribusi positif dalam penambahan
cadangan lahan guna pengembangan proyek
jangka panjang.

Perseroan akan melakukan pengumuman
sehubungan dengan: i) pengambilalihan yang
merupakan transaksi afiliasi dan ii) penawaran
tender wajib, sesuai dengan peraturan

Acguisition of SMDM by the Company.
Description of Information or Material Fact
Following the announcement made by the
Company previously on August 1", 2024 on the
Negotiation Announcement in relation to the
Proposed — Acguisition and Information
Disclosure of Material Information or Facts and
the execution of Conditional Shares Purchase
Agreement ("CSPA”), accordingly, as a follow-up
to the CSPA, on Wednesday, October 23", 2024,
the Company has setiled the share acguisition
transaction of SMDM, in accordance with the
CSPA, through the crossing of shares conducted
in the negotiation market of the Indonesia Stock
Exchange, amounting to 4,390,121,595 (four
billion three hundred ninety million one hundred
twenty-one thousand five hundred ninety-five)
shares or eguivalent to 91.994 (ninety-one point
ninety-nine percent) of the total issued and fully
paid-up capital previously owned by Top Global
Limited.

By acguiring SMDM shares, the Company
becomes the new controller of SMDM and the
Company's operational activities will remain
unaffected. It is expected that SMDM's will
contribute positively to increase the land reserves
for long-term project development.

The Company will make disclosures in relation to:
i) acguisitian which constitutes an affiliated
transaction and ii) mandatory tender offer, in
accordance with he prevailing laws and
regulations.
