THIS INFORMATION DISCLOSURE TO THE PUBLIC ("INFORMATION DISCLOSURE") IS
SUBMITTED IN ORDER TO COMPLY WITH ARTICLE 43A OF THE FINANCIAL SERVICES
AUTHORITY ("OJK") REGULATION NO. 14/POJK.04/2019 ON THE AMENDMENT OF OJK
REGULATION NO. 32/POJK.04/2015 ON THE INCREASE OF CAPITAL OF PUBLIC
COMPANIES BY PROVIDING PRE-EMPTIVE RIGHTS ("POJK 14/2019").

The Company hereby announces that the Company will issue series B shares having a nominal
value of IDR 50 per share, in the amount of (i) 25,220,946,827 shares to PT MD Entertainment Tbk.
("FILM") and (ii) 4,412,982,275 shares to Newton Capital Ltd ("NCL"), through the implementation
of NPR ("New Shares"). The implementation of NPR is carried out for the purpose of improving the
Company's financial condition as referred to in Article 3 (a) and Article 8B letter b of POJK 14/2019.
The NPR plan has been approved by the shareholders of the Company as stipulated in the
Extraordinary General Meeting of Shareholders of the Company held on 8 October 2024.
Furthermore, in accordance with the provisions of IDX Regulation No. I-A attached to the Decree of
the Board of Directors of IDX No. Kep. 00101/BEI/12-2021 concerning the Listing of Shares and
Equity Securities Other Than Shares Issued by Listed Companies ("IDX Regulation I-A") and
considering that the Company conducts NPR purpose of improving the Company's financial
condition, the determination of the exercise price is based on the agreement of the parties, carried
out on an arm's length basis, does not violate the applicable laws and is executed without harming
non-controlling shareholders and non-major shareholders.
The Company appointed an Independent Appraiser registered at OJK to appraise the Company's
share price. Considering the results of the valuation of the Independent Appraiser based on the
Company's share valuation report, the Company with NCL and FILM have agreed that the exercise
price of this NPR is IDR 50 (fifty Rupiah) per share.
The schedule for the implementation of NPR is as follows:
a. Issuance of NPR New Shares : 25 October 2024
b. Listing of NPR New Shares : 28 October 2024
c. Announcement of NPR Implementation : 29 October 2024
