Pada tanggal 18 Maret 2024, Perseroan telah melakukan keterbukaan informasi kepada Otoritas Jasa
Keuangan melalui: Surat Nomor 024/CORP/9981/III/24 tertanggal 18 Maret 2024 (“Keterbukaan
Informasi 18 Maret 2024”), yang memberitahukan bahwa:
On 18 March 2024, the Company conducted information disclosure to Otoritas Jasa Keuangan
through: Letter Number 024/CORP/9981/III/24 dated 18 March 2024 (“Information Disclosure 18
March 2024”), informing:
Pada tanggal 15 Maret 2024, penyelesaian transaksi jual beli saham telah terjadi karena seluruh
persyaratan pendahuluan (conditions precedent) dalam perjanjian jual beli saham (“Perjanjian”)
antara PT Energia Prima Nusantara (“EPN”), perusahaan terkendali milik Perseroan dengan (i) Merit
Power Holdings B.V., (ii) Axia Power Holdings B.V., (iii) Tohoku Power Investment Company B.V., dan
(iv) INPEX Geothermal, Ltd., (seluruhnya disebut “Para Penjual”) telah terpenuhi oleh masing-masing

pihak dan EPN telah menyelesaikan pembayaran dengan total nilai keseluruhan sebesar
US$80.691.690 atau setara dengan IDR1.257.338.069.400 kepada Para Penjual.
As of 15 March 2024, the completion of the transaction has occurred as all conditions precedent in a
share sale and purchase agreement (“Agreement”) between PT Energia Prima Nusantara (“EPN”), a
controlled entity of the Company with (i) Merit Power Holdings B.V., (ii) Axia Power Holdings B.V., (iii)
Tohoku Power Investment Company B.V., and (iv) INPEX Geothermal, Ltd., (all referred to as
“Sellers”) have been fulfilled by each party and EPN has made payment with the total amount of
US$80,691,690 or equal to IDR1,257,338,069,400 to the Sellers.
Sehubungan dengan informasi di atas, Perseroan dengan ini memberitahukan bahwa pada tanggal
15 Oktober 2024, EPN dan Para Penjual telah menandatangani kesepakatan penghitungan
penyesuaian harga pembelian penjualan saham (“Pernyataan Penyelesaian”), di mana terdapat
perubahan/ penyesuaian total nilai keseluruhan transaksi berdasarkan penghitungan menggunakan
hasil laporan keuangan yang telah diaudit. Oleh karenanya, berdasarkan Pernyataan Penyelesaian
terdapat pengurangan nilai keseluruhan transaksi sebesar USD108.749 atau setara dengan
Rp1.694.418.169, sehingga nilai transaksi atas Perjanjian adalah menjadi sebesar USD80.582.941
atau setara dengan Rp1.255.562.803.721.
In relation to the above information, the Company hereby informs that on 15 October 2024, EPN and
the Sellers have entered into a side letter on sale shares calculation of purchase price adjustment
(“Closing Statement”) where there is any change/ adjustment of the total value of the entire
transaction based on the calculation using the audited financial statements. Therefore, based on the
Closing Statement, there is a reduction of value of the entire transaction is USD108,749 or equivalent
to Rp1,694,418,169, therefore the transaction value of the Agreement is USD80,582,941 or equivalent
to Rp1,255,562,803,721.
Selain dari apa yang disebutkan di atas, informasi yang telah disampaikan dalam Keterbukaan
Informasi 18 Maret 2024 masih tetap sama dan tidak berubah.
Other than above, the information which had been disclosed under the Disclosure Information 18
March 2024 remains valid and nothing changed.
