Transaksi antara Perseroan dengan PT Bank Mega Tbk dikategorikan sebagai transaksi afiliasi sebagaimana dimaksud
dalam POJK 42/2020, karena Perseroan dan PT Bank Mega Tbk dikendalikan secara langsung oleh pihak yang sama
yaitu PT Mega Corpora.
Alasan dan Latar Belakang
Sebagai anggota KUB dari PT Bank Mega Tbk, Perseroan melihat bahwa sinergi dan efisiensi dapat lebih ditingkatkan
dalam pelayanan terpadu dalam satu atap, hal ini tentunya dapat lebih meningkatkan pelayanan terhadap nasabah,
selain itu upaya tersebut diharapkan akan memberikan manfaat dari sisi finansial terhadap Perseroan.
Untuk transaksi yang sama apabila dilakukan dengan pihak yang tidak terafiliasi tidak akan menghasilkan manfaat yang
sama bilamana transaksi dilakukan dengan pihak terafiliasi mengingat adanya faktor sinergi dan sisi finansial sehingga
dapat tercapainya peningkatan pelayanan nasabah sebagaimana yang diharapkan.
Demikian laporan ini disampaikan dalam rangka memenuhi ketentuan POJK 42/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan.
Kami menyatakan bahwa semua informasi material telah diungkapkan dan informasi tersebut tidak menyesatkan.

 In compliance with the reporting requirements based on Financial Services Authority Regulation No.42/POJK.04/2020 (
 POJK 42/2020 ) concerning Affiliated Transactions and Conflict of Interest Transactions, we hereby submit the following
 affiliated transaction report:
 Transaction Object
 On October 9, 2024, PT Allo Bank Indonesia Tbk ( Company ) with PT Bank Mega Tbk has signed Addendum I to the
 Space and Land Lease Agreement Number 016/PRFS/2024, Number 004/PKS/X/24 (hereinafter referred to as the
 Agreement ) to add work space in the Bank Mega Card Center Building located at Jalan Kompleks Rumah Sakit Mata
 Aini Kavling No. 5 6, Karet Village/Sub-district, Setiabudi District, South Jakarta City, Special Capital Region of Jakarta
 Province. The addition of this room area was carried out considering the need for a workplace in accordance with the
 increase in capacity currently needed as one of the supporting facilities for Allo Bank in handling credit. With this
 addition, the total area of the space rented by the Company is 200.52 m2 (two hundred point fifty two square meters)
 semi gross. Transaction Value
 The transaction value for the rental of the room is IDR 1,828,742,400.00 (one billion eight hundred twenty eight million
 seven hundred forty two thousand four hundred Rupiah) excluding VAT (details attached).
 Considering the Company's paid-up capital as of December 31, 2023, which was recorded at IDR2,173,025,644,200.00
 (two trillion one hundred seventy-three billion twenty-five million six hundred forty-four thousand two hundred Rupiah),
 the total estimated maximum transaction of IDR1,828,742,400.00 does not exceed 0.5% (zero point five percent) of the
 Company's paid-up capital or does not exceed a maximum amount of IDR5,000,000,000.00 (five billion Rupiah) as
 stipulated in POJK No.42/2020. Thus, the Company is only required to report to the Financial Services Authority no later
 than the end of the 2nd (second) working day after the transaction occurs.

Nature of Affiliate Relationship with the Company
The transaction between the Company and PT Bank Mega Tbk is categorized as an affiliate transaction as referred to in
POJK 42/2020, because the Company and PT Bank Mega Tbk are directly controlled by the same party, namely PT
Mega Corpora.
Reasons and Background
As a member of the KUB of PT Bank Mega Tbk, the Company sees that synergy and efficiency can be further improved
in integrated services under one roof, this can certainly improve customer service, in addition, these efforts are expected
to provide financial benefits to the Company.
For the same transaction if carried out with an unaffiliated party, it will not produce the same benefits if the transaction is
carried out with an affiliated party considering the synergy and financial factors so that the expected improvement in
customer service can be achieved.
This report is submitted in order to comply with the provisions of POJK 42/2020 concerning Affiliated Transactions and
Conflict of Interest Transactions.
