Uraian Informasi atau Fakta Material Sebagaimana diatur dalam Peraturan OJK
No.42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan
Kepentingan Keputusan Ketua Dewan Komisioner OJK
tertanggal 2 Juli 2020 (POJK 42), untuk memastikan
kewajaran Transaksi, Perseroan telah menunjuk Kantor Jasa
Penilai Publik Amin. Nirwan. Alfiantori & Rekan untuk
memberikan pendapat sebagai penilai independent atas nilai
pasar 1 (satu) unit kapal Self Propelled Barge berkapasitas
12.000 DWT dari PT Marcopolo Shipyard. Hasil penilaian
kapal SPB Premier Bahari adalah sebesar IDR
105.092.000.000 atau setara USD 6.920.321 dengan kurs
1USD=15.186 per tanggal 25 September 2024.
Dampak kejadian, informasi atau fakta Dampak Aspek Operasional.
material tersebut terhadap kegiatan Pembelian kapal Self Propelled Barge (SPB) ini dilakukan
operasional, hukum, kondisi keuangan, untuk menambah armada serta meningkatkan pendapatan
atau kelangsungan usaha Emiten atau sewa pada kegiatan operasional di bisnis kapal penunjang
Perusahaan Publik pengangkutan Batu Bara.
Dampak Aspek Keuangan.
Dengan pembelian kapal, aset Perseroan akan meningkat
sebesar USD 6.500.000 dan utang Perseroan akan meningkat
sesuai dengan kredit investasi yang diberikan oleh PT Bank
Mandiri (Persero) sebesar Rp 73.000.000.000 (ekualisasi USD
4.550.000). Dengan adanya penambahan kapal, pendapatan
Perseroan diharapkan dapat meningkat sehingga dapat
meningkatkan keuangan Perseroan.
Dampak Aspek Hukum atas Kelangsungan Usaha Emiten.
Saat ini tidak ada dampak material dari kejadian, informasi,
atau fakta material tersebut terhadap hukum dan
kelangsungan usaha Perseroan.

Facts concerning Affiliate Transactions and Conflicts of Interest
Decision of the Chairman of the OJK Board of Commissioners
dated July 2, 2020 (POJK 42), to ensure the fairness of the
Transaction, The Company has appointed a Public Appraisal
Service Office Amin. Nirwan. Alfiantori & Rekan to provide an
opinion as an independent appraiser on the fairness of the
Affiliated Transaction on the market value of 1 (one) unit of
Self Propelled Barge with a capacity of 12,000 DWT from PT
Marcopolo Shipyard. The results of the assessment of the SPB
Premier Bahari amounted IDR 105,092,000,000 or the
equivalent of USD 6,920,321 with exchange rate 1USD 15,186
as of September 25 2024.

With the purchase of the vessel, the Companys assets will
increase by USD 6,500,000 and the Companys debt will
increase in accordance with the investment credit provided by
PT Bank Mandiri (Persero) amounting to Rp. 73,000,000,000
(equalization USD 4,550,000). With the addition of the vessel,
the Companys income is expected to increase so that it can
improve the Companys finances.
Impact of Laws Aspects on Issuers Business Continuity.
Currently, there is no material impact of this event, information,
or material facts on the law and the business continuity of the
Company.
