tidak langsung (“Para Penerbit”). Surat Utang
2026 dan Surat Utang 2027 dijamin secara
tanpa syarat dan tidak dapat ditarik kembali
oleh Perseroan dan beberapa anak
perusahaannya. /
The Company intends to announce early
tender results for the repurchase of: (i) up to
US$100,000,000 of 7.375% Senior Notes due
2026 issued by Medco Oak Tree Pte. Ltd. (the
“2026 Notes”), and (ii) up to US$50,000,000 of
6.375% Senior Notes due 2027 issued by
Medco Bell Pte. Ltd (“2027 Notes”), excluding
applicable accrued interest (“Tender Offer”).
Medco Oak Tree Pte. Ltd. and Medco Bell Pte.
Ltd are a wholly owned indirect subsidiaries of
the Company (the “Issuers”). 2026 Notes and
2027 Notes unconditionally and irrevocably
guaranteed by the Company and its certain
subsidiaries.
Penyelesaian Penawaran Tender bergantung
pada pemenuhan kondisi tertentu, dalam
setiap hal, sebagaimana diubah, diganti,
dikesampingkan atau ditambah oleh Para
Penerbit dan Perseroan.
The consummation of the Tender Offer is
conditioned upon the satisfaction of certain
conditions, in each case, as modified,
amended, waived or supplemented by the
Issuers and the Company.

7 Oktober 2024 sehubungan dengan
Penawaran Tender.

Pengumuman ini bukan merupakan penawaran umum di Indonesia berdasarkan Undang-Undang
Nomor 8 Tahun 1995 tentang Pasar Modal sebagaimana diubah dengan Undang-Undang No. 4
Tahun 2023 tentang Pengembangan dan Penguatan Sektor Keuangan, dan peraturan-peraturan
pelaksananya (“UU Pasar Modal Indonesia”). Efek apapun tidak dapat ditawarkan dalam
wilayah Republik Indonesia atau kepada warga Negara Indonesia menggunakan media massa
(termasuk koran, majalah, film, televisi, radio, atau media elektronik lainnya, surat, brosur
termasuk media cetak lainnya) atau ditawarkan kepada lebih dari 100 pihak Indonesia dan/atau
dijual kepada lebih dari 50 pihak Indonesia atau warga negara Indonesia, dimanapun domisili
mereka, baik yang berdomisili di dalam ataupun luar Indonesia dalam waktu tertentu, dengan
cara yang merupakan penawaran umum berdasarkan UU Pasar Modal Indonesia.

Hasil tender awal dari Penawaran Tender yang diumumkan sebelumnya (sebagaimana dijelaskan
di bawah) diumumkan hari ini:
(i) Medco Oak Tree Pte. Ltd (“Penerbit 2026”) menawarkan pembelian dalam bentuk tunai
sebanyak-banyaknya US$100.000.000 dalam keseluruhan harga pembelian yang terdiri atas
Harga Penawaran Tender Awal dan/atau Harga Penawaran Tender Akhir, sebagaimana berlaku,
namun tidak termasuk Bunga Terakumulasi yang berlaku (“Jumlah Maksimal 2026”), atas
Surat Utang Senior 7,375% jatuh tempo 2026 (Rule 144A: CUSIP 58405FAA3, ISIN
US58405FAAA30, Common Code 199293656 / Regulation S: CUSIP Y59501AA7, ISIN
USY59501AA78, Common Code 199293702) (surat utang tersebut selanjutnya disebut
sebagai “Surat Utang 2026”) (penawaran tersebut selanjutnya disebut sebagai “Penawaran
Tender 2026”);
(ii) Medco Bell Pte. Ltd (“Penerbit 2027” bersama dengan Penerbit 2026, disebut sebagai "Para
Penerbit" dan masing-masing disebut sebagai "Penerbit") menawarkan pembelian dalam
bentuk tunai sebanyak-banyaknya US$50.000.000 dalam keseluruhan harga pembelian yang
terdiri atas Harga Penawaran Tender Awal dan/atau Harga Penawaran Tender Akhir,
sebagaimana berlaku, namun tidak termasuk Bunga Terakumulasi yang berlaku (“Jumlah
Maksimal 2027” dan, bersama dengan Jumlah Maksimum 2026, disebut sebagai “Total Jumlah
Maksimum” dan masing-masing disebut sebagai “Jumlah Maksimum”), atas Surat Utang
Senior 6,375% jatuh tempo 2027 (Rule 144A: CUSIP 58406LAA9, ISIN US58406LAA98,
Common Code 210761268 / Regulation S: CUSIP Y56607AA5, ISIN USY56607AA51,
Common Code 210761306) (Surat Utang tersebut, “Surat Utang 2027” dan bersama-sama
dengan “Surat Utang 2026”, disebut sebagai “Surat Utang”) (setiap penawaran ini, “Penawaran
Tender 2027” dan bersama-sama dengan Penawaran Tender 2026, selanjutnya disebut sebagai
“Penawaran Tender”).
Surat Utang dijamin oleh PT Medco Energi Internasional Tbk (“Penjamin Induk”) dan anak
perusahaan tertentu. Para Penerbit dan Penjamin Induk telah melibatkan DBS Bank Ltd., ING
Bank, N.V., Singapore Branch, Mandiri Securities Pte. Ltd., Morgan Stanley Asia (Singapore) Pte.,
MUFG Securities Asia Limited dan Standard Chartered Bank (Singapore) Limited sebagai
manajer perantara (“Para Manajer Perantara”) untuk Penawaran Tender.
Istilah dengan huruf kapital yang digunakan disini namun tidak didefinisikan memiliki arti yang
sama sebagaimana dimaksud dalam Penawaran Pembelian tanggal 20 September 2024
(sebagaimana dapat diubah atau ditambah dari waktu ke waktu, “Penawaran Pembelian”). Seluruh
dokumen sehubungan dengan Penawaran Tender telah tersedia dari Sodali & Co (“Agen
Penawaran dan Informasi”) dalam situs web Penawaran Tender, pada
https://projects.sodali.com/medco, bergantung pada konfirmasi dan pendaftaran yang memenuhi
syarat.
Penawaran Tender dimulai pada 20 September 2024. Batas Waktu Tender Awal telah berakhir
pada pukul 17.00 waktu New York City, pada tanggal 3 Oktober 2024. Batas Waktu Jatuh Tempo
adalah pada pukul 17.00 waktu New York City pada tanggal 21 Oktober 2024.

Penjamin Induk dan Para Penerbit telah diinformasikan oleh Agen Informasi dan Tender, bahwa Pemilik dari (i) jumlah pokok keseluruhan Surat Utang 2026 sebesar US$57.103.000, dan (ii) jumlah pokok keseluruhan Surat Utang 2027 sebesar US$68.837.000 telah secara sah ditawarkan dan tidak menarik kembali secara sah masing-masing Surat Utang mereka pada atau sebelum Batas Waktu Tender Awal sesuai dengan Penawaran Tender. Harga keseluruhan pembelian dari Surat Utang 2027 yang ditawarkan secara sah dan tidak ditarik kembali secara sah pada atau sebelum Batas Waktu Tender Awal (”Tender Awal Surat Utang 2027”) melebihi Jumlah Maksimum 2027. Oleh karena itu, Penerbit 2027 menyetujui pembelian Surat Utang 2027 secara prorata sehingga jumlah keseluruhan dari Harga Penawaran Tender Awal Surat Utang 2027 yang diterima untuk pembelian tidak melebihi Jumlah Maksimum 2027. Karena Penawaran Tender 2027 melebihi permintaan, tidak ada Surat Utang 2027 yang ditawarkan secara sah setelah Batas Waktu Tender Awal dan pada atau sebelum Batas Waktu Jatuh Tempo yang akan diterima untuk pembelian. Tunduk pada syarat dan ketentuan Penawaran Tender sebagaimana dijelaskan dalam Penawaran Pembelian, jumlah yang harus dibayarkan untuk Surat Utang yang ditenderkan secara sah dan tidak ditarik secara sah pada atau sebelum pukul 17.00, waktu New York City, pada tanggal 3 Oktober 2024 (“Batas Waktu Tender Awal”) (“Harga Penawaran Tender Awal”), dan diterima untuk pembelian, akan termasuk premi tender awal (“Premi Tender Awal”) dan akan menjadi (i) US$1.015 untuk setiap US$1.000 atas jumlah pokok Surat Utang 2026, yang mencakup Premi Tender Awal sebesar US$30 untuk setiap US$1.000 atas jumlah pokok Surat Utang 2026, dan (ii) US$997,50 untuk setiap US$1.000 atas jumlah pokok Surat Utang 2027, yang mencakup Premi Tender Awal sebesar US$30 untuk setiap US$1.000 atas jumlah pokok Surat Utang 2027. Tunduk pada syarat dan ketentuan Penawaran Tender 2026 sebagaimana dijelaskan dalam Penawaran Pembelian, jumlah yang harus dibayarkan untuk Surat Utang 2026 yang ditenderkan secara sah setelah Batas Waktu Tender Awal pada atau sebelum pukul 17.00, waktu New York City, pada tanggal 21 Oktober 2024 (“Batas Waktu Jatuh Tempo”), dan diterima untuk pembelian, tidak termasuk Premi Tender Awal yang berlaku (“Harga Penawaran Tender Akhir”) dan akan menjadi US$985 untuk setiap US$1.000 atas jumlah pokok Surat Utang 2026. Harga Penawaran Tender Awal atau Harga Penawaran Tender Akhir, sebagaimana berlaku, untuk masing-masing seri Surat Utang tidak termasuk Bunga Terakumulasi, yang akan dibayarkan sebagai tambahan atas Harga Penawaran Tender Awal atau Harga Penawaran Tender Akhir, sebagaimana berlaku pada Tanggal Penyelesaian. Perkiraan Tanggal Penyelesaian untuk Penawaran Tender adalah 24 Oktober 2024. Setiap Surat Utang yang ditawarkan berdasarkan Penawaran Tender yang tidak diterima dan dibeli akan segera dikembalikan kepada Pemegang yang bersangkutan pada Tanggal Penyelesaian. Masing-masing dari Para Penerbit berencana untuk membayar Surat Utang yang dibeli dalam Penawaran Tender secara tunai dari Penjamin Induk dan anak perusahaan dan/atau dana yang dipinjam berdasarkan fasilitas utang yang ada. Tidak ada satupun dari Penawaran Tender yang tunduk pada ketentuan keuangan apa pun.

Penawaran Tender disyaratkan kepada pemenuhan atau pengesampingan oleh Para Penerbit, dengan diskresi penuh, sebagaimana telah dijelaskan secara lengkap dalam Penawaran Pembelian. Pengumuman ini bukan merupakan permintaan atas persetujuan sehubungan dengan suatu Surat Utang. Penawaran Tender dibuat berdasarkan Penawaran Pembelian, yang mana secara rinci dijelaskan dalam ketentuan Penawaran Tender. Distribusi pengumuman ini di beberapa yurisdiksi mungkin dibatasi oleh hukum. Pihak yang memiliki pengumuman ini disyaratkan untuk menginformasikan dirinya tentang, dan untuk mengetahui lebih jauh, terhadap suatu pembatasan. Pengumuman ini dan Penawaran Pembelian mengandung informasi yang penting, yang harus dibaca dengan hati-hati sebelum mengambil keputusan sehubungan dengan Penawaran Tender. Masing-masing pemegang Surat Utang bertanggung jawab sepenuhnya untuk melakukan penilaian independen terhadap segala hal yang dianggap relevan (termasuk yang berkaitan dengan Penawaran Tender) dan setiap pemegang Surat Utang harus membuat keputusan sendiri apakah akan melakukan tender atau tidak melakukan tender atas Surat Utangnya berdasarkan Penawaran Tender. Apabila pemegang Surat Utang memiliki keraguan atas tindakan yang harus dilakukan, maka disarankan bagi pemegang Surat Utang untuk meminta nasihat hukum, pajak dan keuangan, termasuk dengan risiko perpajakan dari pialang saham, manajer bank, pengacara, akuntan, atau penasihat keuangan independen lainnya. Setiap pemegang Surat Utang yang Surat Utangnya dipegang oleh pialang, dealer, bank, kustodian, trust atau entitas lainnya harus menghubungi entitas tersebut jika ingin berpartisipasi dalam Penawaran Tender. Para Manajer Perantara, atau

pihak yang mengendalikan, atau direktur, petugas, karyawan, agen atau afiliasi dari pihak tersebut, tidak memberikan rekomendasi atas apakah pemegang Surat Utang harus berpartisipasi atau tidak pada Penawaran Tender. Apabila terdapat yurisdiksi yang mewajibkan Penawaran Tender harus dilakukan oleh pialang atau dealer yang memiliki izin, dan salah satu Para Manajer Perantara atau afiliasinya merupakan pialang atau dealer yang memiliki izin dalam yurisdiksi tersebut, maka Penawaran Tender dianggap dilakukan oleh Para Manajer Perantara atau afiliasinya (sebagaimana berlaku) untuk dan atas nama Para Penerbit dalam yurisdiksi tersebut. Masing-masing pemegang Surat Utang yang berpartisipasi dalam Penawaran Tender akan dianggap memberikan pernyataan sebagaimana tercantum di dalam Penawaran Pembelian. Pemegang Surat Utang di Singapura yang berpartisipasi dalam Penawaran Tender akan dianggap untuk memberikan pernyataan bahwa dirinya merupakan investor institusional sebagaimana dimaksud dalam Section 4A dari Securities and Futures Act 2001 of Singapore (“SFA”) atau merupakan investor terakreditasi sebagaimana dimaksud dalam Section 4A dari SFA. Setiap tender pembelian Surat Utang berdasarkan Penawaran Tender dari pemegang Surat Utang yang tidak dapat memberikan pernyataan tidak dapat diterima. Masing-masing dari Para Penerbit, Para Manajer Perantara dan Agen Informasi dan Tender memiliki hak, dengan diskresi penuhnya, untuk menginvestigasi, sehubungan dengan tender pembelian Surat Utang berdasarkan Penawaran Tender, baik apakah pernyataan yang diberikan oleh pemegang Surat Utang tersebut adalah benar dan, apabila investigasi dilakukan dan sebagai hasilnya Para Penerbit menyatakan (untuk alasan apapun) bahwa pernyataan tersebut terbukti tidak benar, maka tender atas Surat Utang tersebut tidak dapat diterima. TENTANG PENJAMIN INDUK Penjamin Induk, PT Medco Energi Internasional Tbk, adalah suatu perusahaan energi dan sumber daya alam yang beroperasi melalui kegiatan usaha eksplorasi dan produksi inti minyak dan gas, kegiatan usaha pembangkit listrik dan investasi di tambang tembaga dan emas. Memiliki interest pada 15 properti minyak dan gas di Indonesia, 12 di antaranya saat ini berproduksi, mengingat secara historis berfokus pada kegiatan di Indonesia. Penjamin Induk juga memiliki aset produksi yang signifikan di Oman dan Thailand dan juga memiliki operasi minyak dan gas di Tanzania, Mexico dan Yemen. The early tender results of the following previously announced Tender Offers (as defined below)
were announced today:
(i) Medco Oak Tree Pte. Ltd.’s (the “2026 Issuer”) offer to purchase for cash up to
US$100,000,000 aggregate purchase price consisting of the Early Tender Offer Consideration

“2026 Notes”) (such offer, the “2026 Tender Offer”); and
(ii) Medco Bell Pte. Ltd.’s (the “2027 Issuer” together with the 2026 Issuer, the “Issuers” and each
an “Issuer”) offer to purchase for cash up to US$50,000,000 aggregate purchase price
consisting of the Early Tender Offer Consideration and/or the Late Tender Offer Consideration,
as applicable, excluding the applicable Accrued Interest (the “2027 Maximum Amount” and,
together with the 2026 Maximum Amount, the “Maximum Amounts” and each a “Maximum
Amount”), of its 6.375% Senior Notes due 2027 (Rule 144A: CUSIP 58406LAA9, ISIN
US58406LAA98, Common Code 210761268 / Regulation S: CUSIP Y56607AA5, ISIN
USY56607AA51, Common Code 210761306) (such notes, the “2027 Notes” and together with
the 2026 Notes, the “Notes”) (such offer, the “2027 Tender Offer” and together with the 2026
Tender Offer, the “Tender Offers” and each a “Tender Offer”).
The Notes are guaranteed by PT Medco Energi Internasional Tbk. (the “Parent Guarantor”) and
certain of its subsidiaries. The Issuers and the Parent Guarantor have engaged DBS Bank Ltd.,
ING Bank, N.V., Singapore Branch, Mandiri Securities Pte. Ltd., Morgan Stanley Asia (Singapore)
Pte., MUFG Securities Asia Limited and Standard Chartered Bank (Singapore) Limited as the
dealer managers (the “Dealer Managers”) for the Tender Offers.
Capitalized terms used here but not defined herein have the meanings assigned to them in the Offer
to Purchase dated September 20, 2024 (as it may be amended or supplemented from time to time,
the “Offer to Purchase”). All documents related to the Tender Offers are available from Sodali &
Co (the “Tender and Information Agent”) on the Offer Website, at
https://projects.sodali.com/medco, subject to eligibility confirmation and registration.
The Tender Offers commenced on September 20, 2024. The Early Tender Deadline passed at 5:00
p.m., New York City time, on October 3, 2024. The Expiration Deadline is at 5:00 p.m., New York
City time, on October 21, 2024.
The Parent Guarantor and the Issuers have been advised by Tender and Information Agent, that
Holders of (i) an aggregate principal amount of US$57,103,000 of the 2026 Notes and (ii) an
aggregate principal amount of US$68,837,000 of the 2027 Notes had validly tendered and not
validly withdrawn their respective Notes at or prior to the Early Tender Deadline pursuant to the
Tender Offers.
The aggregate purchase price of the 2027 Notes validly tendered and not subsequently validly
withdrawn at or prior to the Early Tender Deadline (the “Early Tender 2027 Notes”) exceeds the
2027 Maximum Amount. Accordingly, the 2027 Issuer expects to accept for purchase the 2027
Notes on a prorated basis such that the aggregate amount of the Early Tender Offer Consideration
of the 2027 Notes accepted for purchase is no greater than the 2027 Maximum Amount.
As the 2027 Tender Offer is oversubscribed, no 2027 Notes validly tendered after the Early Tender
Deadline and at or prior to the Expiration Deadline shall be accepted for purchase.

Subject to the terms and conditions of the Tender Offers described in the Offer to Purchase, the amount payable for the Notes validly tendered and not subsequently validly withdrawn at or prior to 5:00 p.m., New York City time, on October 3, 2024 (such time, the “Early Tender Deadline”) (such amount, the “Early Tender Offer Consideration”), and accepted for purchase, will include the early tender premium (the “Early Tender Premium”) and will be (i) US$1,015 for each US$1,000 in principal amount of the 2026 Notes, which includes, an Early Tender Premium of US$30 for each US$1,000 in principal amount of the 2026 Notes and (ii) US$997.50 for each US$1,000 in principal amount of the 2027 Notes, which includes an Early Tender Premium of US$30 for each US$1,000 in principal amount of the 2027 Notes. Subject to the terms and conditions of the 2026 Tender Offer described in the Offer to Purchase, the amount payable for the 2026 Notes validly tendered after the Early Tender Deadline and at or prior to 5:00 p.m., New York City time, on October 21, 2024 (the “Expiration Deadline”), and accepted for purchase, will not include the applicable Early Tender Premium (the “Late Tender Offer Consideration”) and will be US$985 for each US$1,000 in principal amount of the 2026 Notes. The Early Tender Offer Consideration or the Late Tender Offer Consideration, as applicable, for each series of Notes does not include the applicable Accrued Interest, which will be payable in addition to the Early Tender Offer Consideration or the Late Tender Offer Consideration, as the case may be on the Settlement Date. The expected Settlement Date for the Tender Offers is October 24, 2024. Any Notes tendered pursuant to the Tender Offers that are not accepted and purchased shall be promptly returned to the relevant Holder on the Settlement Date. Each of the Issuers expects to pay for the Notes purchased in the Tender Offers using cash on hand of the Parent Guarantor and its subsidiaries and/or funds borrowed under existing debt facilities. None of the Tender Offers are subject to any financing condition. ABOUT THE PARENT GUARANTOR The Parent Guarantor, PT Medco Energi Internasional Tbk., is an energy and natural resources company operating through its core oil and gas exploration and production business, power generation business and an investment in a copper and gold mine. It has interests in 15 oil and gas properties in Indonesia, 12 of which are currently producing, as it has historically focused on activities in Indonesia. It also has significant producing assets in Oman and Thailand and has oil and gas operations in Tanzania, Mexico and Yemen.
