CIRCULAR RESOLUTIONS OF THE BOARD OF COMMISSIONERS
OF PT. CENTURY TEXTILE INDUSTRY TBK ABBREVIATED PT. CENTEX TBK
IN LIEU OF RESOLUTIONS ADOPTED AT
A MEETING OF THE BOARD OF COMMISSIONERS

The members of the Board of Commissioners of PT. Century Textile Industry Tbk abbreviated
PT. Centex Tbk, a limited liability company organized and existing under and by virtue of the
laws of the Republic of Indonesia and having its domicile in East Jakarta and its address at
Jalan Raya Bogor Km. 27, East Jakarta (the “Company”), namely:

1. Suhardi Budiman, the President Commissioner of the Company:
2.  Kazuhiko Shiomura, a Commissioner of the Company, and
3.  Satryo Soemantri Brodjonegoro, the Independent Commissioner of the Company,

being all the incumbent members of the Board of Commissioners of the Company as at the date
hereof (the “Members of the Board of Commissioners”), hereby firstly declare that:

1. Mr. Muljadi Budiman and Mr. Kazuhiko Shiomura have submitted their letters, both
dated 12 August 2024 to the Board of Directors and the Board of Commissioners of the
Company, stating their intentions to resign from their respective position as the Vice
President Director and a Commissioner of the Company, and

2. in compliance with the Regulation of OJK regarding Board of Directors and Board of
Commissioners of Public Companies, it is necesssary for the Board of Commissioners of
the Company to issue a recommendation to be considered in the appointment of a person
as the successor of the resigning member of the Board of Directors or the Board of
Commissioners by a General Meeting of Shareholders of the Company.

The Members of the Board of Commissioners further declare that by executing these Circular
Resolutions of the Board of Commissioners of PT Century Textile Industry Tbk abbreviated
PT Centex Tbk In Lieu of Resolutions Adopted at a Meeting of the Board of Commissioners
(these “Circular Resolutions”), the Members of the Board of Commissioners unanimously
agree and resolve to recommend to the Annual General Meeting of Shareholders of the
Company to be convened on 25 September 2024 (the “2024 AGM”) to appoint:

1. Mrs. Yuniasari as the Vice President Director of the Company, and
2. Mr. Hideo Umeki as a Commissioner of the Company,

for the term of office as of the closing of the 2024 AGM until the closing of the third
subseguent Annual General Meeting of Shareholders of the Company to be convened after the
2024 AGM, provided that a General Meeting of Shareholders of the Company is entitled to
dismiss him at anytime for any reasons in accordance with the prevailing rules and regulations.
