Sinar Indranusa Jaya (“SIJ”) telah menandatangani perjanjian sewa menyewa tanah dan bangunan dengan PT. Surganya Motor Indonesia (“SMI”). Description of Information or Material Fact Obyek Transaksi adalah sebuah bangunan rumah toko Blok R-1 dan R-2 lantai 1 dengan luas tanah dan bangunan 75 m?, terletak di Jl. Mayjend Sungkono No. 1, Segoromadu, Kecamatan Kebomas, Gresik. Adapun periode sewa terhitung mulai tanggal 14 September 2026 sampai dengan 13 September 2032 dengan nilai sewa sebagai berikut : Tahapan Jangka Waktu Sewa Total Biaya Sewa Pembayaran Tahap | 2026 s.d. 2028 Rp 120,000,000 Tahap II 2028 s.d. 2030 Rp 126,000,000 Tahap III 2030 s.d. 2032 Rp 132,300,000 Dengan demikian, total nilai sewa selama masa sewa 6 tahun adalah sebesar Rp 378,300,000. Member of Indoprima Group 017 Cam No. 12 113 99155 Transaksi yang digambarkan pada Keterbukaan Informasi ini merupakan Transaksi Afiliasi yang hanya wajib dilaporkan oleh Perusahaan kepada Otoritas Jasa Keuangan (“OJK”) sebagaimana dimaksud dalam Peraturan OJK Transaksi Afiliasi dan Transaksi Benturan Kepentingan (POJK No. 42/POJK.04/2020), khususnya pada pasal 6 angka 1 butir c. Di mana sifat hubungan Afiliasi adalah sebagai berikut: a. PT. SIJ adalah Entitas Anak yang 99,004 kepemilikan sahamnya dimiliki Perseroan. b. PT. SMI merupakan perusahaan afiliasi yang berkedudukan di Depok, bergerak di bidang retail suku cadang otomotif dengan merk dagang toko “Planet Ban”. PT. Sinar Indranusa Jaya (“SIJ”) has signed of the lease agreement for land and buildings with PT. Surganya Motor Indonesia (“SMI”). The subject of the transaction is a shophouse building in Blocks R-1 and R-2 on the 1" floor, with a total land and building area of 75 m2 located at Jl. Mayjend Sungkono No. 1, Segoromadu, Kebomas District, and Gresik. The lease period will start on September 14, 2026 and end on September 13, 2032, with the following lease rates: Payment Stage Lease Period Total Lease Cost Stage 1 2026 — 2028 IDR 120,000,000 Stage II 2028 — 2030 IDR 126,000,000 Stage III 2030 — 2032 IDR 132,300,000 Thus, the total lease cost for the 6 year term is IDR 378,300,000, exclusive of any VAT. The transactions described in this Disclosure of Information are Affiliated Transaction that must be reported by the Company to the Financial Services Authority (“OJK”). As stated in the OJK Regulation on Affiliated Transactions and Conflict of Interest Transactions (POJK No. 42/POJK.04/2020), in particular in article 6 point 1 (c). The Affiliate relationship is structured as follows: a. PT Sinar Indranusa Jaya (“SIJ”) is a subsidiary entity, with 99.0096 share ownership held by the Company. b. PT.
