Uraian Informasi atau Fakta Material Perseroan telah mendirikan anak perusahaan baru yang diberi
nama PT Carsurin Minerals Solutions. Pendirian anak
perusahaan baru tersebut telah dinyatakan di dalam Akta
Pendirian Perseroan Terbatas Nomor 05 tanggal 30
September 2024 yang dibuat di hadapan Notaris Devia
Buniarto, S.H., M.kn., dan telah mendapatkan pengesahan
pendirian Badan Hukum Perseroan Terbatas dari Menteri
Hukum dan Hak Asasi Manusia Republik Indonesia Nomor:
AHU-0077496.AH.01.01.Tahun 2024 tanggal 02 Oktober 2024
PT Carsurin Minerals Solutions didirikan sebagai perusahaan
sub-holding untuk menunjang strategi jangka panjang
Perseroan di bidang usaha mineral.
PT Carsurin Minerals Solutions didirikan dengan modal dasar
Perseroan senilai Rp30.000.000.000,- (tiga puluh miliar
Rupiah) terbagi atas 30.000 (tiga puluh ribu) lembar saham.
Dari modal dasar tersebut, telah ditempatkan dan disetor yaitu
sejumlah 7.500 (tujuh ribu lima ratus) lembar saham dengan
nilai nominal seluruhnya sebesar Rp7.500.000.000,- (tujuh
miliar lima ratus juta Rupiah).
Komposisi kepemilikan saham PT Carsurin Minerals Solutions:

Bahwa berdasarkan laporan keuangan tahunan Perseroan
tahun buku 2023 yang telah diaudit, transaksi tersebut diatas
memiliki nilai transaksi dibawah 20% (dua puluh persen) dari
total nilai ekuitas Perseroan, sehingga berdasarkan POJK
17/POJK.04/2020 pasal 11, pendirian anak usaha baru
tersebut dapat dilakukan tanpa penilai.

Establishment of a New Subsidiary

Description of Material Information or The Company has established a new subsidiary named PT
Facts Carsurin Minerals Solutions. The establishment of the new
subsidiary has been stated in the Deed of Incorporation of
Limited Liability Company Number 05 dated September 30,
2024, made before Notary Devia Buniarto, S.H., M.Kn., and
has received approval for the establishment of the Legal Entity
of the Limited Liability Company from the Minister of Law and
Human Rights of the Republic of Indonesia Number: AHU-
0077496.AH.01.01.Tahun 2024 dated October 2, 2024.
PT Carsurin Minerals Solutions was established as a sub-
holding company to support the Company's long-term strategy
in the mineral business sector.
PT Carsurin Minerals Solutions was established with an
authorized capital of the Company amounting to IDR
30,000,000,000 (thirty billion Rupiah), divided into 30,000
(thirty thousand) shares. Of the authorized capital, 7,500
(seven thousand five hundred) shares have been issued and
paid up, with a total nominal value of IDR 7,500,000,000
(seven billion five hundred million Rupiah).
The shareholding composition of PT Carsurin Minerals
Solutions is as follows:

Based on the Company's audited annual financial statements
for the 2023 fiscal year, the transaction value of the above-
mentioned transaction is below 20% (twenty percent) of the

OJK Regulation 17/POJK.04/2020 article 11, the
establishment of the new subsidiary can be carried out without
a valuation appraiser.
