       Pada tanggal 20 September 2024, PT HABCO TRANS MARITIMA TBK (“Perseroan”) telah
       menandatangani Perjanjian Usaha Patungan dengan SEACON SHIPS MANAGEMENT GROUP
       (HK) LIMITED, sebuah Perusahaan yang terdaftar di Hong Kong, yang beralamat di Unit No.
       3513, 35/F, The Center, 99 Queen's Road Central, Hong Kong, sehubungan dengan pendirian
       Perusahaan Patungan dengan nama HORIZON SEA SHIPS PTE. LTD., yang berkedudukan dan
       terdaftar di Singapura.

          Hubungan antara Pihak: Tidak ada hubungan afiliasi.

          Para Pihak sepakat membentuk perusahaan patungan dengan komposisi modal sebagai
          berikut:

          Modal Disetor dan Ditempatkan sebesar USD 100,000 (Seratus Ribu Dolar Amerika) yang
          terbagi ke dalam 1,000 (Seribu) lembar saham, dengan komposisi kepemilikan saham
          sebagai berikut:
          1. PT HABCO TRANS MARITIMA TBK : 500 lembar saham atau USD 50,000 (Lima Puluh Ribu
              Dolar Amerika), atau 50%.

        2. SEACON SHIPS MANAGEMENT GROUP (HK) LIMITED : 500 lembar saham atau USD
           50,000 (Lima Puluh Ribu Dolar Amerika), atau 50%.

        Tujuan Transaksi: Memperkuat kerjasama internasional untuk pengembangan layanan jasa
        dan meningkatkan kualitas manajemen kapal Perseroan menjadi standar kelas dunia.

    4. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional,
       hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik:
       Tidak ada dampak terhadap material terhadap kegiatan operasional usaha, dampak hukum
       atau terhadap kelangsungan usaha Perseroan.

        Establishment of Joint Venture Company

     3. Description of Material Information or Facts :
        On September 20th, 2024 PT HABCO TRANS MARITIMA TBK (the “Company”) has entered
        into a Joint Venture Agreement with SEACON SHIPS MANAGEMENT GROUP (HK) LIMITED, a
        Company registered in Hong Kong, with registered address Unit No. 3513, 35/F, The Center,
        99 Queen's Road Central, Hong Kong, in connection with the establishment of a Joint
        Venture Company by the name of HORIZON SEA SHIPS PTE. LTD, domiciled and registered in
        Singapore.

         Relationship between Parties: No affiliate relationship

         The Parties agree to form a joint venture company with the following capital composition:

         Issued and paid-up share capital is USD 100,000 (United States Dollar One Hundred
         Thousand) devided into 1,000 (One Thousand) ordinary shares, with composition as follows:
         1. PT HABCO TRANS MARITIMA TBK : 500 shares or USD 50,000 (United States Dollar Fifty
             Thousand), or 50%.

           States Dollar Fifty Thousand), or 50%.

        Objective of Transaction: To strengthen international cooperation for service expansion
        and to improve the quality of the Company's ship management to a world class standard.

    4. Impact of event, material information or facts towards the Company’s operational
       activities, legal, financial condition, or going concern:
       There is no material impact on business operations, legal or business continuity of the
       Company.
