Medco Oak Tree Pte. Ltd.dan Medco Bell Pte.
Ltd merupakan anak perusahaan yang
seluruhnya dimiliki oleh Perseroan secara
tidak langsung (“Para Penerbit”). Surat Utang
2026 dan Surat Utang 2027 dijamin secara
tanpa syarat dan tidak dapat ditarik kembali
oleh Perseroan dan beberapa anak
perusahaannya. /
The Company intends to fund a cash tender
offer for the repurchase of: (i) up to
US$100,000,000 of 7.375% Senior Notes due
2026 issued by Medco Oak Tree Pte. Ltd. (the
“2026 Notes”), and (ii) up to US$50,000,000 of
6.375% Senior Notes due 2027 issued by
Medco Bell Pte. Ltd (“2027 Notes”), excluding
applicable accrued interest (“Tender Offer”).
Medco Oak Tree Pte. Ltd. and Medco Bell Pte.
Ltd are a wholly owned indirect subsidiaries of
the Company (the “Issuers”). 2026 Notes and
2027 Notes unconditionally and irrevocably
guaranteed by the Company and its certain
subsidiaries.
Penyelesaian Penawaran Tender bergantung
pada pemenuhan kondisi tertentu, dalam
setiap hal, sebagaimana diubah, diganti,
dikesampingkan atau ditambah oleh Para
Penerbit dan Perseroan.
The consummation of the Tender Offer is
conditioned upon the satisfaction of certain
conditions, in each case, as modified,
amended, waived or supplemented by the
Issuers and the Company.

20 September 2024 sehubungan dengan
Penawaran Tender.

Pengumuman ini hanya untuk tujuan informasi dan bukan merupakan suatu undangan atau

Induk (sebagaimana didefinisikan di bawah ini) bermaksud untuk membuat suatu penawaran
umum atas efek di Amerika Serikat.
Pengumuman ini bukan merupakan penawaran umum di Indonesia berdasarkan Undang-Undang
Nomor 8 Tahun 1995 tentang Pasar Modal sebagaimana diubah dengan Undang-Undang No. 4
Tahun 2023 tentang Pengembangan dan Penguatan Sektor Keuangan, dan peraturan-peraturan
pelaksananya (“UU Pasar Modal Indonesia”). Efek apapun tidak dapat ditawarkan dalam
wilayah Republik Indonesia atau kepada warga Negara Indonesia menggunakan media massa
(termasuk koran, majalah, film, televisi, radio, atau media elektronik lainnya, surat, brosur
termasuk media cetak lainnya) atau ditawarkan kepada lebih dari 100 pihak Indonesia dan/atau
dijual kepada lebih dari 50 pihak Indonesia atau warga negara Indonesia, dimanapun domisili
mereka, baik yang berdomisili di dalam ataupun luar Indonesia dalam waktu tertentu, dengan
cara yang merupakan penawaran umum berdasarkan UU Pasar Modal Indonesia.

Hari ini diumumkan bahwa, dengan tunduk pada syarat dan ketentuan yang tercantum dalam
Penawaran Pembelian tanggal 20 September 2024 (sebagaimana dapat diubah atau dilengkapi dari
waktu ke waktu, “Penawaran Pembelian”),
(i) Medco Oak Tree Pte. Ltd (“Penerbit 2026”) menawarkan pembelian dalam bentuk tunai
sebanyak-banyaknya US$100.000.000 dalam keseluruhan harga pembelian yang terdiri atas
Harga Penawaran Tender Awal dan/atau Harga Penawaran Tender Akhir, sebagaimana berlaku,
namun tidak termasuk Bunga Terakumulasi yang berlaku (“Jumlah Maksimal 2026”), atas
Surat Utang Senior 7,375% jatuh tempo 2026 (Rule 144A: CUSIP 58405FAA3, ISIN
US58405FAAA30, Common Code 199293656 / Regulation S: CUSIP Y59501AA7, ISIN
USY59501AA78, Common Code 199293702) (surat utang tersebut selanjutnya disebut
sebagai “Surat Utang 2026”) (penawaran tersebut selanjutnya disebut sebagai “Penawaran
Tender 2026”);
(ii) Medco Bell Pte. Ltd (“Penerbit 2027” bersama dengan Penerbit 2026, disebut sebagai "Para
Penerbit" dan masing-masing disebut sebagai "Penerbit") menawarkan pembelian dalam
bentuk tunai sebanyak-banyaknya US$50.000.000 dalam keseluruhan harga pembelian yang
terdiri atas Harga Penawaran Tender Awal dan/atau Harga Penawaran Tender Akhir,
sebagaimana berlaku, namun tidak termasuk Bunga Terakumulasi yang berlaku (“Jumlah
Maksimal 2027” dan, bersama dengan Jumlah Maksimum 2026, disebut sebagai “Total Jumlah
Maksimum” dan masing-masing disebut sebagai “Jumlah Maksimum”), atas Surat Utang
Senior 6,375% jatuh tempo 2027 (Rule 144A: CUSIP 58406LAA9, ISIN US58406LAA98,
Common Code 210761268 / Regulation S: CUSIP Y56607AA5, ISIN USY56607AA51,
Common Code 210761306) (Surat Utang tersebut, “Surat Utang 2027” dan bersama-sama
dengan “Surat Utang 2026”, disebut sebagai “Surat Utang”) (setiap penawaran ini, “Penawaran
Tender 2027” dan bersama-sama dengan Penawaran Tender 2026, selanjutnya disebut sebagai
“Penawaran Tender”).
Surat Utang dijamin oleh PT Medco Energi Internasional Tbk (“Penjamin Induk”) dan anak
perusahaan tertentu. Para Penerbit dan Penjamin Induk telah melibatkan DBS Bank Ltd., ING
Bank, N.V., Singapore Branch, Mandiri Securities Pte. Ltd., Morgan Stanley Asia (Singapore) Pte.,
MUFG Securities Asia Limited dan Standard Chartered Bank (Singapore) Limited sebagai
manajer perantara (“Para Manajer Perantara”) untuk Penawaran Tender.
Para Penerbit melakukan Penawaran Tender dengan tujuan untuk mengurangi utang yang ada
dan/atau mengatur ulang (reprofile) jatuh tempo utang Penjamin Induk dan anak perusahaannya
dengan membayar utang secara tunai dan/atau menggantikan utang dengan pembayaran sekaligus
dengan pinjaman yang memiliki jadwal pembayaran angsuran. Surat Utang yang dibeli dalam
Penawaran Tender akan dihapuskan dan dibatalkan.
Masing-masing Penerbit berencana untuk membayar Surat Utang yang dibeli dalam Penawaran
Tender secara tunai dari Penjamin Induk dan anak perusahaan dan/atau dana yang dipinjam
berdasarkan fasilitas utang yang ada. Tidak ada satupun dari Penawaran Tender yang tunduk pada
ketentuan keuangan apa pun.

Penawaran Tender disyaratkan kepada pemenuhan atau pengesampingan oleh Para Penerbit,
dengan diskresi penuh, sebagaimana telah dijelaskan secara lengkap dalam Penawaran Pembelian.
Informasi di bawah ini adalah ringkasan dari ketentuan pokok Penawaran Tender yang mana
tunduk kepada syarat dan ketentuan yang dirinci dalam Penawaran Pembelian. Seluruh dokumen
untuk Penawaran Tender akan tersedia dari Sodali & Co (“Agen Penawaran dan Informasi”) dalam
situs web Penawaran Tender, pada https://projects.sodali.com/medco, bergantung pada konfirmasi
dan pendaftaran yang memenuhi syarat.

(6) Jumlah ini mencerminkan US$498.677.000 jumlah pokok yang masih terutang Surat Utang 2027 dikurangi US$13.269.000 Surat Utang 2027
yang telah dibeli kembali (namun belum dibatalkan) oleh Penjamin Induk.
(7) Harga Penawaran Tender Awal termasuk Premi Tender Awal.
(8) Harga Penawaran Tender Akhir tidak termasuk Premi Tender Awal.
Tunduk pada syarat dan ketentuan Penawaran Tender sebagaimana dijelaskan dalam Penawaran
Pembelian, jumlah yang harus dibayarkan untuk Surat Utang yang ditenderkan secara sah dan
tidak ditarik secara sah pada atau sebelum pukul 17.00, waktu New York City, pada tanggal 3
Oktober 2024 (“Batas Waktu Tender Awal”) (“Harga Penawaran Tender Awal”), dan diterima
untuk pembelian, akan termasuk premi tender awal (“Premi Tender Awal”) dan akan menjadi (i)
US$1.015 untuk setiap US$1.000 atas jumlah pokok Surat Utang 2026, yang mencakup Premi

US$997,50 untuk setiap US$1.000 atas jumlah pokok Surat Utang 2027, yang mencakup Premi
Tender Awal sebesar US$30 untuk setiap US$1.000 atas jumlah pokok Surat Utang 2027. Tunduk
pada syarat dan ketentuan Penawaran Tender sebagaimana dijelaskan dalam Penawaran Pembelian
jumlah yang harus dibayarkan untuk Surat Utang yang ditenderkan secara sah dan tidak ditarik
secara sah pada atau sebelum pukul 17.00, waktu New York City, pada tanggal 21 Oktober 2024
(“Batas Waktu Jatuh Tempo”), dan diterima untuk pembelian, tidak termasuk Premi Tender Awal
yang berlaku (“Harga Penawaran Tender Akhir”) dan akan menjadi (i) US$985 untuk setiap
US$1.000 atas jumlah pokok Surat Utang 2026; dan (ii) US$967,50 untuk setiap US$1.000 atas
jumlah pokok Surat Utang 2027. Harga Penawaran Tender Awal atau Harga Penawaran Tender
Akhir, sebagaimana berlaku, untuk masing-masing seri Surat Utang tidak termasuk Bunga
Terakumulasi, yang akan dibayarkan sebagai tambahan atas Harga Penawaran Tender Awal atau
Harga Penawaran Tender Akhir, sebagaimana berlaku.
Instruksi tender terpisah akan disampaikan atas nama masing-masing pemilik manfaat dari Surat
Utang dari masing-masing seri, mengingat kemungkinan prorata.

Penawaran Tender dibuat berdasarkan Penawaran Pembelian, yang mana secara rinci dijelaskan dalam ketentuan Penawaran Tender. Distribusi pengumuman ini di beberapa yurisdiksi mungkin dibatasi oleh hukum. Pihak yang memiliki pengumuman ini disyaratkan untuk menginformasikan dirinya tentang, dan untuk mengetahui lebih jauh, terhadap suatu pembatasan. Pengumuman ini dan Penawaran Pembelian mengandung informasi yang penting, yang harus dibaca dengan hati-hati sebelum mengambil keputusan sehubungan dengan Penawaran Tender. Masing-masing pemegang Surat Utang bertanggung jawab sepenuhnya untuk melakukan penilaian independen terhadap segala hal yang dianggap relevan (termasuk yang berkaitan dengan Penawaran Tender) dan setiap pemegang Surat Utang harus membuat keputusan sendiri apakah akan melakukan tender atau tidak melakukan tender atas Surat Utangnya berdasarkan Penawaran Tender. Apabila pemegang Surat Utang memiliki keraguan atas tindakan yang harus dilakukan, maka disarankan bagi pemegang Surat Utang untuk meminta nasihat hukum, pajak dan keuangan, termasuk dengan risiko perpajakan dari pialang saham, manajer bank, pengacara, akuntan, atau penasihat keuangan independen lainnya. Setiap pemegang Surat Utang yang Surat Utangnya dipegang oleh pialang, dealer, bank, kustodian, trust atau entitas lainnya harus menghubungi entitas tersebut jika ingin berpartisipasi dalam Penawaran Tender. Para Manajer Perantara, atau pihak yang mengendalikan, atau direktur, petugas, karyawan, agen atau afiliasi dari pihak tersebut, tidak memberikan rekomendasi atas apakah pemegang Surat Utang harus berpartisipasi atau tidak pada Penawaran Tender. The Notes are guaranteed by PT Medco Energi Internasional Tbk. (the “Parent Guarantor”) and
certain of its subsidiaries. The Issuers and the Parent Guarantor have engaged DBS Bank Ltd.,
ING Bank, N.V., Singapore Branch, Mandiri Securities Pte. Ltd., Morgan Stanley Asia (Singapore)
Pte., MUFG Securities Asia Limited and Standard Chartered Bank (Singapore) Limited as the
dealer managers (the “Dealer Managers”) for the Tender Offers.
The Issuers are making the Tender Offers in order to reduce outstanding debt and/or reprofile the
debt maturities of the Parent Guarantor and its subsidiaries by paying down debt with cash and/or
replacing bullet maturity debt with loans that have amortizing repayment schedules. Notes
purchased in the Tender Offers will be retired and cancelled.
Each of the Issuers expects to pay for the Notes purchased in the Tender Offers using cash on hand
of the Parent Guarantor and its subsidiaries and/or funds borrowed under existing debt facilities.
None of the Tender Offers are subject to any financing condition.
The Tender Offers are conditioned upon the satisfaction or waiver by the Issuers, in their sole
