Uraian Informasi atau Fakta Material Dalam Rapat Umum Pemegang Saham Luar Biasa Perseroan
yang diadakan pada tanggal 22 Mei 2026, para pemegang
saham Perseroan telah menyetujui Penggabungan.
Guna memenuhi Pasal 62 Ayat 1 Undang-Undang No. 40
Tahun 2007 tentang Perseroan Terbatas (sebagaimana
diubah dari waktu ke waktu), Perseroan telah melaksanakan
penawaran pembelian kembali saham Perseroan kepada para
pemegang saham Perseroan yang tidak menyetujui
Penggabungan sebagaimana Keterbukaan Informasi
Perseroan yang dipublikasikan pada tanggal 22 Mei 2026.
Sampai dengan berakhirnya periode penyampaian
permohonan pembelian kembali saham pada tanggal 3 Juni
2026, tidak ada pemegang saham Perseroan yang meminta
sahamnya untuk dibeli kembali oleh Perseroan, sehingga tidak
ada pembelian kembali saham yang dilakukan oleh Perseroan.

Share buyback report with regards to the merger between PT
Type of Material Information or Facts Perusahaan Perkebunan Panigoran with and into the
Company (Merger).
Description of Material Information or At the Company Extraordinary General Meeting of
Facts Shareholders held on 22 May 2026, the shareholders of the
Company have approved the Merger.
In compliance with Article 62 Paragraph 1 of Law No. 40 of
2007 on Limited Liability Companies (as amended from time to
time), the Company carried out an offer to buyback its shares
from the shareholders who did not approve the Merger, as
elaborated in the Company Disclosure of Information
published on 22 May 2026.
Until the end of the buyback request submission period on 3
June 2026, there are no shareholders of the Company who
requested the Company to purchase their shares, and
therefore the Company did not carry out any share buyback.
