(iii) Peraturan I-E tentang Kewajiban Penyampaian Informasi sebagaimana tercantum dalam Keputusan Direksi
Bursa Efek Indonesia No. Kep-00087/BEI/12-2025, serta dengan memperhatikan Peraturan Otoritas Jasa
Keuangan No. 45 Tahun 2024 tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik, dengan
memperhatikan sebagai berikut:

in compliance with: (i) Financial Services Authority Regulation No. 31/POJK.04/2015 concerning Disclosure of
Material Information or Facts by Issuers or Public Companies; (ii) Financial Services Authority Regulation No.
42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions; and (iii) Regulation I-E
concerning the Obligation to Submit Information as stipulated in the Decree of the Board of Directors of the
Indonesia Stock Exchange No. Kep-00087/BEI/12-2025, as well as with due regard to Financial Services Authority
Regulation No. 45 of 2024 concerning the Development and Strengthening of Issuers and Public Companies,

2. Jenis Informasi 1. Penandatanganan Perjanjian Fasilitas Pinjaman dari

Services (“MPTIS”) (selanjutnya disebut dengan “Fasilitas
Pinjaman Perseroan”); dan
2. Penandatanganan Perjanjian Fasilitas Pinjaman dari PT
Potum Mundi Infranusantara (“POTUM”) kepada MPTIS
(selanjutnya disebut dengan “Fasilitas Pinjaman POTUM”);
1. The execution of a Loan Facility Agreement by the
Company in favor of PT Metro Pacific Tollways Indonesia
Services (“MPTIS”) (hereinafter referred to as the
“Company’s Loan Facility”); and
2. The execution of a Loan Facility Agreement by PT Potum
Mundi Infranusantara (“POTUM”) in favor of MPTIS
(hereinafter referred to as the “POTUM’s Loan Facility”).
Fasilitas Pinjaman Perseroan dan Fasilitas Pinjaman POTUM
selanjutnya secara bersama-sama disebut sebagai "Fasilitas
Pinjaman".
The Company Loan Facility and the POTUM Loan Facility are
hereinafter collectively referred to as the “Loan Facilities”.

3. Uraian Informasi Pada tanggal 2 Juni 2026, Perseroan dan POTUM masing-

dengan MPTIS.
On June 2, 2026, the Company and POTUM each entered into
a loan facility agreement with MPTIS.
Fasilitas pinjaman yang diberikan Perseroan kepada MPTIS
berdasarkan Fasilitas Pinjaman Perseroan adalah sejumlah
Rp40.000.000.000 (empat puluh miliar Rupiah), dengan tingkat
bunga sebesar 8,22% (delapan koma dua dua persen) per
annum berlaku dengan jangka waktu 6 (enam) bulan sejak
tanggal Fasilitas Pinjaman Perseroan.
The loan facility provided by the Company to MPTIS pursuant to
the Company’s Loan Facility has a facility limit of up to
IDR40,000,000,000 (forty billion Rupiah), bearing interest at a
rate of 8.22% (eight point two two percent) per annum, with a
term of 6 (six) months from the date of the Company’s Loan
Facility.
Pada tanggal yang sama, POTUM, yang merupakan entitas
anak Perseroan dengan kepemilikan saham sebesar 99,99%
(sembilan puluh sembilan koma sembilan sembilan persen) oleh
Perseroan, juga akan memberikan fasilitas pinjaman kepada
MPTIS berdasarkan Fasilitas Pinjaman POTUM dengan nilai
pinjaman sejumlah Rp40.000.000.000 (empat puluh miliar
Rupiah), dengan tingkat bunga sebesar 8,22% (delapan koma
dua dua persen) per annum berlaku dengan jangka waktu 6
(enam) bulan sejak tanggal perjanjian pinjaman.

On the same date, POTUM, a subsidiary of the Company in
which the Company holds 99.99% (ninety-nine point nine nine
percent) of the issued and paid-up share capital, will also provide
loans to MPTIS under the POTUM Loan Facility, with a total loan
amount of IDR40,000,000,000 (forty billion Rupiah), bearing
interest at a rate of 8.22% (eight point two two percent) per
annum, with a term of 6 (six) months from the date of the POTUM
Loan Facility.

MPTIS/ MPTIS
MPTIS adalah sebuah perseroan terbatas yang berkedudukan
hukum di Equity Tower, SCBD, Jakarta Selatan. MPTIS
merupakan pemilik dari sebesar 97,14% (sembilan puluh
sembilan koma satu empat persen) dari saham yang diterbitkan
maupun disetor penuh oleh Perseroan. Sehingga menjadikan
MPTIS sebagai entitas pengendali dari Perseroan maupun
entitas anak Perseroan.
MPTIS is a limited liability company domiciled at Equity Tower,
SCBD, South Jakarta. MPTIS owns 97.14% (ninety-seven point
one four percent) of the issued and fully paid-up shares of the
Company. Accordingly, MPTIS is the controlling shareholder of
the Company and its subsidiaries.
POTUM/ POTUM
POTUM adalah sebuah perseroan terbatas yang berkedudukan
hukum di Equity Tower, SCBD, Jakarta Selatan, yang bergerak
di bidang penyediaan air bersih. POTUM merupakan entitas
anak Perseroan yang sahamnya dimiliki sebesar 99,99%
(sembilan puluh sembilan koma sembilan sembilan persen) oleh
Perseroan dari saham yang diterbitkan maupun disetor oleh
POTUM.
POTUM is a limited liability company domiciled at Equity Tower,
SCBD, South Jakarta, and is engaged in the clean water supply
business. POTUM is a subsidiary of the Company, of which
99.99% (ninety-nine point nine nine percent) of the issued and
paid-up shares are owned by the Company.
4. Dampak kejadian dan informasi Transaksi ini tidak memberikan dampak material yang
