Uraian Informasi atau Fakta Material Sehubungan dengan Laporan Keuangan Auditan Tahun 2023
PT Onix Capital Tbk (Perseroan) memperoleh opini Tidak
Menyatakan Pendapat (Disclaimer) dari Auditor, Kami
Perseroan dengan ini menjelaskan bahwa pada tanggal 8
Desember 2021, Perseroan menyetujui pembubaran entitas
anak signifikan yaitu PT Onix Sekuritas sehubungan
dengandicabutnya izin usaha PT Onix Sekuritas sebagai
Perantara Pedagang Efek dan Penjamin Emisi Efek oleh
Otoritas Jasa Keuangan. Kondisi demikian telah menimbulkan
ketidakpastian signifikan tentang kemampuan Perseroan untuk
mempertahankan kelangsungan usaha. Hal ini yang menjadi
dasar atau basis untuk Auditor memberikan opini tidak
menyatakan pendapat.
Lebih lanjut, laporan keuangan konsolidasian antara
Perseroan dengan anak usaha Perseroan (Grup) disusun
berdasarkan asumsi kelangsungan usaha. Grup melaporkan
rugi komprehensif sebesar Rp5.941.755.151,- pada tahun
2023 dan memiliki defisit serta ekuitas negatif (defisiensi
modal) masing-masing sebesar Rp286.887.929.143,- dan
Rp232.626.655.136,- pada tanggal 31 Desember 2023, serta
saldo pinjaman kepada pemegang saham sejumlah SGD
13.672.782 dan USD 4.500.000 (ekuivalen
Rp229.502.563.855,-) pada tanggal 31 Desember 2023 yang
telah jatuh tempo, dimana Perseroan belum memperoleh
persetujuan perpanjangan jatuh tempo pinjaman dari pemberi
pinjaman (para pemegang saham).
Perseroan merupakan holding non operasional dimana saat ini
aktivitas operasional Perseroan adalah fokus memonitor
penyelesaian likuidasi entitas anak Perseroan yaitu PT Onix
Sekuritas dan PT Menteng Medika Indonesia. Lebih lanjut
kami menjelaskan bahwa tidak ada permasalahan yang terjadi
dengan karyawan Perseroan.
Dampak kejadian, informasi atau fakta Dampak terhadap kegiatan operasional:
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan, Tidak terdapat pengaruh terhadap kegiatan operasional
atau kelangsungan usaha Emiten atau Perseroan oleh karena Perseroan merupakan holding non
Perusahaan Publik operasional.
Dampak terhadap aspek hukum Perseroan:
tidak terdapat dampak terhadap aspek hukum.
Dampak terhadap aspek keuangan Perseroan:
Perseroan tidak memiliki sumber pendapatan oleh karena PT
Onix Sekuritas adalah sumber pendapatan utama Perseroan.
Dampak terhadap kelangsungan usaha Perseroan:
Tidak ada dampak terhadap kelangsungan usaha Perseroan
dikarenakan saat ini Perseroan tengah melakukan proses go
private - delisting

Explanation regarding the cause of the Disclaimer opinion
Type of Material Information or Facts
Description of Material Information or In connection with the 2023 Audited Financial Report PT Onix
Facts Capital Tbk (the Company) obtained a Disclaimer opinion from
the Auditor, We the Company hereby explain that on
December 8, 2021, the Company approved the dissolution of
its significant subsidiary, namely PT Onix Sekuritas in
connection with the revocation of business license of PT Onix
Sekuritas as Broker-Dealer and Underwriter by the Financial
Services Authority. Such conditions have created significant
uncertainty about the Company's ability to continue as a going
concern. This is the basis for the Auditor to provide a
disclaimer of opinion.
Furthermore, the consolidated financial statements between
the Company and its subsidiaries (the Group) are prepared
based on the going concern assumption. The Group reported
a comprehensive loss of Rp5.941.755.151,- in 2023 and had a
deficit and negative equity (capital deficiency) of
Rp286.887.929.143,- and Rp232.626.655.136,- as of
December 31, 2023, respectively. and the outstanding balance
of loans to shareholders in the amount of SGD 13.672.782 and
USD 4.500.000 (equivalent to Rp229.502.563.855,-) as of
December 31, 2023 which have matured, where the Company
has not yet obtained approval for the extension of the loan
maturity from the lenders (the shareholders)
The Company is a non-operational holding where currently the
Company's operational activities are focused on monitoring the
liquidation completion of the Company's subsidiary, namely PT
Onix Sekuritas. We further explained that there were no
problems with the Company's employees.
