Type of Material Information of Fact Shares acguisition and loan Description of Material Information or Eacts On Friday, August 30, 2024, it has been signed @ Share Purchase Agreement between the Company, PT Bayan Energy, PT Berau Utama Berkatsetia and NPC Resources Berhad, where it was agreed that (H the Company and its controlled company, PT Bayan Energy will take over the shares of PT Enggang Alam Sawita from its shareholders, PT Berau Utama Berkatsetia, in the amount of 9996 and 146 respectively based on the Deed of Acguisition Number 114 dated August 30, 2024 and the Deed of Share Purchase Agreement Number 115 dated August 30, 2024, both of which are made before Mala Mukti, S.H, LLM., Notary in the South Jakarta and (ii) the Company granted a loan to PT Enggang Alam Sawita based on the Loan Agreement dated August 30, 2024. NPC Resources Berhad selaku sponsor Nilai Transaksi: Nilai penjualan saham adalah Rp105.148.815.470 (seratus lima miliar seratus empat puluh delapan juta delapan ratus lima belas ribu empat ratus tujuh puluh Rupiah) Nilai pinjaman Perseroan kepada PT Enggang Alam Sawita adalah Rp 159.269.184.530 (seratus lima puluh sembilan miliar dua ratus enam puluh sembilan juta seratus delapan puluh empat ribu lima ratus tiga puluh Rupiah) Tujuan Transaksi Transaksi ini bertujuan untuk keperluan investasi dan juga untuk menunjang kelancaran atas kegiatan operasional grup usaha Perseroan dengan adanya penguasaan terhadap area konsesi tambang dan lahan perkebunan.
