Uraian Informasi atau Fakta Material Berdasarkan hasil keputusan Sirkular Pemegang Saham PT
Indobaja Primamurni (IBPM) yang dilaksanakan pada tanggal
2 Juni 2026, Perseroan selaku pemegang saham IBPM telah
menyetujui untuk melakukan penurunan modal dasar dan
modal disetor pada IBPM. Adapun penurunan modal dasar
IBPM dari semula Rp 140.000.000.000 menjadi Rp
30.000.000.000 dan penurunan modal disetor IBPM semula
Rp 35.000.000.000 menjadi Rp 15.000.000.000. Penurunan
modal akan diikuti dengan pengembalian dana kepada para
Pemegang Saham yang berhak secara proposional.
Penurunan modal disetor oleh IBPM sebesar Rp
20.000.000.000 atau sekitar 0,56% dari total ekuitas
konsolidasian Perseroan berdasarkan Laporan Audit
konsolidasian Perseroan per tanggal 31 Desember 2025
sebesar Rp 3.567.361.528.861 sehingga transaksi ini
bukanlah transaksi material sesuai Ketentuan Transaksi
Material dan Perubahan Kegiatan Usaha sebagaimana diatur
dalam POJK No.17/POJK.04/2020.
Detail susunan Pemegang Saham IBPM sebelum dan setelah
penurunan modal disetor terdapat pada file terlampir.
Dampak kejadian, informasi atau fakta Perseroan dapat memanfaatkan kelebihan arus kas yang
material tersebut terhadap kegiatan dimiliki oleh IBPM untuk memperkuat struktur arus kas
operasional, hukum, kondisi keuangan, Perseroan.

The Decrease of Capital of the Subsidiary of the Company, PT
Type of Material Information or Facts Indobaja Primamurni
Description of Material Information or Based on the Circular Resolution of the Shareholders of PT
Facts Indobaja Primamurni (IBPM) on June 2, 2026, the Company,
as a shareholder of IBPM, has agreed to decrease IBPM's
authorized and paid-up capital. The authorized capital will
decrease from IDR 140,000,000,000 to IDR 30,000,000,000,
while the issued and paid-up capital will decrease from IDR
35,000,000,000 to IDR 15,000,000,000. This capital reduction
will be followed by a proportional return of funds to the eligible
shareholders.
The reduction of IBPM paid-up capital by IDR 20,000,000,000
constitutes approximately 0.56% of the Company total
consolidated equity, which amounts IDR 3,567,361,528,861
based on the Company Audited Consolidated Financial
Statements as of December 31, 2025. Therefore, this
transaction does not constitute a material transaction under
the Provisions on Material Transactions and Changes in
Business Activities as regulated by OJK Regulation No.
17/POJK.04/2020.
Therefore, the details of IBPM shareholder composition before
and after the reduction of paid-up capital are attached
