Uraian Informasi atau Fakta Material Pembelian 2 (dua) unit kapal tug boat bernama:
a) Anugerah Bersama 5 milik PT Pelayaran Anugerah
Wijaya Bersaudara; dan
b) Anugerah Bersama 6 milik Fusanto Wijaya
(selanjutnya disebut sebagai Kapal)
oleh PT Humpuss Transportasi Curah (HTC), anak usaha
Perseroan.
Total harga pembelian atas 2 (dua) unit Kapal adalah sebesar
Rp22.500.000.000,00 (dua puluh dua miliar lima ratus juta
rupiah) dengan rincian harga sebagai berikut:
a) Kapal Anugerah Bersama 5 sebesar Rp11.
000.000.000,00 (sebelas miliar rupiah)
b) Kapal Anugerah Bersama 6 sebesar Rp11.
500.000.000,00 (sebelas miliar lima ratus juta rupiah)
Sumber pendanaan untuk pembelian Kapal yaitu sebesar 70%
(tujuh puluh persen) berasal dari bank dan sisanya berasal
dari keuangan internal.
Penjual dari Kapal tersebut adalah sebagai berikut:
a) PT Pelayaran Anugerah Wijaya Bersaudara, sebuah
perusahaan yang didirikan berdasarkan hukum negara
Republik Indonesia dan berdomisili di Kota Samarinda; dan
b) Fusanto Wijaya, Warga Negara Indonesia,
merupakan pemegang saham dan Komisaris Utama PT
Pelayaran Anugerah Wijaya Bersaudara.
PT Pelayaran Anugerah Wijaya Bersaudara dan Fusanto
Wijaya, bukan merupakan afiliasi dari Perseroan.
Pembeli atas Kapal yaitu HTC merupakan entitas anak
Perseroan dan perusahaan terkendali Perseroan dengan
kepemilikan langsung sebanyak 99,99% (sembilan puluh
sembilan koma sembilan sembilan persen) saham.
Dampak kejadian, informasi atau fakta Pembelian Kapal dilakukan untuk pengembangan usaha anak
material tersebut terhadap kegiatan perusahaan Perseroan.
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Type of Material Information or Facts
Description of Material Information or Purchase of 2 (two) units of tug boats named:
Facts a) Anugerah Bersama 5 owned by PT Pelayaran
Anugerah Wijaya Bersaudara; and
b) Anugerah Bersama 6 owned by Fusanto Wijaya
(hereinafter referred to as Vessels)
by PT Humpuss Transportasi Curah (HTC), a subsidiary of the
Company.
The total purchase price of 2 (two) vessels amounted to Rp22,
500,000,000.00 (twenty-two billion five hundred million rupiah)
with the following price details:
a) Ship Anugerah Bersama 5 amounting to Rp11,
000,000,000.00 (eleven billion rupiah)
b) Ship Anugerah Bersama 6 for Rp11,500,000,000.00
(eleven billion five hundred million rupiah)
The source of funding for the purchase of the Vessel is 70%
(seventy percent) from the bank and the rest comes internal
financing.
The sellers of the Vessels are as follows:
a) PT Pelayaran Anugerah Wijaya Bersaudara, a company
established under the laws of the Republic of Indonesia and
domiciled in Samarinda City; and
b) Fusanto Wijaya, an Indonesian citizen, is one of the
shareholders and commissioners of PT Pelayaran Anugerah
Wijaya Bersaudara .
PT Pelayaran Anugerah Wijaya Bersaudara and Fusanto
Wijaya, are not affiliates of the Company.
The buyer of the Vessel is HTC, is a subsidiary of the
Company and a controlled company of the Company with
direct ownership of 99.99% (ninety nine point nine nine
percent) shares.
