PT SAMPOERNA AGRO Tbk puluh tujuh juta dua ratus tujuh belas ribu lima ratus) saham, yang mewakili sebesar 69,68”5 (enam puluh sembilan koma enam delapan persen) dari seluruh modal ditempatkan dan disetor penuh dalam Perseroan, kepada Twinwood Family Holdings SFO Limited (“Twinwood”), yang merupakan pihak terafiliasi dengan SAR sebagaimana dimaksud dalam Pasal 1 angka 1 huruf f Undang-Undang No. 8 Tahun 1995 tentang Pasar Modal sebagaimana telah diubah dengan Undang-Undang No. 4 Tahun 2023 tentang Pengembangan Dan Penguatan Sektor Keuangan. Dengan demikian, transaksi jual beli saham tersebut telah mengakibatkan perubahan pemegang saham pengendali secara langsung Perseroan, namun transaksi tersebut tidak mengakibatkan perubahan pengendali Perseroan secara — tidak langsung/pemilik manfaat akhir Perseroan yaitu tetap Putera Sampoerna. Sebelum transaksi jual beli saham Perseroan di atas, struktur pemegang saham pengendali dan pemilik manfaat akhir Perseroan adalah sebagai berikut: Sampoerna Agro hundred seventeen thousand five hundred) shares, representing 69.68”s (sixty-nine point six eight percent) of the entire issued and fully paid-up capital in the Company, to Twinwood Family Holdings SFO Limited (“Twinwood”), who is an affiliated party of SAR as referred to in Article 1 point 1 letter f of Law No. 8 of 1995 on Capital Market as amended by Law No. 4 of 2023 on the Development and Strengthening of the Financial Sector. Thus, the share sale and purchase transaction has resulted in the change of the Company's direct controlling shareholder, however the transaction did not result in the change of the indirect controller of the Company/the ultimate beneficial owner of the Company, namely Putera Sampoerna. Prior to the foregoing share sale and purchase transaction, the structure of the controlling shareholder and ultimate beneficial owner of the Company was as follows: Putera Sampoerna (0096 Sampoerna Agri Resources Pte. PT SAMPOERNA AGRO Tbk KETERANGAN TENTANG TWINWOOD FAMILY HOLDINGS SFO LIMITED Twinwood Family Holdings SFO Limited, suatu perusahaan yang didirikan di Dubai Negara Uni Emirat Arab dan beralamat di Unit 06, Level 3, Gate Village Building 10, Dubai International Financial Centre, Dubai, Uni Emirate Arab Tujuan Transaksi Pengalihan saham SGRO antara SAR dan Twinwood, yang tidak mengakibatkan perubahan pengendalian secara tidak langsung/pemilik manfaat akhir Perseroan, dilakukan dalam rangka restrukturisasi kepemilikan saham Perseroan dalam grup usaha Sampoerna. Dampak kejadian, informasi atau fakta Sampoerna Agro DESCRIPTION OF TWINWOOD FAMILY HOLDINGS SFO LIMITED Twinwood Family Holdings SFO Limited, a company incorporated in Dubai the United Arab Emirates and having its address at Unit 06, Level 3, Gate Village Building 10, Dubai International Financial Centre, Dubai, the United Arab Emirates. Purpose of Transaction The transfer of SGRO shares between SAR and Twinwood, which did not result in the change of the indirect controller/ultimate beneficial owner of the Company, was carried out in order to restructure the Company's share ownership in the Sampoerna business group. The impact of such material event material tersebut terhadap kegiatan information or facts on the operational operasional, hukum, kondisi keuangan, atau legal, financial condition, or business kelangsungan usaha Emiten atau Perusahaan continuity of the Issuer or Public Company Publik Pengalihan saham SGRO oleh SAR kepada Twinwood, yang tidak mengakibatkan perubahan pengendali Perseroan secara tidak langsung/pemilik manfaat akhir Perseroan, tidak akan memberikan dampak terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan. Keterangan lain Demikian laporan ini disampaikan setelah Perseroan memperoleh tembusan laporan sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan No. 4 Tahun 2024 tentang Laporan Kepemilikan atau Setiap Perubahan Kepemilikan Saham Perusahaan Terbuka dan Laporan Aktivitas Menjaminkan Saham Perusahaan Terbuka yang dilaporkan oleh para pemegang saham Perseroan pada tanggal 27 Agustus 2024. The transfer of SGRO shares by SAR to Twinwood, which does not result in the change of the indirect controller of the Company/ultimate beneficial owner of the Company, will not have an impact on the Company's operational, legal, financial condition, or business continuity. Number of shares and percentage of ownership of shares with voting rights before transaction: Prior to the transaction, SAR owned a total of 1,267,217,500 (one billion two hundred sixty-seven million two hundred seventeen thousand five hundred) shares of the Company, representing 69.6846 (sixty-nine point six eight percent) of the entire issued and paid-up capital in the Company. 2. Number of shares and percentage of ownership of shares with voting rights after transaction: SAR has sold all of the Company's shares owned by it in the amount of 1,267,217,500 (one billion two hundred sixty-seven million two hundred seventeen thousand five hundred) shares of the Company, representing 69.68Y4 (Sixty-nine point six eight percent) of the entire issued and paid-up capital in the Company, to Twinwood Family Holdings SFO Limited thus after the transaction, SAR no longer owns shares in the Company. SAR and Twinwood Family Holdings SFO Limited are affiliated parties as referred to in Article 1 number 1 letter f of Law No. 8 of 1995 on Capital Market as amended by Law No. 40f 2023 on the Development and Strengthening of the Financial Sector. The share sale and purchase transaction between SAR and Twinwood Family Holdings SFO Limited does not cause a change in the indirect controller/ultimate beneficial owner of the Company, namely Putera Sampoerna.

Harga Penjualan Per Saham: Rp 1,960,- (1,960Rupiah) per saham. Tanggal Transaksi: 22 Agustus 2024 dan 26 Agustus 2024 Tujuan dari Transaksi: Restrukturisasi kepemilikan saham Perseroan yang dimiliki grup usaha Sampoerna. Status Kepemilikan: Kepemilikan saham secara langsung yang tidak mengakibatkan perubahan pengendali Perseroan secara tidak langsung/pemilik manfaat akhir Perseroan. Keterangan Pengendali: SAR merupakan pemegang saham pengendali Perseroan dan Putera Sampoerna merupakan pengendali secara tidak langsung/pemilik manfaat akhir Perseroan. Number of shares and percentage of ownership of shares with voting rights after transaction: TFHS has purchased a total of 1,267,217,500 (one billion two hundred sixty-seven million two hundred seventeen thousand five hundred) shares of the Company, representing 69.68Y4 (sixty-nine point six eight percent) of the entire issued and fully paid-up capital in the Company, from Sampoerna Agri Resources Pte.
