Penjualan aset PT Transcoal Pacific Tbk (Perseroan) yang
sifatnya penting.
Untuk tujuan peremajaan armada milik Perseroan, pada
tanggal 22 Agustus 2024, Perseroan telah menandatangani
Akta Jual Beli Kapal untuk penjualan aset milik Perseroan
yaitu 1 (satu) unit kapal motor yang bernama TCP 1601 dan 1
(satu) unit kapal tongkang yang bernama HM 307.
Uraian Informasi atau Fakta Material
Jenis Aset
Jenis aset Perseroan yang dijual adalah 1 (satu) unit kapal
motor yang bernama TCP 1601 dan 1 (satu) unit kapal
tongkang yang bernama HM 307.
Nilai Transaksi
Total harga jual kapal motor TCP 1601 dan kapal tongkang
HM 307 adalah Rp 24.500.000.000 (dua puluh empat miliar
lima ratus juta Rupiah).
Pihak-pihak yang bertransaksi
Penjual adalah Perseroan, dan Pembeli adalah suatu
perseroan terbatas yang didirikan berdasarkan ketentuan
hukum yang berlaku di Negara Republik Indonesia yang
berkedudukan di kota Jakarta Barat.
Penjelasan ada tidaknya hubungan afiliasi dengan Pelanggan
Transaksi ini bukan merupakan transaksi afiliasi karena tidak
ada hubungan afiliasi antara Perseroan dan Pembeli.

Perusahaan Publik kapal milik Perseroan. Kondisi Kapal ini sudah kurang
komersial untuk dioperasikan oleh Perseroan. Dengan
penjualan dan peremajaan armada milik Perseroan
diharapkan kegiatan operasional Perseroan akan menjadi
lebih baik kedepan.
Hukum
Penjualan unit Kapal-kapal tersebut akan mengakibatkan
beralihnya hak dan kepemilikan Kapal tersebut dari Perseroan
kepada Pembeli.
Kondisi Keuangan
Perseroan sebagai Penjual akan menerima harga jual Kapal-
kapal tersebut dari Pembeli. Penjualan Kapal tersebut tidak
berdampak signifikan terhadap kondisi keuangan Perseroan.
Kelangsungan Usaha
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.
Informasi Lain
Keterangan Lain-lain Berdasarkan nilai transaksi sebagaimana tersebut di atas, maka penjualan Kapal-kapal tersebut
bukan merupakan Transaksi Material sebagaimana didefinisikan dalam Peraturan Otoritas Jasa Keuangan No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha.

Selling of important asset owned by PT Transcoal Pacific Tbk
(the Company).
For the purpose of rejuvenation of the Company fleet, on
August 22 2024, the Company has signed Vessel Sale and
Purchase Deeds for the sale of assets for 1 (one) unit of
motorboat named TCP 1601 and 1 (one) unit of barge named
HM 307.
Information Description or Material Fact
Type of Assets
The types of Company assets being sold are 1 (one) motor
boat named TCP 1601and 1 (one) unit of barge named HM
307.
Transaction Value
The total selling price of the motorboat TCP 1601 and the
barge HM 307 are IDR 24,500,000,000 (twenty four billion five
hundred million Rupiah).
Transaction Parties
The Seller is a Company, and the Buyer is a limited liability
company under the law of the Republic of Indonesia which is
domiciled in West Jakarta.
Explanation of whether or not there is an affiliate relationship
with the Customer
This transaction is not an affiliated transaction since there is no
affiliated relationship between the Company and Buyer.

Company’s operational activities, legal, Operational Activities
financial condition, or going concern The sale of Vessels aim to rejuvenate the vessels owned by
the Company. The condition of the Vessels is no longer
commercial enough for the Company to operate. By the sale
and rejuvenate the fleet owned by the Company, it is expected
that the Company operational actives will improve in the future.
Law
The sale of Vessels will create the transfer of rights and
ownership of the vessel from the Company to the Buyer.
Financial Condition
The Company as the Seller will receive the selling price of
Vessels from the Buyer. The sale of Vessels, did not have a
significant impact on the Company financial condition.
Business Continuity
Business continuity is maintained and well guaranteed.
Other Information
Others remarks Based on the transaction value as mentioned above, the sale of the Vessels is not a Material
Transaction as defined in Financial Services Authority Regulation No. 17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities.
Thus to be informed accordingly.
