Transaksi yang digambarkan pada Keterbukaan Informasi ini
merupakan Transaksi Afiliasi yang hanya wajib dilaporkan oleh
Perusahaan kepada Otoritas Jasa Keuangan (“OJK”)
sebagaimana dimaksud dalam Peraturan OJK Transaksi Afiliasi
dan Transaksi Benturan Kepentingan (POJK No.
42/POJK.04/2020), khususnya pada pasal 6 angka 1 butir c.

Di mana sifat hubungan Afiliasi adalah sebagai berikut:

a. PT. IBPM adalah Entitas Anak yang 96,504 kepemilikan
sahamnya dimiliki Perseroan.
b. PT. PKP merupakan entitas perusahaan sepengendali dan

memiliki manajemen yang sama.

PT Indobaja Primamurni (“IBPM”) has sold one (1) unit af Isuzu
Truck Box to PT Prima Kiat Printing (“PKP”) with @ total
transaction value of IDR 130,000,000 (exclusive of any VAT).

The transactions described in this Disclosure of Information are
Affiliated Transaction that must be reported by the Company to
the Financial Services Authority (“OJK”). As stated in the OJK
Regulation on Affiliated Transactions and Conflict of Interest
Transactions (POIK No. 42/POJK.04/2020), in particular in
article 6 point 1 (c).

The Affiliate relationship is structured as follows:
a. PT Indobaja Primamurni (“IBPM”) is a subsidiary entity,
with 96.5036 share ownership held by the Company.
b. PT Prima Kiat Printing (“PKP”) is a company entity under
common control and has the same management.
